Staff researched and found that murals are not addressed in the Code; therefore, we could not permit it. We discussed the topic at the August 2018 Council Worksession. The direction given by City Council was to draft regulations to allow murals on commercial sites in the Old Town Historic District. Staff researched surrounding cities’ ordinances and policies as they relate to murals. We consulted with the City Attorney regarding how to responsibly allow for murals and the legal implications involved. Attached is a summary of case law used as a basis in drafting the proposed regulations. The cases relate to content neutral regulations, commercial speech and review procedures. Draft Ordinance Summary: 1. Only one mural will be allowed per commercial site within the Historic District. 2. Maximum 50% of the façade may be covered. 3. No advertising of products or services is allowed. 4. They shall be maintained in good condition (i.e. no pealing or faded paint). 5. Approval from Director of Community Development is required. 6. If not approved, then an appeal to Planning and Zoning Commission is available. Legal Review: We have consulted with the attorney throughout the research and drafting of the ordinance. Recommendation: Recommend redrafting of the ordinance incorporating necessary changes as a result of the workshop session and bringing back the final ordinance on February 12, 2019 for adoption. Grapevine -With the exception of a Historic Wall Sign, the City of Grapevine does not allow wall murals. -Wall signs are limited to 15% or 25% of the wall. In Complete Angler, a city’s application of a regulation concerning a mural painted on a fishing store was struck down. The court found that the City’s application was content-based, in that the City stated the mural of fish on a fishing store was commercial speech, but a mural of children running in a field was not. A regulation that is not content based may be upheld if it is narrowly tailor to serve a government interest (i.e. aesthetics, traffic safety), and leaves open ample alternative channels of communication. Complete Angler, LLC v. City of Clearwater, Fla., 607 F. Supp. 2d 1326, 1333 (M.D. Fla. 2009) In Wag More Dogs, the court found that the plaintiff was “barking up the wrong tree” in challenging the city’s application of the sign ordinance to a mural which depicted its mascot dog. The court found that the City’s ordinance, which required a permit and provided guidelines for “any word, numeral, figure, design [or] display [which] is used to direct, identify, or inform the public while viewing the same from outdoors.” The Court noted that, in this case, the Zoning Ordinance merely imposes certain restrictions on “signs,” on the basis of their size and location, along with whether they are commercial signs directed at advertising to and attracting customers or not. In doing so, the court found that the ordinance was content-neutral, and thus it was upheld. Wag More Dogs, LLC v. Artman, 795 F. Supp. 2d 377, 384 (E.D. Va. 2011), aff'd sub nom. Wag More Dogs Liab. Corp. v. Cozart, 680 F.3d 359 (4th Cir. 2012) Cities may have a substantial interest in restricting commercial speech In Architecture Art, the Court found that the City’s regulation of commercial speech was not unconstitutional. In this case the stated purpose of the sign ordinance is to optimize communication while protecting the aesthetic character of the City. The Court found that the City was asserting a substantial interest justifying restriction on commercial speech. The restrictions to advance this interest include: (1) the requirement that all signs get a permit, and (2) only signs with on-premises or public interest messages are allowed. These restrictions directly advance the stated interest. Communication is optimized, while limiting outside off-premises advertising to protect the aesthetic character of the City. ArchitectureArt, LLC v. City of San Diego, 231 F. Supp. 3d 828, 839 (S.D. Cal. 2017), reconsideration denied, No. 15-CV-01592-BAS-NLS, 2017 WL 1346899 (S.D. Cal. Apr. 4, 2017) Providing unfettered authority to a Director or Council to review and approve/disapprove of murals may be viewed as a prior restraint. In Mahaney, the City of Englewood’s sign regulation was found to impose a prior restraint, in that it gave the City Manager unfettered authority to approve or disapprove of a mural. The Court noted that Englewood's special review procedure is unconstitutional under the First Amendment unless it contains the following two essential procedural safeguards to ensure expeditious decision-making by the city manager: (1) any restraint prior to judicial review can be imposed only for a specified brief period during which the status quo must be maintained; (2) expeditious judicial review of that decision must be available. Therefore, to pass constitutional scrutiny, Englewood's special review procedure must require the city manager to decide whether to issue a permit within a brief, specified time period during which the status quo is maintained, and there must be the possibility of prompt judicial review in the event the permit is erroneously denied. Mahaney v. City of Englewood, 226 P.3d 1214, 1219–20 (Colo. App. 2009), as modified on denial of reh'g (Jan. 21, 2010) 1 AN ORDINANCE OF THE CITY OF COPPELL, TEXAS ORDINANCE NO. AN ORDINANCE OF THE CITY OF COPPELL, TEXAS, AMENDING THE CODE OF ORDINANCES BY AMENDING CHAPTER 12, ARTICLE 28A, “H” HISTORIC DISTRICT, SECTION 12-28A-5, “STANDARDS OF CONSTRUCTION”, AND SECTION 12-28A-7, “SIGNAGE REQUIREMENTS” TO PROVIDE FOR APPROVAL OF SIGNAGE BY THE COMMUNITY DEVELOPMENT DIRECTOR, AND TO ESTABLISH REGULATIONS APPLICABLE TO THE DISPLAY OF MURAL SIGNS IN THE “H” HISTORIC DISTRICT; PROVIDING A REPEALING CLAUSE; PROVIDING A SEVERABILITY CLAUSE; PROVIDING A SAVINGS CLAUSE; PROVIDING A PENALTY OF FINE NOT TO EXCEED THE SUM OF TWO THOUSAND DOLLARS ($2,000.00) FOR EACH OFFENSE; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City Council for the City of Coppell finds that allowing the installation of mural signs in the Historic District is consistent with the values and aesthetics of the area; and WHEREAS, the City Council desires to optimize communication and quality of mural signs while protecting the public and the aesthetic character of the City; and WHEREAS, the City Council finds that these regulations aim to enhance the Historic District community by minimizing visual clutter along public rights-of-way that are potentially harmful to the aesthetics of the community, traffic and pedestrian safety, property values, business opportunities, and community appearance. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF COPPELL, DALLAS COUNTY, TEXAS: SECTION 1. That Chapter 12 of the Coppell Code of Ordinances be, and the same is, hereby amended by amending Article 28A, Section 12-28A-7, in part, to add the following regulations concerning the display of mural signs in the “H” Historic District, which shall read as follows: “ARTICLE 12-28A – “H” HISTORIC DISTRICT 2 . . . . . Sec. 12-28A-5. Standards of Construction. . . . . 18. Fences and walls: . . . . (B) Wood board fences for privacy shall only be located in rear yards; generally no taller than six feet; set back from the front facade (wall plane) of the structure at least half-way back from the front to the back walls, and shall be stained or painted to blend with the structure, except as allowed for in Section 12-28A-7; and of a design compatible with the structure. . . . . Sec. 12-28A-7. Signage Requirements. Article 29 is not applicable to the historic district. All signage and respective elements (board, bracket, posts, mounting devises, etc.) shall require approval from the Director of Community Development. The Director shall act on any sign or mural that complies with regulations provided herein within five (5) business days of submittal of the application or revised resubmittal. Appeals from a denial of the Director of Community Development may be taken to the Planning and Zoning Commission. 1. Signage shall not obscure the building's facade or hide the building's character. Signage shall reflect or compliment the architectural features of the structure. 2. Some examples of compatible signs are: (A) Signs painted directly on window glass. (B) Signs placed in the original signboard area. (C) Individual letter signs incorporated in the primary facade. (D) Temporary and appropriate freestanding signs in yards. (E) Projecting signs or hanging signs as approved through the site plan approval process. 3 3. Colors and materials: (A) Colors shall compliment those used on the structure. (B) Fluorescent colors and reflective paints or materials are specifically excluded. 4. Signs shall be pedestrian in scale. 5. Signs shall not use motion or flashing lights. 6. Signs shall be lit top-down style with the lighting well aimed with little or no spill over. 7. Mural Signs - for purposes of this provision, mural signs shall be defined to include a work of graphic art painted on or attached to an exterior structure, which is visible from the public right of way, and which does not contain advertising symbols, lettering, or trademarks and does not directly or indirectly advertise or call attention to a product or service that is available for sale. Mural signs shall be permitted in the “H” district, provided they comply with the following: (A) Shall be limited to one (1) exterior surface per site and shall cover no more than 50% of the space on that surface; (B) Shall not be displayed on any fence, nor any building, or any portion of a building, which is used for residential purposes; (C) Shall not include any commercial element used to advertise services or products available for sale; (D) Should the mural become faded, peeled and/or severely weathered, the owner or person or firm maintaining the same shall, upon written notice from the Director, repair and/or repaint the mural within sixty (60) days; and (E) All murals shall require approval from the Director of Community Development. Introduction: The original concept for this project includes a connector trail connecting the trail at the southern end of Andy Brown Park West, directly to the Coppell High School property. This proposed trail alignment requires an easement or property use agreement from the land owners on the south side of Parkway Blvd., as well as the CISD. The City has been successful in obtaining an agreement from the CISD, but unsuccessful in acquiring the easement needed from the landowners south of Parkway Blvd. and west of the Cottonwood Creek. A connection from the trai l at Andy Brown Park West to Coppell High School is a high priority for the trail system. The Parks & Recreation Department would like to move forward with the installation of a connector trail from Andy Brown Park West to the sidewalk on the north side of Parkway Blvd., leaving the door open for continued discussions with the landowner to the south. The connection to the sidewalk on the north side of Parkway Blvd. has tremendous value to the community as a safe route to school, as well as an entrance to the park. Analysis: This project will consist of the installation of an 8’wide connection ramp from the concrete trail at Andy Brown Park West, up to the sidewalk on the north side of Parkway Blvd. There is in excess of 10’ of grade change from Parkway Blvd. to the park requiring the use of switchbacks to maintain ADA compliance. He is concerned with the removal of flood plain areas and developing homes in the area. 2) Marla Williams, 137 Hollywood Dr., expressed concerns with development in the flood plains. She reported on how this causes unintended flooding in other areas. She also expressed concern with kids crossing busy roads and no sidewalk. She requested the City put in a sidewalk or provide police enforcement. Councilmember Hinojosa-Smith requested an Executive Session to ask questions of the City Attorney. Mayor Hunt recessed the Regular Session at 8:55 p.m. and convened into the Executive Session. Mayor Hunt adjourned the Executive Session at 9:15 p.m. and reconvened into the Regular Session. The exterior of a maximum of 18 single family residences in this development shall be permitted to be constructed with stucco exterior finish in lieu of masonry as provided in the Comprehensive Zoning Ordinance. Stream bank erosion protection will require approval by the US Army Corps of Engineers. No Final Plats may be filed or work shall commence prior to that approval. H. There will be a minimum side yard setback of 5 feet on Lots 1 through 20, Block D. I. The center island in the cul-de-sac at the east end of Persimmon Drive shall be constructed of cobblestone patterned concrete and shall be maintained by the Homeowners Association. J. The Homeowners Association shall be responsible to maintain the stabilization along the creek bank of Denton Creek from erosion. Each Lot Owner shall be notified and provide a hold harmless agreement by separate instrument that the City and Developer are not liable for future erosion of the creek bank. K. The Homeowners Association shall be responsible to maintain the storage basins/ponds being constructed with the development. L. Tree mitigation fees of $125,000 must be paid prior to construction. M. Park fees are required in the amount of $1285 per lot. N. The creek crossing shall be a concrete single arch culvert with a stone pattern and textured concrete or natural stone veneer and a steel rail on a reinforced concrete base. O. This project is not subject to the Erosion Hazard Setback per City Ordinance, Sec. 13-9-1, G- 20. a. Staff will review of the Erosion Control Setback Exhibit prior to filing the Final Plat of Phase One. P. Retaining Walls are to be constructed of stone and maintained by the lot owner. If the owner fails to maintain the wall, the Homeowners Association has the right to repair the wall and assess the lot owner. Introduction: This proposal is to construct an 85,220-square foot office/warehouse building, which will be used as a staging location for Operation Christmas Child. This portion of the operation will see an influx of volunteers come to this location in late November to assist in the packing and shipping of these Christmas boxes. This facility will also be the headquarters and staging ground for North American Ministries, a domestic disaster relief group that deploys to areas impacted by natural disasters. Approximately 77,000 sf will be used for warehousing goods and the remaining 8,300 sf will be used for offices. The City of Coppell will provide the poles and fixtures. • 42 street light poles and 82 fixtures are needed for the Freeport Parkway Reconstruction Project. • The cost of providing these materials is $122,910.00 Introduction: This agenda item is being presented for approval of purchasing Street Light Poles and LED Fixtures in two parts: Part A from JB Electric in the amount of $98,474.00 for Roadway Illumination Poles; and Part B from TraStar, Inc. for LED Fixtures in the amount of $24,436.00; for a total amount of $122,910.00; and authorizing the City Manager to sign any necessary documents. 2 Analysis: In December 2014, the City of Coppell awarded Bid Q-1014-03 to JB Electric for the purchase of poles and to TraStar, Inc. for the purchase of LED luminaires. This was a yearly contract with renewal options, which has been renewed until November 2019. This contract was used to purchase the street lights for Sandy Lake and South Freeport, as well as the Denton Tap and Sandy Lake Streetscape Project. The City is now beginning the portion of the Freeport Parkway Reconstruction project that requires ordering the poles for installation by the contractor. Approval of this item will allow the City to purchase new street lights for Freeport Parkway to maintain the overall construction schedule. The poles are an 8 to 10-week lead item once the Purchase Order is created. The City will purchase 40 double-armed poles and two single-arm poles for the Freeport Parkway project. The TraStar fixture is rated at 130-watt LED fixture. Energy savings will be seen by utilizing the LED fixtures (approximately $300 per fixture per year). Legal Review: The Purchasing Department has reviewed the documents and determined that this is an appropriate method of contracting with these firms. Leach, Deputy City Manager Date: January 8, 2019 Reference: Appointment of Presiding Judge and Associate Judge 2030: Sustainable City Government: Goal 4 Top Quality Workforce Introduction: Judge Nesbitt retired in November 2018 and Judge Landwehr, the City’s current Presiding Judge, is resigning effective January 27, 2019. Since receiving these notices, several candidates were interviewed by both City staff and current Judges Carlsen and Landwehr. At this time, Honorable Kristine Primrose has been selected to serve as the next Presiding Municipal Judge and Holly Fox as an Associate Judge for the Coppell Municipal Court. Judge Primrose has been practicing law since 1990 and is currently serving as a part -time municipal court judge in Lewisville (since 2010), Dallas (since 2012), and Grand Prairie (since 2010). If appointed as the Presiding Judge, Coppell Municipal Court would be her top priority. Judge Fox has been practicing law since 1994 and is currently serving as an associa te judge in Lewisville (2005), Ponder (2012), Highland Village (2006), Sherman (2018), and Little Elm (2010). Judge Fox has previously served as municipal court judge in The Colony and Corinth. Judge Primrose is highly qualified to fill this role. Her experience in various courts throughout the Metroplex will provide new insights and a fresh perspective. She is excited to begin work as soon as possible. Analysis: Judge Primrose would serve the remainder of Judge Landwehr’s existing contract, which expires on September 30, 2020. All terms of the existing contract remain the same as they were under Judge Landwehr. Judge Fox would serve the remainder of Judge Nesbitt’s existing contract, which expires on September 30, 2020. All terms of the existing c ontract remain the same as they were under Judge Nesbitt. 2 Staff is recommending that both judges begin work immediately to train with Judges Landwehr and Carlsen before January 27. This training will not be related to legal knowledge, rather it will allow Judges Primrose and Fox to learn the processes, procedures, and systems that are in place to administer the Coppell Municipal Court. If Judge Primrose is to begin immediately, her tenure will overlap with Judge Landwehr and there cannot be two Presiding Judges. Staff is recommending that Judge Primrose be appointed as Presiding Judge effective January 28, 2019, with the caveat she would serve as an alternate judge during the transition period from January 9 to January 27. The Presiding Municipal Judge shall provide time and billing records to the City to reflect the time dedicated to the services for and on behalf of the Municipal Court. 5. Both the Alternate Municipal Judge and the City represent that they have full capacity and authority to grant all rights and assume all obligations that they have granted and assumed under this Contract. 16. The validity of this Contract and any of its terms or provisions, as well as the rights and duties of the Parties, shall be governed by the laws of the State of Texas and any venue for any action concerning this Contract shall be in Dallas County, Texas. 17. The Coppell Fire Department is unable to meet the National Fire Protection Association’s NFPA 1710, Standard for the Organization and Deployment of Fire Suppression Operations, Emergency Medical Operations, and Special Operations. For the past twenty-two (22) months, actions have been taken to address Fire/Rescue/EMS service needs culminating in a formal Standards of Cover Study conducted by Emergency Services Consultants International. On August 29, 2017, City Council selected to move forward with implementing the addition of Fire Station #4, relocation of Fire Station #1, and relocation of the Resource Storage Facility. A multi-year plan was developed with specific milestones including the hiring of 8 FTE Firefighters FY 2018-19 and additional 8 FTE Firefighters FY 2019-20 (16 total). Analysis: The Federal Emergency Management Agency (FEMA) recently awarded the Coppell Fire Department approximately $2.9 million as part of its Staffing for Adequate Fire & Emergency Response (SAFER Grant program. This grant will allow the Fire Department to expand its team as well as proceed with its four-year improvement plan — which includes the development of a new fire station that will improve emergency services to Coppell’s west side and help the City maintain its ISO Class 1 rating that reduces insurance premiums for Coppell residents. The SAFER Grant allows fire departments to increase the number of firefighters available to service a 2 city and improves upon their capabilities, response times, and operational standards to better defend against fire-related hazards and other emergencies. The grant award authorizes the CFD to hire 16 Firefighters beginning March 15, 2019 for a 3-year salary supplement; Year 1=75%, Year 2=75%, Year 3=35%. The Grant period does not coincide with the City of Coppell Fiscal Year and may result in loss of Grant Funding. Legal Review: No legal review required. Client Initial / Date  EXHIBIT A  STANDARD FORM OF AGREEMENT FOR PROFESSIONAL SERVICES   BETWEEN  CITY OF COPPELL (CLIENT) AND HALFF ASSOCIATES, INC. (LANDSCAPE ARCHITECT)   I.    SCOPE  ‐  Halff  Associates,  Inc.  (hereinafter  "Landscape  Architect")  agrees  to  perform  the  professional services described in the attached Scope of Services which incorporates these terms and  conditions. Unless modified in writing by the Parties hereto (i.e. Client and Landscape Architect), the duties  of Halff shall not be construed to exceed those services specifically set forth in the Scope of Services. The  Scope of Services and this Standard form of Agreement, when executed by City of Coppell (hereinafter  "Client"),  shall  constitute  a  binding  Agreement on  both Parties.  Landscape  Architect  shall  perform its  obligations under this agreement as an independent contractor and not as an agent or fiduciary of any other  Party.    II.   COMPENSATION ‐ Client agrees to pay monthly invoices or their undisputed portions within 30 days  of receipt.  Payment later than 30 days shall include interest at 1‐1/2 percent per month or lesser maximum  enforceable interest rate, from the date the Client received the invoice until the date Landscape Architect  receives payment.  Such interest is due and payable when the overdue payment is made.    It is understood and agreed by the Parties that Landscape Architect’s receipt of payment(s) from  Client  is  not  contingent  upon  Client’s  receipt  of  payment,  funding,  reimbursement  or  any  other  remuneration from others.    Time‐related charges will be billed as specified in this Agreement. Unless stated otherwise in this  Agreement, direct expenses, subcontracted services and direct costs will be billed at actual cost plus a  service charge of 10 percent. Mileage will be billed at current IRS rates.    III.   RESPONSIBILITY ‐ Landscape Architect is employed to render a professional service only, and any  payments made by Client are compensation solely for the services rendered and the recommendations  made in carrying out the work. Landscape Architect agrees to follow the standard practices of the Landscape  Architect  profession  to  make  findings,  provide  opinions,  make  factual  presentations,  and  provide  professional advice and recommendations. Nothing contained herein shall be argued to have created any  warranty  or  certification,  and  Landscape  Architect  shall  not  be  required  to  provide  any  certification,  assignment or warranty of its work, but upon request and for a separate mutually agreed fee and fully  executed contract amendment and at Landscape Architect’s sole discretion, Landscape Architect may agree  to provide certain specific written statements regarding its services. Such statements shall be in a form  prepared by and acceptable to Landscape Architect and shall be requested with sufficient advance notice to  allow Landscape Architect to review the documents and prepare a suitable statement.    Landscape Architect's review or supervision of work prepared or performed by Client or by other  individuals or firms employed by Client shall not relieve Client or those individuals or firms of complete  responsibility for the adequacy of their work.  It is understood that any resident Landscape Architect or  inspection services provided or performed by Landscape Architect shall be for the sole and exclusive  purpose of reviewing the general compliance of such activities with respect to the technical provisions of  the project specifications and such services by Landscape Architect shall not constitute any form of  guarantee with respect to the performance of any contractor. Landscape Architect does not assume  responsibility for methods or appliances used by a contractor, for safety conditions, or for compliance by  contractors with applicable laws, rules and regulations. SCOPE OF CLIENT SERVICES ‐ Client agrees to provide site access, and to provide those services  described in the attached Scope of Services.    V.   OWNERSHIP OF DOCUMENTS ‐ Upon Landscape Architect’s completion of services and receipt of  payment in full, Landscape Architect shall grant to Client a non‐exclusive license to possess the final  drawings and instruments produced in connection with Landscape Architect’s performance of the work  under this Agreement, if any. Said drawings and instruments may be copied, duplicated, reproduced and  used by Client for the purpose of constructing, operating and maintaining the improvements. Client agrees  that such documents are not intended or represented to be suitable for reuse by Client or others for  purposes  outside  the  Scope  of  Services  of  this  Agreement.  Notwithstanding  the  foregoing,  Client  understands  and  agrees  that  any  and  all  computer  programs,  GIS applications,  proprietary  data  or  processes, and certain other items related to the services performable under this Agreement are and shall  remain the sole and exclusive property of Landscape Architect and may not be used or reused, in any  form, by Client without the express written authorization of Landscape Architect.  Client agrees that any  reuse  by  Client,  or  by  those  who  obtain  said  information  from  or  through  Client,  without  written  verification or adaptation by Landscape Architect, will be at Client’s sole risk and without liability or legal  exposure to Landscape Architect or to Landscape Architect’s employees, agents, representatives, officers,  directors, affiliates, shareholders, owners, members, managers, attorneys, subsidiary entities, advisors,  subconsultants or independent contractors or associates. Client agrees to indemnify Landscape Architect,  Landscape Architect’s subconsultants and independent associates for all damages, liability or cost arising  from  such  reuse.  Landscape  Architect  may  reuse  all  drawings,  reports,  data  and  other  information  developed  in  performing  the  services  described  by  this  Agreement  in  Landscape  Architect’s  other  activities.    VI.    INDEMNIFICATION ‐ Landscape Architect agrees to indemnify Client from direct damages to the  extent caused by the negligent act or omission or willful misconduct of Landscape Architect, Landscape  Architect’s  employees,  agents,  representatives,  officers,  directors,  affiliates,  shareholders,  owners,  members, managers, attorneys, subsidiary entities, advisors, subconsultants or independent contractors  or associates.     Client agrees to indemnify Landscape Architect from damages to the extent caused by the negligent act  or omission or willful misconduct of Client.    In the event that Client is found to be concurrently negligent, Landscape Architect shall not indemnify for  the proportionate negligence of Client, but shall only indemnify for the portion of negligence solely  attributable to Landscape Architect, its agents, servants, employees, subcontractors of any tier and their  agents,  servants  and  employees.    Likewise,  Client  shall  not  indemnify  Landscape  Architect  for  the  proportionate negligence of Landscape Architect.      Neither Party shall be liable to the other for lost profits or for incidental, special, speculative, remote or  consequential damages, whether or not the possibility of such has been disclosed or could have been  reasonably foreseen.     The Parties agree to indemnify one another against damages of third parties recoverable from the  indemnitee to the extent caused by the comparative negligence of the indemnitor.   Such negligence shall  be measured by standards in effect at the time services are rendered, not by later standards.     Client acknowledges that Landscape Architect may perform work at facilities that may contain hazardous December 26, 2018  Page 4 of 13  storage, or disposition of such materials. Landscape Architect shall be indemnified and defended by Client  for any and all claims arising out of the presence of hazardous materials or conditions except for those  claims as determined by final judgment of a court of competent jurisdiction to arise out of the sole  negligence of Landscape Architect.    VII.    INSURANCE ‐  Landscape  Architect  agrees  to  maintain  during  the  life  of  the Agreement the  following minimum insurance:  A. Commercial general liability insurance, including personal injury liability, blanket contractual liability,  and broad form property damage liability in an amount of not less than $1,000,000.  B. Automobile  bodily  injury  and  property  damage  liability  insurance with a limit of not less than  $1,000,000.  C. Statutory workers’ compensation and employers’ liability insurance as required by state law.  D. Professional liability insurance (Errors and Omissions) with a limit of $1,000,000 per claim/annual  aggregate.    VIII.   SUBCONTRACTS ‐ Landscape Architect shall be entitled to subcontract any portion of the work  described in the Scope of Services.    IX.      ASSIGNMENT ‐ This Agreement is binding on the heirs, successors, and assigns of the  Parties hereto. Neither this Agreement, nor any claims, rights, obligations, suits or duties associated  hereto, shall be assigned or assignable by either Client or Landscape Architect without the prior written  consent of the other Party.    X.       INTEGRATION – This Standard Form of Agreement and the Scope of Services, including  fee and schedule are fully incorporated herein and represent the entire understanding of Client and  Landscape Architect. No prior oral or written understanding shall be of any force or effect with respect to  those matters covered herein. The Agreement may not be modified or altered except in writing signed by  both Parties.    XI.      JURISDICTION AND VENUE ‐ This Agreement shall be administered under the substantive  laws of the State Texas (and not its conflicts of law principles) which shall be used to govern all matters  arising out of, or relating to, this Agreement and all of the transactions it contemplates, including without  limitation, its validity, interpretation, construction, performance and enforcement.  Exclusive venue shall  lie in Harris County, Texas.    XII.    SUSPENSION OF SERVICES ‐ If work under this Agreement is suspended for more than thirty (30)  calendar days in the aggregate, the Landscape Architect shall be compensated for services performed and  charges incurred prior to receipt of notice to suspend, including an equitable adjustment in fees resulting  from the demobilization and, as appropriate, remobilization.   Additionally, Client agrees to equitably  adjust the work schedule based on the delay caused by the suspension.  If work under this Agreement is  suspended for more than ninety (90) calendar days in the aggregate, the Landscape Architect may, at its  option, terminate this Agreement upon giving notice in writing to the Client.  Further, Landscape Architect  may request that the work be suspended by notifying Client, in writing, of circumstances or conditions  interfering with normal progress of the work.   If the Client fails to make timely payments to Landscape  Architect or is otherwise in breach of this Agreement, the Landscape Architect may suspend performance  of services upon five (5) calendar days’ notice to the Client.  The Landscape Architect shall have no liability  to the Client for any costs or damages resulting from a suspension occasioned by any breach or perceived  breach of this Agreement by Client. TERMINATION OF WORK ‐ Either the Client or the Landscape Architect may terminate this  Agreement at any time with or without cause upon giving the other Party ten (10) calendar days’ prior  written notice. Client agrees that termination of Landscape Architect for Client’s convenience shall only  be utilized in good faith, and shall not be utilized if either the purpose or the result of such termination is  the performance of all or part of Landscape Architect’s services under this Agreement by Client or by  another service provider.  Following Landscape Architect’s receipt of such termination notice the Client  shall, within ten (10) calendar days of Client’s receipt of Landscape Architect’s final invoice, pay the  Landscape Architect for all services rendered and all costs incurred up to the date of Landscape Architect’s  receipt of such notice of termination.    XIV.   TAXES ‐ The fees and costs stated in this Agreement, unless stated otherwise, exclude all sales,  consumer,  use  and  other  taxes.    Client  agrees  to  fully  reimburse  Landscape  Architect  and  its  subconsultants for taxes paid or assessed in association with the work under this Agreement, whether  those taxes were in effect as of the date of this Agreement or were promulgated after the date of this  Agreement.  This clause shall not apply to taxes associated with reimbursable or other project related  expenses, which shall be identified in the applicable invoice for reimbursement by Client.    XV.   ALTERNATIVE DISPUTE RESOLUTION ‐ Any conflicts or disputes that arise under or through this  Agreement or that may exist following the completion thereof shall be discussed at a meeting of one  senior management person from Client and one from Landscape Architect.  This meeting shall be a  condition precedent to the institution of any legal or equitable proceedings, unless such meeting will  infringe upon schedules defined by applicable statutes of limitation or repose.  Should such a situation  arise, the Parties agree that such meeting shall still be required, but the institution of said proceedings  shall not be precluded for failure to meet this specific meeting requirement.    XVI.   MERGER AND SEVERABILITY – This Agreement constitutes, represents and is intended by the  Parties to be the complete and final statement and expression of all of the terms and arrangements  between the Parties to this Agreement with respect to the matters provided for in this Agreement.  This  Agreement supersedes any and all prior or contemporaneous agreements, understandings, negotiations,  and discussions between the Parties and all such matters are merged into this Agreement.  Should any  one or more of the provisions contained in this Agreement be determined by a court of competent  jurisdiction or by legislative pronouncement to be void, invalid, illegal, or unenforceable in any respect,  such voiding, invalidity, illegality, or unenforceability shall not affect any other provision hereof, and this  Agreement shall be considered as if the entirety of such void, invalid, illegal, or unenforceable provision  had never been contained in this Agreement.    XVII.     EXCLUSIVITY OF REMEDIES – The Parties acknowledge and agree that the remedies set forth in  this Agreement, including those set forth in Article VI. Indemnification and Article XIX. Agreed Remedies  are and shall remain the Parties’ sole and exclusive remedy with respect to any claim arising from, or out Bidding and Contract Negotiations  A. HAI to attend and assist the Client with a pre‐bid conference.  B. HAI shall respond to Bidder questions and issue necessary addendum to clarify bidding.  C. The City has been successful in obtaining an agreement from the CISD, but unsuccessful in acquiring the easement needed from the landowners south of Parkway Blvd. and west of the Cottonwood Creek. A connection from the trai l at Andy Brown Park West to Coppell High School is a high priority for the trail system. The Parks & Recreation Department would like to move forward with the installation of a connector trail from Andy Brown Park West to the sidewalk on the north side of Parkway Blvd., leaving the door open for continued discussions with the landowner to the south. The connection to the sidewalk on the north side of Parkway Blvd. has tremendous value to the community as a safe route to school, as well as an entrance to the park. Analysis: This project will consist of the installation of an 8’wide connection ramp from the concrete trail at Andy Brown Park West, up to the sidewalk on the north side of Parkway Blvd. There is in excess of 10’ of grade change from Parkway Blvd. to the park requiring the use of switchbacks to maintain ADA compliance. Various valves were identified and exercised to eliminate any businesses or residents being out of water. After several days of valve exercising the water was brought down to a low flow and repairs could be made safely. After digging and exposing the damaged water main the hole measured 25ft. long, 12ft. wide and 18.5ft. deep. Due to the depth of the water main larger excavation equipment and safety equipment 2 had to be utilized to complete the repairs. Once exposed it was determined that the entire circumference of the reinforced concrete cylinder pipe was damaged and had to be repaired by a specialized welder. Canary Construction was able to make the repair and backfill was complete the following day. NPL, who is our current pavement contractor, made the pavement repairs the week of 12/10/2018. Legal Review: In the Coppell Code of Ordinances, Chapter 1, Article 1-5-6 G, it states “No expenditure exceeding $50,000.00 may be made without competitive bids except when the expenditure falls within one of the general exemptions outlined in section 252.022 of the Texas Local Government Code, provided however, that in the event of an emergency expenditure, such emergency shall be declared by the city manager and approved by the city council, or may be declared by the city council in its resolution authorizing execution of the contract.” Section 252.022 of the Texas Local Government Code states “GENERAL EXEMPTIONS. (a) This chapter does not apply to an expenditure for: a procurement made because of a public calamity that requires the immediate appropriation of money to relieve the necessity of the municipality's residents or to preserve the property of the municipality;” Fiscal Impact: The fiscal impact of this item is $118,696.83 as provided for by the utility operations fund. Introduction: On June 13, 2017, City Council was updated on the concept of providing additional non-motorized facilities along the Parkway Blvd. corridor from MacArthur Blvd. to Cowboy Dr. The proposed plan included an 8’ side path on the north side of the road and widening the sidewalks on the south side from 4’ to 6’ wide where available. The 90% design plans show the 8’ side path on the north side and a varying width walk on the south side, ranging from 6’ to 8’ where right-of-way and easements allow. Analysis: The reconstruction of a portion of Parkway Blvd. has been planned since 2015 when Council awarded a design contract to J. Volk Engineering. After the award of the design contract there were numerous meetings and discussions regarding non-motorized facilities along the corridor. At the July 13, 2017 Council meeting a consensus of the final schematic was presented. 2 The design of the project is nearing completion and utility relocation efforts are in progress. The cross-section of the roadway is consistent with the schematic that was presented in July, 2017. The water line, sanitary sewer and storm drain systems will be replaced throughout the section between Heartz and Lodge. An 8’-wide side path will be constructed along the north right-of-way from Heartz to Moore, and a variable-width sidewalk/path will be constructed along the south right-of-way from Heartz to Lodge, ranging from 6’ to 8’. The remainder of the project will include localized panel repair or replacement and crack sealing. New landscaping and street lights will be installed in the median, and a new left-turn lane will be added for westbound traffic at Town Center. Staff plans to offer residents that currently are allowed to park on-street along Parkway to park off- site during construction in the Andy Brown Park lot located east of The CORE. This is consistent with previous discussions with those residents. Maintaining traffic flow during construction will be addressed to the extent possible. A minimum of one lane in each direction will be maintained during construction. The initial phase of construction will focus on utilities. The current plan is that paving operations would not commence until the school Summer break begins. Despite all efforts, traffic disruption is inevitable for a project that will likely span 12 months of work. Legal Review: This item did not require legal review.
