AN ORDINANCE PROVIDING FOR CONSENT OF TRANSFER OF
FRANCHISE BY THE HOLDER OF SUCH FRANCHISE,
CABLEVISION OF COPPELL, INC. UNDER ORDINANCE NO. 206,
PROVIDING FOR ACCEPTANCE BY TRANSFEREE AND
TRANSFEREE'S AGREEMENT TO PERFORM ALL OF THE DUTIES
AND OBLIGATIONS UNDER SUCH FRANCHISE INCLUDING BUT
NOT LIMITED TO BEING A SIGNATORY ON SAID FRANCHISE
AGREEMENT, PROVIDING A SAVINGS CLAUSE AND DECLARING
AN EMERGENCY.
BE IT ORDAINED BY THE CITY OF COPPELL, TEXAS:
WHEREAS, by Ordinance number 206 the City of Coppell granted a franchise
to Cablevision of Coppell, Inc., its successors and assigns, to operate and maintain a
community cable television system in the City of Coppell, reference is made thereto for
all purposes; and
WHEREAS, Section 7 of referenced ordinance styled Transfer of Franehise
contained certain conditions to be complied with by franchisee prior to a proposed
transfer of such franchise, as well as prohibiting any transfers without prior written
consent of the City and
WHEREAS, Cablevision of CoppeR, Inc. has heretofore requested the City to
permit the transfer of its franchise which contained information data, required by
Section 7 of said franchise ordinance; and
WHEREAS, the City Council of the City of Coppell after having considered
such request and after being satisfied that the requirements as provided for in Section 7
of said franchise had been met, deems it in the best interest and general welfare of the
City of Copper that the City of Copper consent to such request.
NOW THEREFORE BE IT ORDAINED by the City of CoppeR, Texas, that it
enter it's consent to Cablevision of Coppell to transfer irs franchise, provided that thi~
consent shah be subject to the condition that the holder of the franchise shall promptly
after the date of such transfer, execute and deliver to the City irs acceptances of, and
its agreement and undertaking to perform all of the duties and obligations under such
franchise including but not limited to being a signatory on said franchise agreement.

Section 1: If any Section, subseetion, sentence, work, or phrase of this Ordinanee is
declared to be invalid, it shall not affect the validity of this Ordinance.
Seetion 2: It is hereby found and determined that the meeting at which this Ordinanee
was passed was open to ~e public, as required by Texas law, and that advance public
notice of the time, place and purpose of said meeting was given. In order to protect the
health, safety, sad welfare of the general publie, all laws'requiring the reading of this
Ordinance un one or more separate occasions are hereby suspended and this Ordinance
shali become effective immediately upon passage thereof by the City Council of the City
of Coppel~ Texas.
