SALES CONTRACT

KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF DALLAS §
THAT we, the undersigned, hereinafter called the "Seller" whether one or more,
hereby agree to sell to the City of Irving, Texas, a municipal corporation situated in Dallas
County, Texas, hereinafter called "Purchaser", for:
EXCLUSIVE WATER MAIN EASEMENT AND
TEMPORARY CONSTRUCTION EASEMENT PURPOSES
All that certain tract, piece or parcel of land, lying and being situated in the County of
Dalias, State of Texas, described in EXHIBIT "A" attached hereto and made for a more
particular description of said property, upon the following terms and conditions, to-wit:
1. The consideration to be paid to Seller by Purchaser is as follows:
0.395 acres of Exclusive Water Main Easement at 25% of fee
simple value of $16,000 per acre ........................................................ $ 1,580.00
0.339 acres of Temporary Construction Easement at 10% rental for
two years at $16,000 per acre .............................................................5 1,084.00
Damages ............................................................................................$ 2.336.00
TOTAL COMPENSATION .............................................................. $ 5,000.00
2. Seller will convey good and marketable title.
3. Consideration to be paid upon the proper execution and delivery of the Easement
Deed.
4. City or its wntractor, whero applicable will relocate, reconnect, or reconstruct existing
fences, private utilities, sprinkler systems or other improvements affected by the acquisition
of the easements or property herein unless otherwise noted within this contract.
5. Twenty-four hour access will be provided to the property west of the easement for the
purpose of retrieving trees or other nursery products.
6. Seller will be responsible for removing nursery trees/plants from easement areas. Upon
execution of the easements herein, Seller shall not place any additional nursery trees/plants
within the easement areas including the existing Water Main Easement area. Any trues
placed within the easements after execution of the easements will not be eligible for
relocation reimbursement. Upon completion of the project, nursery trees can again be stored
within the easement. If it becomes necessary to relocate any eligible nursery trces/plants due
to construction, Seller will be reimbursed expenses up to the rate of 518.00 per caliper inch
not to exceed an 8-inch caliper tree. The number of trees to be reimbursed shall not exceed
twenty (20). Reimbursement for moving trees/plants shall not exceed $2,000. Seller will
notify City. prior to relocating any nursery ttecs/plants for veriScation purposes.
Reimbursement will be a one-time lump sum payment upon City's receipt of a proper
written invoice of trees moved including number, species and caliper size.
7. Purchaser to stake easement areas upon execution of easement deeds.
8. Purchaser or contractor shall access project through granted easements herein. Access will
not be provided to Purchaser or contractor'iluough Seller's remainder property unless under
separate agreement.
