KNOW ALL MEN BY THESE PRESENTS that the undersigned, the CITY OF
COPPELL, TEXAS, a Home Rule City having an address at 255 Parkway Boulevard, Coppell,
Texas 75019 (hereinafter called "Grantor "), for and in consideration of Ten Dollars ($10.00)
and other good and valuable consideration paid by TEXAS DUGAN LIMITED
PARTNERSHIP, a Delaware limited partnership having an address at c/o Duke Realty
Corporation, 5495 Belt Line Road, Suite 360, Dallas, Texas 75240 (hereinafter called
"Grantee "), the receipt and sufficiency of which are hereby acknowledged, has GRANTED,
SOLD and CONVEYED, and by these presents does hereby GRANT, SELL and CONVEY unto
Grantee, the real property described on Exhibits A -1 and A -2 attached hereto and incorporated
herein by this reference; together with the buildings, structures and improvements now located
thereon; further together with any and all right title and interest of Grantor in and to the land
lying in the bed of any streets, roads, or public or private rights of way adjacent thereto; and
further together with all right, title and interest of Grantor in to and under any and all reciprocal
easement agreements relating thereto and any and all other easements, servitudes, rights of way,
water rights, mineral rights, development rights, other rights, covenants, conditions, tenements,
hereditaments and appurtenances belonging or in any way appertaining thereto (hereinafter
collectively called the "Property ").
TO HAVE AND TO HOLD the Property, together with all and singular the rights and
appurtenances thereto in any way belonging unto Grantee, its successors and assigns forever.
AND Grantor does hereby bind itself and its successors to warrant and forever defend all
and singular the Property unto Grantee and its successors and assigns against every person
whomsoever lawfully claiming, or to claim the same, or any part thereof, by, through or under
Grantor, but not otherwise, subject to the liens, encumbrances, exceptions and other matters
described on Exhibit B attached hereto and incorporated herein by this reference (the
"Permitted Liens ").
THIS DEED is being executed by Grantor in connection with the realignment of Ruby
Road and pursuant to the attached resolution.
