LandlordtobegindevelopmentactivitiesrelatedtotheCypressWatersDevelopment;provided
thatLuminantreservestherighttonotlowertheLakeifLuminanthasareasonablebusiness
purposetomaintaintheLakelevel;
E.CoppellhasexpressedadesiretoacquirethePropertyfromLuminant,and
LuminantiswillingtopermitCoppellandtheContractoraccesstotheProperty(definedbelow),
uponandsubjecttothetermsandconditionsofthisAgreement.
F.CoppelldesiresalicensetoenteruponcertainpropertyownedbyLuminant
adjacenttothePremisescontainingthedamsfortheLake,moreparticularlydescribedon

CoppellInspections
2..DuringtheInspectionPeriodandsubjecttotheconditions
specifiedinthisAgreement,LuminantherebygrantstoCoppellandContractoralimitedlicense
entitlingCoppellandContractortoenterthePropertyuponnotlessthantwoBusinessDaysprior
writtennoticetoLuminant(whichnoticemaybedeliveredtoLuminantbyemailasprovidedin
Section12)forthesolepurposeofpermittingContractortoperformandCoppelltoobservethe

testsandinspectionsspecifiedinhereto(each,individually,a “”
CoppellInspections
andcollectively,the “”).CoppellandContractoragreeandacknowledge
thatLuminantisundertakingdemolitionandremediationoperationsonthePropertyand
Contractoragreestoperform,andCoppellagreestoobserve,theCoppellInspectionsinsucha
mannerastoavoidanyinterferencewithsuchoperations.CoppellandContractorshalleach
enterthePropertyatitssoleriskandshallcomplywithanysafetyrulescommunicatedby
Luminantfromtimetotime.TheCoppellInspectionsmayonlybeperformedonweekdays
betweenthehoursof9:00a.m.and5:00p.m.(oratsuchothertimesapprovedbyLuminantin
writinginitssoleandabsolutediscretion)inthepresenceofanemployeeoragentofLuminant
LuminantRepresentative
designatedbyLuminant(a “”).Coppellshallbearthecostofall
CoppellInspectionsandshallberesponsibleforandactasthegeneratorwithrespecttoany
wastesgeneratedbyanytests,whichobligationshallsurvivetheterminationofthisAgreement.
CoppellandContractoragreeandacknowledgethatCoppellmayonlyobservetheCoppell
InspectionsandthattheCoppellInspectionsaretobeperformedsolelybyContractor.
DeliveryofReports
3..AsadditionalconsiderationforLuminantprovidingaccess
tothePropertyhereunder,ContractorshalldelivertoLuminant’scounsel,Vinson&Elkins
L.L.P.,attheaddresssetforthinSection12,atnocosttoLuminantortosuchcounsel,copiesof
allreportsandanyothermaterialsexchangedbetweenCoppellandContractorconcerningthe
Reports
PropertypreparedinconnectionwiththeCoppellInspections(“”). TheReportsshallbe
deliveredtoLuminant’scounselwithoutanyrepresentationorwarrantyastothecompleteness
oraccuracyoftheReportsoranyothermatterrelatingthereto.InnoeventshallanyReportsbe

deliveredtoLuminantwithoutLuminant’spriorexpresswrittenconsent.Contractor’sobligation

4..
(a)CoppellandContractoragreethattheReportsandanyandallinformation
generated,gatheredorotherwiseobtainedinconnectionwithconductingorobservingthe
ConfidentialInformation
CoppellInspections(togetherwiththeReports,collectively,the “”)
shallbeconsideredconfidentialinformationofLuminantandproprietarytoLuminant.Access
tothePropertyhasbeenandwillbeprovidedtoCoppellandContractorsolelytoassistCoppell
indeterminingthefeasibilityofacquiringthePropertyandloweringtheleveloftheLake
pursuanttoSection6.7oftheLease.CoppellandContractorshallnotusetheConfidential
Informationforanypurposeotherthanassetforthintheprecedingsentence.Coppelland
ContractorshallnotdisclosethecontentsofanyConfidentialInformationtoanyotherperson
withoutLuminant’spriorwrittenconsent,whichconsentmaybewithheldorconditionedin
Luminant’ssoleandabsolutediscretion.
(b)NeitherCoppellnorContractormaymakeanyfilingswithorotherwise
communicatewithanygovernmentalauthoritywithrespecttothePropertywithoutLuminant’s
priorwrittenconsent,whichconsentmaybewithheldorconditionedinLuminant’ssoleand
absolutediscretion.Fortheavoidanceofdoubt,however,CoppellandContractorshallnotbe
requiredtoobtainLuminant’spriorwrittenconsenttoresearchpublicrecordsordatabases.As
usedinthisSection4,“communicate”and“communication”shallmeantheinitiationof,
responseto,orsharingorexchangeofinformation,knowledgeormessages,whetherbyoral,
writtenorelectronicmethodsormedia,orbyanyothermeans.
(c)ShouldCoppellreceivearequestfordisclosureoftheConfidential
TPIA
InformationinaccordancewiththeTexasPublicInformationAct(“”),Coppell:(A)shall
promptlynotifyLuminantoftherequest;(B)shallconsultwithandreasonablycooperatewith
Luminantregardingtheresponsetotherequest;(C)shalltimelyaskforadecisionfromthe
TexasAG
TexasAttorneyGeneral(the “”)astowhethertheConfidentialInformationiswithin
anexceptionfromthedisclosurerequirementsoftheTPIA,includingbutnotlimitedtosections
552.105and552.110oftheTPIA,andshallsubmitwrittencommentstotheTexasAGstating
thereasonswhytheexceptionsstatedinsuchcommentsapplytotheConfidentialInformation;
and(D)willnotreleaseanyConfidentialInformationwhilethedecisionoftheTexasAGis
pending.If,inresponsetoarequestfordecisionunderthisparagraph,the TexasAGdetermines
thatConfidentialInformationmustbedisclosed,Coppellshallpromptlyprovidenoticeofthe
decisiontoLuminant,andwithouttheconsentofLuminant,maynotdisclosethatinformation
beforethe10thdayafterthedateofreceiptofthedecision.IfwithinthatperiodLuminantfilesa
petitioninaTravisCounty,Texasdistrictcourtseekingadeclaratoryjudgment,awritof
mandamus,orotherrelieffromcompliancewiththedecisionoftheTexasAG,Coppellwillnot
disclosetheinformationpendingfinaljudgmentinthesuitunlessorderedtodosobythecourt.
(d)IfeitherCoppellorContractordesiretodiscloseConfidentialInformation
ortomakeanyfilingswithorcommunicatewithagovernmentalauthoritywithrespecttothe
ConfidentialInformationortheProperty,thepartyseekingtomakesuchdisclosure,filingor
communicationshallmakeawrittenrequesttoLuminantspecifyinginreasonabledetailthe

purposeofsuchdisclosure,filingorcommunication,thepersontowhomsuchdisclosure,filing
orcommunicationistobemadeandtheformat(i.e.writtenororal)inwhichsuchdisclosure,
DisclosureRequest
filingorcommunicationistobemade(a “”).Withintenbusinessdaysafter
itsreceiptofaDisclosureRequest,Luminantshallnotifythepartymakingsuchrequest(the
RequestingParty
“”)whetheritapproves,approveswithconditionsordisapprovesofthesame
andshallspecifyinreasonabledetailanyconditionstoorlimitationsonsuchdisclosure.
ContractorandCoppellexpresslyagreeandacknowledgethatLuminantwillrequireprior
approvalofanywrittencommunications(whichmaybesubmittedaspartoftheDisclosure
Request)andwillnotconsenttoanyoraldisclosurestoanyperson(includinganygovernmental
authority)unlessaLuminantRepresentativeispresentatsuchcommunication.Ifany
DisclosureRequestisnotaccompaniedbysufficientinformationtoallowLuminanttodetermine
whethersuchrequestshouldbeapproved,thenthetimeperiodhereunderforLuminant’s
responseshallbeextendedbyonedayforeachdayuntiltheRequestPartyprovidessuch
necessaryinformationtoLuminant.Notwithstandingtheforegoing,ifLuminantfailstonotify
theRequestingPartythatitapproves,approveswithconditionsordisapprovestheDisclosure
RequestwithintenbusinessdaysaftersubmissiontoLuminantofalltheitemsrequiredunder
thisSection4(d)andtheRequestingParty’srequestforconsentconspicuouslystates,“IFYOU
DONOTMAILYOURAPPROVAL,DISAPPROVALORAPPROVALWITHCONDITIONS
OF THEDISCLOSUREREQUESTWITHINTENBUSINESSDAYSAFTERYOURECEIVE
THISDISCLOSUREREQUEST,YOURAPPROVALOFTHISDISCLSOUREREQUEST
WILLBEDEEMEDGIVEN,”thenLuminantshallbedeemedtohaveapprovedtheDisclosure
Requestonthetermsspecifiedinsuchrequest.
(e)Coppell’sandContractor’sobligationsunderthisSection4shallsurvive
theterminationofthisAgreement;provided,however,Coppell’sandContractor’sobligation
underthisSection4shallterminateuponacquisitionofallofthePropertybyCoppell.
Coppell’sandContractor’sResponsibilities
5..InconnectionwithanyCoppell
Inspections,CoppellandContractorshall:(a)notinterferewiththeoperationandmaintenance
ofthePropertyorthedemolitionorremediationoperationsthereon;(b)notdamageanypartof
theProperty;(c)notperformanyinvasiveorenvironmentaltestingontheProperty;(d)not
injureorotherwisecausebodilyharmtoLuminantoritsagents,guests,invitees,contractorsand
employees;(e)complywithallapplicablelaws;(f)notpermitanylienstoattachtotheProperty
byreasonoftheexerciseofitsrightshereunder;(g)notrevealordiscloseanyinformation
concerningthePropertytoanyotherperson,inaccordancewiththeconfidentialitystandardsset
forthinSection4above,orexceptasmaybeotherwiserequiredbylaw;(h)immediately
terminateanyCoppellInspectionsandimmediatelyleavethePropertyifsodirectedbyan
employeeoragentofLuminantand(i)maintainatalltimesduringthetermofthisAgreement
theinsurancecoveragedescribedinthecertificatesofinsurancepreviouslydeliveredto
Luminant.Coppellshallpromptlypaywhenduethecostsofalltests,investigations,and
examinationsdonewithregardtotheProperty.Coppell’sandContractor’sobligationsunder
thisSection5shallsurvivetheterminationofthisAgreement.
Coppell’sandContractor’sAgreementtoIndemnify
6..
(a)Contractorherebyagreestoindemnify,defendandholdLuminant
harmlessfromandagainstanyandallliens,losses,costs(includinganycoststorepairany

damagecausedbyContractor),claims,causesofaction,damages,liabilitiesandexpenses
(includingreasonableattorneys’fees)arisingoutofanyactoromissionbyContractorin
even
connectionwiththeCoppellInspectionsoranyviolationbyContractorofthisAgreement,
thoughanysuchlossiscausedorallegedtobecausedbythenegligenceorfaultof
Luminant(otherthanlossarisingfromthegrossnegligenceorwillfulmisconductof
Luminant).ThisindemnityisintendedtoindemnifyLuminantagainsttheconsequencesof
itsownnegligenceorfaultasprovidedabovewhenLuminantisjointly,comparatively,
contributivelyorconcurrentlynegligentwithContractor
;provided,however,theindemnity
shallnotextendtoprotectLuminantfromanypre-existingliabilitiesformattersmerely
discoveredbyContractorsolongasContractor’sactionsdonotaggravateanyliabilityof
LuminantexistingonorpriortotheEffectiveDateandprovidedthatContractorotherwise
complieswiththisAgreement.Contractor’sobligationsunderthisSection6(a)shallsurvivethe
terminationofthisAgreement.
(b)Tothefullestextentpermittedbylaw,Coppellherebyagreesto
indemnify,defendandholdLuminantharmlessfromandagainstanyandallliens,losses,costs
(includinganycoststorepairanydamagecausedbyCoppell),claims,causesofaction,damages,
liabilitiesandexpenses(includingreasonableattorneys’fees)arisingoutofanyactoromission
byCoppellinconnectionwiththeCoppellInspectionsoranyviolationbyCoppellofthis
eventhoughanysuchlossiscausedorallegedtobecausedbythenegligenceor
Agreement,
faultofLuminant(otherthanlossarisingfromthegrossnegligenceorwillfulmisconduct
ofLuminant).Exceptasprovidedherein,thisindemnityisintendedtoindemnify
Luminanttothefullestextentpermittedbylawagainsttheconsequencesofitsown
negligenceorfaultasprovidedabovewhenLuminantisjointly,comparatively,
contributivelyorconcurrentlynegligentwithCoppell
;provided,however,(1)theindemnity
shallnotextendtoprotectLuminantfromanypre-existingliabilitiesformattersmerely
discoveredbyCoppellsolongasCoppell’sactionsdonotaggravateanyliabilityofLuminant
existingonorpriortotheEffectiveDateandprovidedthatCoppellotherwisecomplieswiththis
Agreementand(2)ifLuminantisfoundtobepartiallynegligentbyacourtofcompetent
jurisdictioninafinal,non-appealablejudgment,Luminantshallberesponsibleforpayingits
proportionoftheapplicabledamageaward,calculatedusingthepercentageofLuminant’s
negligenceasdeterminedbysuchcourt.Coppell’sobligationtoindemnifyLuminantshallbe
payablesolelyfromanyofCoppell’sunrestrictedfundslegallyavailabletherefor,including,
withoutlimitation,Coppell’sownershipinterestinthePremises.Coppell’sobligationsunder
thisSection6(b)shallsurvivetheterminationofthisAgreement.
Enforcement
7..LuminantmayenforcethetermsofthisAgreementbyanyandall
legalandequitablemeansnecessary,inLuminant’ssolediscretion,including,withoutlimitation,
injunctionandmonetarydamages,andLuminantshallbeentitledtorecovercourtcostsand
reasonableattorneys’feesfromCoppellandContractorifapplicable.IfCoppellorContractor
deemsLuminanttobeinnon-compliancewiththetermsofthisAgreement,Coppell’sand
Contractor’ssoleremedyshallbetoterminatethisAgreementbywrittennoticetoLuminantand
shallinnoeventbeentitledtodamagesorreimbursementofcostsandexpensesfromLuminant.
DisclosuresinLitigation.
8.ThepartiesagreethatnoConfidentialInformation
shallbediscoverableinanylitigationbetweenoramongthem.CoppellandContractorshallnot
introduce,useorpetitionacourttopermitsuchpartytointroduceoruseanyConfidential

InformationinanylitigationinvolvingLuminant,thePropertyorthePremiseswithout
Luminant’spriorwrittenconsent,whichconsentmaybewithheldbyLuminantinitssoleand
absolutediscretion.ThepartiesfurtheragreethatnoConfidentialInformationshallbe
discoverableinanylitigationunlessorderedbyacourtofcompetentjurisdiction.Intheeventof
anylitigationinvolvingthePropertyorthePremises,Contractorshallnotparticipateinany
mannerinsuchlitigationwithoutthepriorwrittenconsentofbothCoppellandLuminant,which
consentmaybewithheldbyeitherCoppellorLuminantinsuchentity’ssoleandabsolute
discretion.
NoPartnership
9..NothingcontainedinthisAgreementshallbedeemedor
construedbythepartiesheretoorbyanythirdpartytocreatetherelationshipofprincipaland
agent,orofpartnership,orofjointventure,orofanyotherassociationbetweenLuminantand
CoppellorContractor.
NoWaiver
10..Nowaiverofanydefaultbyanypartyheretoshallbeimpliedfrom
anyomissionbyanyotherpartyheretototakeanyactionwithrespecttosuchdefault,ifsuch
defaultcontinuesorisrepeated.Noexpresswaiverofanydefaultshallaffectanydefaultor
coveranyperiodoftimeotherthanthedefaultandperiodoftimespecifiedinsuchexpress
waiver.Awaiverofanydefaultintheperformanceofanyprovisioncontainedinthis
Agreementshallnotbedeemedtobeawaiverofanysubsequentdefaultintheperformanceof
thesameprovisionoranyotherprovisioncontainedherein.Exceptasspecificallyprovided
herein,nothingcontainedinthisAgreementshallbedeemedtoconstituteawaiverbyanyparty
ofanyright,claim,obligation,defense,demand,causeofaction,lawsuit,proceeding,expenses
and/orcost(includingcostofsuitandattorneys’fees),including,withoutlimitation,Luminant’s
righttonotlowertheLakeifLuminanthasareasonablebusinesspurposetomaintaintheLake
level.
BindingEffect
11.. ThelicensegrantedtoCoppellandContractorunderthetermsof
thisAgreementispersonaltoCoppellandContractor,andneitherthisAgreementnorthelicense
maybetransferredorassignedbyCoppellorContractor.Subjecttotheforegoinglimitation,the
benefitsofthisAgreementandburdensofthisAgreementshallinuretothebenefitofandbe
bindingupontheheirs,successors,personalrepresentatives,andassignsofthepartieshereto.
Notices;NoElectronicRecords
12..Allnotices,requestsandother
communicationsgivenpursuanttothisAgreementshallbeinwritingandshallbe(a)mailedby
firstclass,UnitedStatesmail,postageprepaid,certified,withreturnreceiptrequested,and
addressedtothepartiesheretoattheaddresslistedbelow,(b)handdeliveredtotheintended
addressee,or(c)sentbynationallyrecognizedovernightcourier.Noticesentbycertifiedmail,
postageprepaid, shallbeeffectivethreeBusinessDaysafterbeingdepositedintheUnitedStates
mail;allothernoticesshallbeeffectiveupondeliverytotheaddressoftheaddressee(evenif
suchaddresseerefusesdeliverythereof).Luminant,CoppellandContractoreachherebyagree
nottoconductthetransactionsorcommunicationscontemplatedbythisAgreement,by
electronicmeans,exceptasexpresslypermittedbySection1orSection2;norshalltheuseofthe
phrase“inwriting”ortheword“written”beconstruedtoincludeelectroniccommunications
exceptasexpresslypermittedbySection1orSection2.Thepartiesheretomaychangetheir
addressesbygivingnoticethereoftotheotherinconformitywiththisprovision:

I talked with the Kimley Horn folks. The main points:
- they are driven by the goal of beginning construction of Phase II by Nov. 2013, so they will need to need
to start construction on their lakeside improvements early in 2013, as shown on the schedule attached to
the previous email. They show the spillway construction going on at a similar time, from Feb to Nov of
2013. This implies that we would get the lake low enough to do their work simultaneously.
- I said that their timeframe is fine on durations, but starting dates depend on the Corps and
authorizations from the City. It would take a reasonably positive reaction from the Corps to be able to start
spillway construction in Jan/Feb 2013.
- I said we would accelerate our site visit and discussion with the Corps and suggested that they not
attend our meeting with the Corps in hopes of keeping their permitting work separate. I personally think
the Corps is likely to see this as one project, but we can go in asking for two separate permit processes. If
we're lucky on the view of the current ordinary high water mark, then that would help a lot in that regard.
- I agreed we would coordinate on the Corps discussions. Neither of us wants to say or submit something
that sets the other back.
I missed both Steve and Karl today. I'll be back with you when I get a sense for their schedule. We just
need a contact person to physically access the property.

Thanks for your response. With Phase I of Cypress Waters now under construction, we are beginning to
plan for the next phase of the development. Billingsley's business model is built around the delivery of
residential projects on a two year cycle. Lucy's goal is to have Phase II under construction in November
2013 - on property that is now within the boundary of the existing lake. Accomplishing that goal depends
on gaining all the required regulatory approvals, performing the necessary spillway and lake edge
modifications, and permanently lowering the water surface of the revised lake.
I know that you have made progress on developing the plan for revising the spillway. From our side, we
need to develop and process a plan to create the new lake edge, which in some areas will require
excavation, and in other cases filling areas that would still be inundated at the new 490 surface elevation.
We know there will need to be FEMA, TCEQ, City of Dallas, and COE permits and approvals. To really
get that process moving, we would like to meet with the Corps early next week, but want to make sure we
have a coordinated approach in dealing with each of these agencies.
We would like to have a quick conference call with you as soon as possible, followed by a meeting with
the Corps early next week, just to make sure we are properly coordinated and not interfere with your
discussions with the Corps. We are also trying to put together an overall schedule for both of our efforts
to achieve the above Phase II development.
