Gentlemen:
In an effort to resolve the matter wt-thout litigation Mr.
Adams would like to pursue your offer, for repairs. His
acceptance will be contingent upon several factors.
Our primary concern is that a set of construction plans be
completed giving us adequate engineering detail so that approval
can be obtained from our engineer, Lou Horn. It is, Lou's
suggestion'that you send copies or your detail at some point in
the preliminary stage to give him an opportunity to make
suggestions before the plans are finalized.
Additionally, we think that you should make a careful
calculation of the water flow at the 48 inch pipe to determine if
it is in fact capable of carrying the water at a point where the
flow is contained in the ditch. It may be that the flow from the
96 inch pipe will exceed the capacity of the 48 inch before the
~urrounding area is flooded. If this is the case, we think, it
would result in flooding which would in turn .cause erosion, all
of which could be avoided by a modification.
During tt~e years since the installation, there hms been no
maintenance of the ditch. We are aware that you think the
utility district or the city should be responsible for the
maintenance; however, while the equipment is on the scene, it
would be a small cost to you to simply clean the ditch and
improve the water flow.
In connection with the settlement, Mr. Adams will agree to a
change in the easement to permit a~proper curve, which all the
engineers seemed to agree was needed. It would be my suggestion
that the easement contain a metes and bounds description.
As the matter progresses, we should notify the
Coppell, the Municipal Utility District and the
District. As I understand their requirements, we
required to obtain approval of all of them.

Our final requirement is that E-Systems make a cash
contribution to my client, the amount of which will be
communicated to them when we have received a response from you.
When all parties are in agreement, the entire settlement
will be reduced to writing and executed by a representative of
each party. Mr Adams will release you from future liability. We
cannot speak for others; however, we will cooperate in obtaining
an agreement by which you will be free of future responsibility.
