THIS INGRESS AND EGRESS EASEMENT AGREEMENT, is executed as of the Q‘ th day of
, 2005 , by and between ROTAS PROPERTIES, LTD., a Texas Limited Partnership
("Grantor" , and BARBARA S.AUSTL FAMILY REVOCABALE TRUST, ( "Grantee" ).
RECITALS:
1. Grantor owns a tract of real property located in Dallas County, Texas , which tract is more
particularly described on Exhibit A attached hereto and incorporated herein for all purposes ("Trr,-t
A")

2. Grantee owns the tract of land adjacent to Tract A and described on Exhibit B ('Tract B") ; and
3. Grantee desires an easement over and across a portion of Tract A for purposes of ingress and
egress through Tract A from Tract B, and Grantor is willing to grant such easement on the terms and
conditions hereinafter set forth;
NOW , THEREFORE , in consideration for the cash sum of TEN AND NO/100 DOLLARS ($10.00),
the mutual covenants and agreements herein contained and other good and valuable
consideration, the receipt and sufficiency of which are hereby expressly acknowledged, Grantor and
Grantee do hereby agree as follows:
1. Grantor,for itself and its successors and assigns, does hereby grant, sell, convey and deliver to
Grantee, its successors and assigns, a non-exclusive, perpetual and permanent right-of-way easement
for vehicular and pedestrian access over and across that portion of Tract A used as a driveway,
being' more particularly described on Exhibit 'C' and 'D' hereto (the Mutual Access"Easement Area"),
including non-exclusive rights of ingress and egress over and across the Easement Area in order to
provide access from Tract A and Tract B.
2. Grantor hereby reserves the right, for itself and its successors and assigns, to grant such other
or similar easements, rights, rights-of-way and privileges over, across and under Tract A; provided,
however, any such other easements, rights, rights-of-way and privileges hereinafter granted over,
accross or under Tract A shall not interfere with the use of the easements, rights, rights-of-way and
servitudes herein granted.
3. Nothing contained in this Agreement shall ever be deemed to create a gift or dedication of
all or any portion of the Easement Area to the general public or for any public use or public purpose
whatsoever. It is the intention of Grantor that this Agreement shall be for the exclusive benefit of Tract
B , and of Grantee and its successors and assigns. Nothing contained herein, express or implied,
shall confer upon any person or entity other than Grantee and its successors and assigns any rights
or remedies under or by reason of this Agreement. Grantor shall have the right to close any portion of

Tract A, for a reasonable period of time to the extent required by law to prevent prescriptive rights from
accruing as to .Tract A. Grantee shall have the right to grant a license, right or permission to its
officers, employees, tenants, business invitees and all licensees and guests to use any of the Easement
Area or avail themselves of any rights granted herein, but any action to enforce any of such rights may
be maintained only by Grantee or its successors and assigns.
4. Grantor agrees that no walls , fences or other barriers of any kind shall be constructed or erected
in Tract A, or any portion thereof, by any person, if the effect thereof will prevent or impair
vehicular and pedestrian access over and across the Easement Area; provided, however, the
foregoing provisions provided for herein shall not prohibit a barricade erected and reasonably
necessary in connection with the construction, reconstruction, repair and maintenance of the
Easement Area (all such work to be conducted in the most expeditious manner reasonably
possible to minimize the interference with the use of the Easement Area, and with all such
work to be diligently prosecuted to completion).
5. Grantor agrees to allow Grantee, at Grantee's sole cost and expense, to make any
modifications to the northern most portion of the Easement Area for purposes of future pavement
connections as would be related to any development of Tract B. Said pavement connections to be
made in accordance with current standard construction methods acceptable to the City of Coppell.
Grantee hereby specifically agrees that when Tract B developes, Grantee shall provide for a like and
similar mutual access easement to the Grantor herein over, across and upon Tract B. Any furture
alignment for said easement to be solely determined by Grantee.
6. Any notice, request, delivery or tender required or permitted to be given or made hereunder by
either party to the other shall be deemed to be delivered or received, whether actually received or
not, when deposited in an official depository of the United States mail and sent by certified or
registered mail, postage prepaid, return receipt requested, addressed to Grantor, or Grantee as the
case may be, at the address set forth below, but each such party may change its address by ten
(10) days written notice of such change in accordance with the terms of this paragraph.

7. The servitudes, easements, rights , rights-of-way, privileges, agreements , covenants and
restrictions and all other terms hereof shall run with the land , shall be binding upon the successors and
assigns of Grantor and;hall inure to the benefit or the successors and assigns of Grantee and all other
persons or entities having or hereafter acquiring any right , title or interest in Tract A or Tract B ,
and all other persons and entities claiming by ,through or under said owners and their respective
successors and assigns. •

KNOW ALL MEN BY THESE PRESENTS:

That Barbara Sue Austin Family Revocable Trust (Grantor), for and In consideration of the
sum of TEN DOLLARS($10.00)and other good and valuable consideration to Grantor in hand paid by
the CffY OF COPPELL, a Texas municipal corporation ("Grantee"), the receipt and sufficiency of
which is hereby acknowledged,does hereby give,grant and convey unto Grantee, subject to the terms
and provisions hereinafter stated a non-exclusive Fire Lane and Mutual Access Easement and the right
to construct, reconstruct and perpetually maintain a public fire lane and access(Facilities)from Sandy
Lake Road to the Rozas Addition,an Addition to the City of Coppell, in and on the following described
Easement Property:
Being 1,519 square feet of land in the City of Coppell, Dallas County,Texas,
and being more particularly described in Exhibit A and depicted on Exhibit
B attached hereto and made a part hereof(the"Easement Property")
Grantor hereby grants to Grantee a temporary construction easement of ten feet(10')running parallel
along all sides of the Easement Property depicted in Exhibit A, with rights of ingress and egress for the
construction of roadway and related improvements, such temporary construction easement terminating
upon completion of said construction. Grantee shall take every action required to protect the existing
trees on Grantor's property during construction of the fire lane.
Grantor hereby expressly reserves the right to use and enjoy interests in the Easement Property in
' connection with its ownership and use of the larger lot or parcel of which the Easement Property is a
part(the"Burdened Property")insofar as the exercise thereof does not interfere with the construction,
operation, and maintenance of the Facilities permitted hereunder, as reasonably determined by
Grantee.
The Grantee herein, its successors and assigns, shall have, and it is hereby granted, the right of
ingress and egress over that portion of the servient estate as is reasonably necessary to and for the
limited purpose of accessing the Easement Property herein granted.
This easement is given and accepted subject to (i) any and all restrictions, covenants, conditions,
easements, building lines, encumbrances, reservations, zoning laws, regulations and other matters,
including, but not limited to, minerals previously reserved or conveyed, if any, relating to the Easement
Property, but only to the extent that they are still in effect and shown of record, (ii)visible and apparent
easements affecting the property which do not appear of record, but which a current survey or plat of
the Easement Property would disclose, (iii) the lien for standby fees, ad valorem taxes for the current
year and all subsequent years, and (iv)any discrepancies, conflicts, or shortages in area or boundary
lines or any encroachments or overlapping improvements.

TO HAVE AND TO HOLD the Easement Property unto the Grantee for the purposes herein set forth,
Grantor binds itself, its successors and assigns or to warrant and forever defend the easement and
rights granted herein unto Grantee, its successors and assigns, against every person whomever

otherwise.
