§ KNOW ALL MEN BY THESE PRESENTS
COUNTY OF DALLAS §
WHEREAS, Triland/Northsted, a Texas joint venture ( "Triland ") owns fee title to that certain
property described on Exhibit A attached hereto and made a part hereof for all purposes
( "Triland Tract ");
WHEREAS, the Triland Tract includes that certain property generally show on Exhibit B
attached hereto and made a part hereof for all purposes ( "Property");
WHEREAS, Billingsley Cornell Capital, L.P. (`Billingsley ") anticipates that it will require one
or more utility easements to serve certain adjacent land and desires to secure the rights to such
easements;
NOW THEREFORE, for and in consideration of the sum of ten dollars and no /100 ($10.00) and
other valuable consideration, the receipt of which is hereby acknowledged, Triland hereby grants
to Billingsley the right and option to acquire one or more easements for utility purposes, subject
to the following terms and conditions:
Upon Billingsley's written request, exercising the option set forth herein, Triland shall
execute more or more easement agreements, in form reasonably satisfactory to Triland
and Billingsley, granting Billingsley (or a municipality, water district, or other entity
selected by a Billingsley) one or more utility easements, including, without limitation, a
sanitary sewer easement, in, upon and across the Property (individually an "Easement"
and collectively the "Easements "), for the purposes of facilitating utility services to
properties in the vicinity of the Property.
2. The exact location of each Easement shall be reasonably determined by agreement of
Triland and Billingsley acting together in good faith.
3. The Easements shall be non- exclusive, freely assignable and shall be for public or
private use and shall be perpetual.
4. No additional consideration shall be required for the Easements, Billingsley having
previously compensated Triland for the option rights set forth in this Agreement.
5. The execution and delivery of the Easements by Triland shall not unreasonably
conditioned or delayed.
Dated effective this 30 1 day of June, 2005.
