Coppell's Major Thoroughfare Plan Update. As we have discussed,
please pursue immediately in getting the study up and running.
Also as we discussed we will need to provide key management
meetings (2 to 4 over the contract) in addition to the proposed
Project Advisory Committee (PAC). We will discuss that matter at
the initial coordination meeting. On this management team will be
the City Manager, Alan Ratliff; Director of Planning, Gary Sieb;
Director of Public Works, Steve Goram; and myself.
Please provide a project schedule, and set up our first

AGREEMENT
This AGREEMENT made and entered into this —� A

by and between Barton- Aschman Associates, Inc., a Delaware corporation with principal
offices at 820 Davis Street, Evanston, Illinois 60201, and local offices at 5485 Belt Line Road,
Suite 199, Dallas, Texas 75240, hereinafter referred to as the "CONSULTANT" and the City
of Coppell, Texas, hereinafter referred to as the "CLIENT ";
WITNESSETH:
WHEREAS, the CLIENT desires to engage the services of the CONSULTANT to furnish
technical and professional assistance in connection with the West Side Thoroughfare Plan
Update, hereinafter referred to as the "PROJECT" and the CONSULTANT has signified his
willingness to furnish technical and professional services to the CLIENT;
NOW THEREFORE, the parties hereto do mutually agree as follows:
A. Scope of CONSULTANT's Services
The CONSULTANT agrees to perform in a good and professional manner those services
outlined in Attachment A, and diagrammed in Attachment B, copies of which are
attached hereto and incorporated in this AGREEMENT.
B. Information and Services to be Provided by the CLIENT
The completion of the services to be performed by the CONSULTANT under the
AGREEMENT is contingent upon the timely receipt from the CLIENT, at no cost to
the CONSULTANT, of services, data, and reports described in Attachment C, a copy
of which is attached hereto and incorporated in this AGREEMENT.
C. Mectinps and Reports
The CONSULTANT agrees to attend up to eight (8) progress, review, or presentation
meetings with the CLIENT or its representatives during the course of the PROJECT.
The CONSULTANT will provide one copy suitable for reproduction of both the draft
final report and the final report to the CLIENT who will bear the responsibility for
printing the report.
D. Changes and Extra Work
If changes or extra work arc requested and authorized in writing by the CLIENT, the
CONSULTANT will be available to furnish, or obtain from others, the following types
of services:
a. Extra work due to change in the general scope of the study including, but not
limited to, changes in size, complexity, or character of the work items.
b. Additional or extended services including study administration due to: (1) the
prolongation of the AGREEMENT time through no fault of the CONSULTANT,
(2) the acceleration of the work schedule involving services beyond normal
working hours, or (3) nondelivery of any materials, data, or other information
to be furnished by the CLIENT or others not within the control of the
CONSULTANT.
C. Additional services and costs necessitated by travel required of the
CONSULTANT other than the visits to the PROJECT as specified in
Attachment A, Scope of Services.
d. Other additional services requested and authorized by the CLIENT which are
not otherwise provided for under this AGREEMENT.
The costs and schedule for completing changes or extra work authorized by the CLIENT will
be subject to negotiation between the CLIENT and the CONSULTANT. Any such changes
shall be authorized as a written amendment to this AGREEMENT.
E. CONSULTANT's Compensation
The CONSULTANT will be compensated for services on the following basis:
The CONSULTANT shall be compensated for services rendered under the terms of the
AGREEMENT on the basis of the CONSULTANT's standard hourly rates in effect at
time such services are performed for the staff time devoted to the project plus
reimbursement at actual cost for directly related job expenses such as travel,
subsistence, printing, etc. The estimated maximum cost for CONSULTANT services
under this AGREEMENT is $22,800.00. The CONSULTANT will not exceed this sum
without specific written authorization from the CLIENT or an amendment to this
AGREEMENT. A manpower and expense breakdown of this cost is presented in
Attachment D.

F. Method of Payment
The method of payment will be as follows:
The CONSULTANT shall submit monthly invoices for costs incurred on the PROJECT
during the billing period. Invoices will be based on the CONSULTANT's hourly rates
for staff time expended on the PROJECT plus reimbursement at actual cost for directly
related job expenses such as travel, subsistence, printing, etc. Invoices are due and
payable no later than thirty (30) days of invoice date. A charge of 1.5 percent per
month will be added to all past due accounts.
If payments are not made in accordance with the provisions of the AGREEMENT, the
CONSULTANT may give written notice five (5) days in advance that he intends to
stop work, without penalty, until such payments are received. Following receipt of such
payments and prior to reinitiating work, the CLIENT and the CONSULTANT will
mutually agree on the schedule and costs for completing the terms of this
AGREEMENT.
G. Time of Performance
The services of the CONSULTANT will begin upon delivery to the CONSULTANT of
an executed copy of this AGREEMENT and will, absent causes beyond the control of
the CONSULTANT, be completed within four (4) calendar months thereafter.
H. Termination
The CLIENT and the CONSULTANT will have the right to terminate the
AGREEMENT by written notice to the other party at least thirty (30) days prior to the
specified effective date of such termination. In such event, all finished and unfinished
documents and work papers prepared by the CONSULTANT under the AGREEMENT
will, at the option of the CLIENT, become its property, and the CONSULTANT be paid
all costs incurred for services rendered up to the date of such termination.
I. Nondiscrimination
The CONSULTANT agrees not to discriminate by reason of age, race, religion, color,
sex, national origin, or handicap unrelated to the duties of a position, of applicants for
employment or employees as to terms of employment, promotion, demotion or transfer,
recruitment, layoff or termination, compensation, selection for training, or
participation in recreational and educational activities. Further, the CONSULTANT

is in compliance with the Equal Opportunity Clause as set forth in Executive Order
11246, as amended.
J. Excusable Delays
Except with respect to defaults of subcontractors of the CONSULTANT, the
CONSULTANT will not be in default by reason of any failure in performance of this
AGREEMENT in accordance with its terms (including any failure by the
CONSULTANT to make progress in the prosecution of the work hereunder which
endangers such performance) if such failure arises out of causes beyond the control and
without the fault or negligence of the CONSULTANT. Such causes may include, but
are not restricted or limited to, acts of God, or of the public enemy, acts of the
government in either its sovereign or contractual capacity, fires, floods, epidemics,
quarantine restrictions, strikes, freight embargoes, and unusually severe weather but
in every case the failure to perform must be beyond the control and without the fault
of negligence of the CONSULTANT or its subconsultant or its subcontractor. If the
failure to perform is caused by the failure of a subconsultant or subcontractor to
perform or make progress, and if such failure arises out of causes beyond the control
of both the CONSULTANT and the subcontractor, and without the fault or negligence
of either of them, the CONSULTANT will not be deemed to be in default.
K. Progress Reviews
When the total money due the CONSULTANT approaches a point near 50 percent of
the maximum compensation provision set forth in Paragraph E, the CONSULTANT will
review with the CLIENT the work already accomplished and the work anticipated to
complete the AGREEMENT. The purpose of this review will be to determine if the
PROJECT is proceeding within the intended terms specified in the AGREEMENT. If
it is determined that during the course of the PROJECT events have caused deviation
from the terms of the AGREEMENT, the CONSULTANT together with the CLIENT
will agree on a procedure to allow completion of the PROJECT within the terms of the
AGREEMENT or will agree to negotiate modifications to the AGREEMENT to provide
for completion of the PROJECT.
L. Indemnification
In the event of a willful or negligent act or omission by a party to this AGREEMENT,
that party will hold the other harmless from and against any damage, claim or loss
resulting to the other therefrom.

M. Personnel
All of the services will be performed by the CONSULTANT with assistance from the
North Central Texas Council of Governments, by subcontract. None of the work or
services covered by the AGREEMENT will be subcontracted to any other entity without
the prior written approval of the CLIENT. The CONSULTANT represents that he has,
or will secure at his own expense, all personnel required to carry out and perform the
Scope of Services of this AGREEMENT. Such personnel will not be employees of or
have any relationship with any of the members of the CLIENT. Such personnel will
be fully qualified and will be authorized under state and local law to perform such
services.
N. Limitation of Services
Because of the nature of the CONSULTANT's services to the CLIENT, the extent of
the CONSULTANT's staff time to be expended in performing services outlined in
Attachment A will be limited to the services which can be performed within the
maximum provisions established in Paragraph E (CONSULTANT's Compensation) of
this AGREEMENT.
O, Time for Which AGREEMENT is Valid
The terms of this AGREEMENT will become valid assuming that the AGREEMENT
is executed prior to November 1, 1989.

Subta�k 1 2 - Scope Review
At the initial meeting of the Project Advisory Committee, the project scope will be
reviewed and modified to the satisfaction of the committee members within the
approved project budget.
TASK 2.0 - AGENCY COORDINATION
The Thoroughfare Plan is interrelated with a number an Updateemustn be closely

responsible for these other planning elements, to assure that all plans are compatible
and consistent with each other.
Subtask 2.1 Identify Al] Participants
The comprehensive nature of the Thoroughfare Plan review and update will involve
numerous governmental agencies and private organizations as well as interested
individuals. With the assistance of the City's staff, representatives of the following
three groups will be identified and contacted regarding their desired roles, plans, and
any updating they arc doing to their plans:
1. All City departments and functions which have responsibilities for
thoroughfare - related plans and implementation.
2. Outside governmental agencies which have responsibilities for
thoroughfare - related plans, including:
a. Dallas County
b. Adjacent city governments
C. Appropriate adjacent county governments
d. NCTCOG

3. Interest groups which will be most directly affected by the West Side
Thoroughfare Plan Update, including:

Subtask 2.2 - Initial Coordination
Through contacts with appropriate representatives of each agency or group, we will
determine their plan status and priories and interest in Coppcll's Thoroughfare Plan.
TASK 3.0 - ASSESSMENT OF CURRENT PLAN
The City of Coppell has experienced phenomenal growth during this past decade.
The purpose of this task will be to evaluate the current Thoroughfare Plan map, and
to identify the changes that should be made at part of the plan update in Task 4.
Subtask 3.1 - Thoroughfare Classification System
All segments of the urban street system must serve two distinct functions -- access to
local land uses, and through movement between different locations. The relative
importance of these functions on each facility are used to determine its classification
and design standards.
When an area grows, travel demand and the function of individual facilities change.
It is the purpose of this task to take a comprehensive look at the current classification
system to assure that it adequately meets current and future needs, and to recommend
any changes necessary to make the system more responsive to the city's needs.
The current classification system will be evaluated on the basis of the functional needs,
spacing, land uses served, traffic volumes and current design standards. From the
analysis, the type of changes and their potential application will be identified and the
probable impact of these changes on thoroughfare network planning addressed.

Subtask 3.2 - Subarea Needs
The purpose of this subtask is to assess the needs of the West Side Industrial District,
the Historical District, and any other subarea deemed important by the City. The West
Side Industrial subarea is currently experiencing rapid growth and consequently is the
origin of many thoroughfare plan revision proposals. Each subarea has its own special
needs and problems. These problems, such as insufficient right -of -way, excessive traffic
volumes, neighborhood intrusion, and other issues, both quantitative and qualitative,
need to be identified.
The existing thoroughfare plan will be compared against the high growth corridors
identified through 2010 population and employment data available from the North
Central Texas Council of Governments (NCTCOG). Based on this socioeconomic data
and on the results of NCTCOG's validation of the TRANPLAN travel forecast model,
an evaluation will be made of the potential deficiencies and shortfalls of the existing
thoroughfare plan.
Following the assessment of the current plan, a public meeting will be conducted to
present the results of our efforts, hear input from interested parties, and provide
guidance for project completion.
Subtask 3.3 - Thoroughfare Plan Assessment Memorandum
This report will summarize the findings and conclusions of the above subtasks in a
concise form, outlining the deficiencies of the current Thoroughfare Plan and the new
alternatives that should be considered during the Plan update in Task 4.0.
Ten (10) copies of this memorandum will be submitted in draft form for City staff
review and subsequently be completed to reflect City suggestions.
TASK 4.0 - PREPARE UPDATED THOROUGHFARE PLAN
The objective of this task is to produce updated Thoroughfare Plan Maps for adoption
by the City staff, the Planning and Zoning Commission, and the City Council.

The plan update may involve revision of the thoroughfare network and thoroughfare
alignments provisions for upgrading system operation through intersection
improvements.
Subtask 4.1 - Thoroughfare Classification System
Changes in land use and new development tend to alter over time the magnitude and
patterns of travel demand. This necessitates periodic review of the urban thoroughfare
network and functional classification of individual facilities. While this generally
means upgrading of facilities in a growing area, in certain established areas it can also
involve downgrading of the classification or even complete removal of that segment
from the thoroughfare network.
Initial modification of functional classification will be based on the results of Subtask
3.1. Systems analysis will be conducted for the proposed network using traffic
assignments based on future growth policies. NCTCOG's TRANPLAN capabilities will
be used to test the current requests (specifically in the West Side Industrial District) to
modify this plan. One alternative plan will be tested. Areas of deficiencies will be
identified and required changes will be reviewed with City staff to make sure that
these changes are not in conflict with local objectives. The functional classification
system will be coordinated with the adjacent communities, as required to maintain
system continuity. The final plan will be published in tn"t n.,,�rc ror community

The output of the subtask will be a recommended new functional classification map
for the entire City of Coppell.
Subtask 4.2 - Tntersection Improvements
Major intersection needs will be determined using the travel forecasts developed
previously. TRANPLAN results will be reviewed and manually adjusted to account for
inherent characteristics of computerized traffic assignments such as concentrations
around ccntroid connectors and single links representing several streets. When
adjustments arc made, these volumes will serve as the base from which to identify
intersection improvements, in conjunction with existing traffic volumes (if available).
Intersections will be grouped by the type of improvement(s) required to accommodate
the projected traffic volumes. Those intersections that will require additional right -
of -way to accommodate grade separation or special turn lanes will be identified. The
amounts of additional right -of -way required will be estimated based on the type of
improvement.
When all of the recommended intersection improvements have been identified and
listed by type of improvement required, they will be presented to City staff for review
and comment. Based on the type of improvement and its impact on adjacent land uses,
certain improvements with possible adverse impacts on a neighborhood may be
presented to the affected neighborhood group.
Based on staff input, and in certain cases, comments from neighborhood
representatives, the list of proposed intcrscction improvements will be revised and
prepared in final form. Locations for intersection improvements and uired
additional right -of -way will also be idcntified in map form (on the Thoroughfare Plan
map).
Subtask 4.3 - Inter- Agency Coordination
Since a typical driver is not aware of jurisdictional boundaries between cities, every
effort should be made to maintain functional classification and design standards across
city boundaries as long as traffic demand does not change.
During this subtask, preliminary and functional classifications developed in Subtask
4.1 will be reviewed with officials and staff of adjacent jurisdictions. Potential
conflicts will be identified, and where necessary, special treatments will be developed
for specific roadways to attain reasonable uniformity and network continuity. If
necessary, special transition sections will be prepared where change at municipal
boundaries may be too abrupt and compromise seems unlikely. These special transition
segments will be incorporated as special provisions of the Thoroughfare Plan Report.

Subtask 4 4 - Documentation
A final report will be prepared to document the thoroughfare plan. Included in the
final report will be a functional classification system to include design guidelines,
access control, grade separation, and other elements considered in the study. A large
scale thoroughfare plan map will be prepared and included with or in the plan report.
The draft final report will be presented to the Planning and Zoning Commission for
consideration and comment. Comments will be incorporated into the final report which
will be presented to the City Council for formal adoption. The Consultant will be
available on an optional basis to assist City staff in addition meetings or presentations
and /or technical work.
TASK 5.0 - MEETINGS
Eight (8) formal meetings have been identified for this Work Program. They consist
of:

1. The completion of the services to be performed by the CONSULTANT under the
AGREEMENT is contingent upon the timely receipt from the CLIENT, at no cost to

CLIENT will assist the CONSULTANT by assembling and promptly making available
information pertinent to the PROJECT, including any previous reports and other data
relative to the execution of the PROJECT.

2. The CLIENT will examine all studies, reports, sketches, estimates, specifications,
manuals, drawings, proposals, correspondence, and other documents presented by the
CONSULTANT and shall notify the CONSULTANT in writing of decisions pertaining
thereto within three (3) weeks from the submittal date. In the event that such
notification is not provided to the CONSULTANT, it shall be assumed that the
materials are acceptable as submitted.
3. The CLIENT will designate in writing a person(s� to act as its rcprescntativc(s) with
respect to the work to be performed under this AGREEMENT and such persons) shall
have authority to transmit instructions, receive information, interpret and define the
CLIENT's policies, and provide decisions in a timely manner pertinent to the work
covered by this AGREEMENT until the CONSULTANT shall have been advised by the
CLIENT that such authority has been revoked.
4. The CLIENT will assume the primary responsibility for the coordination of the Project
Advisory Committee and the CONSULTANT (including the services of the
CONSULTANT) and will be responsible for providing timely directives to the
CONSULTANT during the execution of this PROJECT.
5. Services to be rendered by the CLIENT to the CONSULTANT consist of the following:
1. Appoint up to 12 members to an Advisory Committee,
2. Identify interested community groups,
3. Supply all pertinent data, reports, studies, etc.

This letter confirms our recent discussions concerning the assistance of the North Central
Texas Council of Governments ( NCTCOG) in the West Side Thoroughfare Plan Update Study
for the City of Coppcll. The agreement between Barton - Aschman Associates, Inc. (BA) and
NCTCOG would be to provide the scope of services summarized below.
SCOPE OF SERVICES
1. Furnish BA with link, node, and centroid connector maps, link listings, and all other
necessary data for BA to code the Coppcll network for use in TRANPLAN model.
2. Calibrate TRANPLAN network using 1986 data.
3. Test one future network for the City of Coppell evaluating all thoroughfare options
using the calibrated model and year 2010 data. Provide volume plots and volume -to-
capacity plots.
4. Provide intersection node turning movement data (up to 50 nodes) for network tested
in Task 3.
PROJECT SCHEDULE
NCTCOG will begin work as soon as authorized by BA. The scope of services presented above
will be completed with 60 calendar days after the starting date.
FEES FOR SERVICES AND METHOD OF BILLING
Fees and expenses for completing the Scope of Services outlined above will be based on
NCTCOG's hourly rates, current at the time of performance, for staff services rendered. The
total cost will not exceed $7,000, of which the total cost billable to BA will not exceed $2,000.
The remaining $5,000 will be compensated from the City of Coppell's Technical Assistance
Budget at no charge to the City of Coppell.
Invoices will be submitted to BA monthly for costs incurred during the preceding month. BA
will include NCTCOG's invoice with BA's regular billings to the City of Coppcll. BA will
make payment to NCTCOG within ten (10) days following receipt of payment from the City
of Coppcll.
