Reservations from and Exceptions to Conveyance and Warranty: This conveyance is made and accepted subject to any and all easements, restrictions, reservations, conditions and matters of record as same may affect the herein described property. Grantor hereby reserves a non-exclusive 25-foot temporary construction easement (the "Temporary Easement'') upon that portion of the Property extending along its entire southeast boundary line for use by Grantor in connection with the construction of improvements upon the real property adjacent to such boundary line and presently owned by Grantor. The Temporary Easement shall terminate and become null and void upon the first to occur of (i) the expiration of five (5) years after the date hereof, or (ii) at such time as all improvements along such boundary line to be constructed by Grantor have been completed and written notice thereof has been given by Grantor to Grantee. Grantor hereby agrees to indemnify and hold harmless Grantee from any costs and damages, whether to property or persons, resulting from the activities of Grantor within the Temporary Easement. Grantor further agrees that it will use its reasonable efforts not to unreasonably interfere with the use and enjoyment of the Property by Grantee in connection with Grantor's use of the Temporary Easement. Upon completion of the activities of Grantor within the Temporary Easement, Grantor will cause the land situated within the Temporary Easement to be restored to substantially the same condition in which it existed prior to the performance of Grantor's work to the extent of any damage caused by Grantor. The provisions of this and the above paragraphs relating to the Temporary Easement shall inure to the benefit of, and shall be binding upon, Grantor and its successors and assigns, provided that the indemnification provisions and other obligations of Grantor hereunder shall be binding only upon the party using the Temporary Easement from time to time. Grantor, for the consideration and subject to the reservations from and exceptions to conveyance and warranty, grants, sells, and conveys to Grantee the property, together with all and singular the rights and appurtenances thereto in any wise belonging, to have and hold it to Grantee, Grantee's heirs, executors, administrators, successors, or assigns forever. Grantor hereby binds Grantor and Grantor's heirs, executors, administrators, and successors to warrant and forever defend all and singular the property to Grantee and Grantee's heirs, executors, administrators, successors, and assigns, against every person whomsoever lawfully claiming or to claim the same or any part thereof, by through or under Grantor, but not otherwise, except as to the reservations from and exceptions to warranty.
