As you know, both Champion and Duke Weeks have been working for quite some time on an agreement whereby our respective affiliated entities would cooperate to allow gravity flow of storm water from the detention pond on the Champion land through the drainage system to be constructed on the Duke-Weeks land. The enclosed Drainage Easement is that agreement. Thank you for your assistance in helping this to occur. Accordingly, CP-Coppell Industrial, Ltd. and Champion Partners respectfully request that the city approve our plans which are on file in Engineering, which call for the gravity discharge of storm water from the Champion property. Your approval, based upon the design documents and the enclosed agreement, will allow us to continue our construction as soon as possible. WITNES SETH: A. Champion is the owner of certain land described on Exhibit A attached hereto and incorporated herein by reference (the "Champion Land"). B. Duke-Weeks is the owner of certain land described on Exhibit B attached hereto and incorporated herein by reference (the "Duke-Weeks Land"). C. The Champion Land adjoins the Duke-Weeks Land, and is higher than the Duke- Weeks Land, and Champion desires to develop the Champion Land. Such development shall necessitate the provision of a drainage system to accommodate the flow of the run off of surface waters flowing from the Champion Land across the Duke-Weeks Land, so as to fulfill the legal requirements applicable to such run off and enable Champion to secure certain governmental approvals and permits required as conditions to authorize Champion to conduct the development of the Champion Land. Accordingly, Champion desires to induce Duke-Weeks to construct a drainage system upon the Duke-Weeks Land and to obtain the right to connect into the drainage system contemplated to be constructed by Duke-Weeks upon the Duke-Weeks Land, and in consideration of the payment to Duke-Weeks of the Access Fee (as hereinafter defined) Duke-Weeks is willing to grant an easement permitting Champion to do so, subject to and upon the terms and conditions contained herein. NOW THEREFORE, for and in consideration of the foregoing, the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties to this Agreement hereby agree and covenant as follows: 1. Access Fee. In consideration of Duke-Weeks entering into this Agreement and granting to Champion the easement fights provided under this Agreement, Champion shall pay to DRAINAGE EASEMENT - Page 1 biaXduke-weeks~coppell\drainage easementSa Duke-Weeks the sum of Two Hundred Thousand Dollars ($200,000.00) (the "Access Fee") The Access Fee shall be payable as follows: Within fifteen (15) days from the full execution of this Agreement, Champion shall (i) pay to Duke-Weeks an initial installment of the Access Fee in the amount of One Hundred Thousand Dollars ($100,000.00) and (ii) deposit with Allegiance Title Company, 2100 McKinney Avenue, Dallas, Texas 75201, Attention: Alan Edmondson (the"Escrow Agent") the sum of One Hundred Thousand Dollars ($100,000.00), which sum shall be placed in an interest bearing account (such deposit, together with all interest from time to time accruing thereon, is hereinafter referred to as the "Escrow Deposit"). The Escrow Agent shall hold and disburse the Escrow Deposit in accordance with that certain Escrow Agreement (the "Escrow Agreement") by and between Champion, Duke-Weeks and Escrow Agent dated of even date herewith. Upon the delivery by Duke-Weeks to the Escrow Agent of a copy ora letter or certificate addressed to Duke- Weeks from a professional engineer or the Director of Engineering of the City (as hereinafter defined) or his designee that the Duke-Weeks Drainage System (as hereinafter defined) has been completed (except for any seeding or sodding remaining to be performed) in all material respects in accordance with the plans therefor approved by the City (as hereinafter defined) or upon the issuance by the City of a certificate of occupancy for a building developed upon the Champion Land, whichever shall earlier occur, the Escrow Agent shall disburse the Escrow Deposit to Duke-Weeks. 2. Construction of Duke-Weeks Drainage System. Notwithstanding any term or provision of this Agreement to the contrary, in the event that Duke-Weeks does not secure a full release permit from the City by February 1, 2001 despite using its best efforts to do so, then this Agreement shall terminate, and Duke-Weeks shall refund to Champion the $100,000.00 initial payment made by Champion to Duke-Weeks and Escrow Agent shall refund to Champion the Escrow Deposit made by Champion pursuant to Section 1 above, and neither party shall have any other or further fights or obligations under this Agreement. No later than May 1, 2001 (the "Completion Deadline Date"), Duke- Weeks shall complete the construction of a drainage system (the drainage system constructed by Duke-Weeks, as from time to time modified, is sometimes hereinafter referred to as the "Duke-Weeks Drainage System") upon the Duke-Weeks Land. Furthermore, no later than February 1, 2001 Duke-Weeks shall notify Champion as to whether Duke-Weeks will complete the Duke-Weeks Drainage System by the Completion Deadline Date. If Duke-Weeks fails to provide the required notice on or before February 1, 2001, or if Duke-Weeks notifies Champion that the Duke-Weeks Drainage System will not be completed by the Completion Deadline Date, or if Duke- Weeks notifies Champion that the Duke-Weeks Drainage System will be complete by the Completion Deadline Date but fails to commence construction of the Duke-Weeks Drainage System by March 1, 2001 (the "Commencement Deadline Date") and diligently pursue the work thereafter to its completion on or before the Completion Deadline Date, then Champion will have the fights provided under Section 6 of this Agreement. The Duke-Weeks Drainage system shall initially consist either of the following two alternative drainage facility systems: A temporary outlet control system (the "Temporary_ Outlet Control System") as depicted on Exhibit C attached hereto and made a part hereof by this reference, to be constructed in accordance with the plans, if any, referred to on Exhibit C (the "Temporary Outlet Control System Plans") and upon the area (the "Temporary Outlet DRAINAGE EASEMENT - Page 2 bia~uk~-~,~eovwll~ai~ag¢ e~em~tSa Area") described on Exhibit C; or A drainage system (the "Permanent Drainage System") as depicted on Exhibit D attached hereto and made a part hereof by this reference, to be constructed in accordance with the plans, if any, referred to on Exhibit D (the "Permanent Drainage System Plans"). The plans and design of the Duke-Weeks Drainage System to be constructed by Duke-Weeks may be modified or altered (either initially or subsequent to the completion thereof) as Duke-Weeks sees fit so long as (i) such modified or altered Duke-Weeks Drainage System has adequate capacity to accept storm water run off ("Storm Water") directly discharged from the pond situated upon the Champion Tract as depicted on Exhibit E (the "Champion Pond"), which shall be discharged from the Champion Pond to the point of access (the "Access Point") depicted on Exhibit E (provided, however, that in any event the Access Point shall be located so as to be consistent with and directly across from the inlet location designated in the Permanent Drainage System Plans, and (ii) any such modification or alteration secures all requisite approvals from the City of Coppell, Texas, a home rule city ("City"). Should Duke-Weeks construct the Temporary Outlet Control System, it may nonetheless thereafter construct and install in lieu thereof the Permanent Drainage System upon the conditions set forth in this Section 2. For the purposes of this Agreement, the Duke-Weeks Drainage System shall mean and refer to only the Drainage System depicted on Exhibit C or Exhibit D, as applicable and not any other drainage system or drainage facility, and shall consist only of the drainage system that receives Storm Water from the Champion Land as so depicted and in accordance with the approved plans therefor, and shall not be deemed to include any tributary system or other drainage facility (including any portion of any drainage system) within any other portion of the Duke- Weeks Land. Notwithstanding any term or provision of this Agreement to the contrary, the Commencement Deadline Date and the Completion Deadline Date, as appropriate, shall be extended (and the date on which Champion shall be entitled to exercise its rights pursuant to this Section 2 and Section 6 below) to the extent that Duke-Weeks' performance is delayed by virtue of natural catastrophe, contractor bankruptcy, or any similar unforseen problem outside the reasonable control of Duke-Weeks at the time of the execution of this Agreement. 3. Construction of Champion Drainage System. Champion intends to construct a drainage system ( the "Champion Drainage System") upon the Champion Land as depicted on and in accordance with the plans referred to on Exhibit E attached hereto and made a part hereof by this reference (the "Champion Plans"). It is agreed that the plans and design of the Champion Drainage System to be constructed by Champion may be modified or altered as Champion sees fit so long as (i) Storm Water is discharged from such modified or altered Champion Drainage System at the Access Point from the Champion Pond or at a discharge rate no greater than (a) 78 cubic feet per second, in respect of any 2 year storm event, (b) 95 cubic feet per second, in respect of any 5 year storm event, and (c) 153 cubic feet per second, in respect of any 100 year storm event, as the case may be, and (ii) any such modification or alteration secures all requisite approvals from the City. 4. Grant of Easement. Duke-Weeks hereby grants, sells and conveys to Champion, its DRAINAGE EASEMENT - Page 3 biaktuke-we~ksXcoppellXdrainage casement5a heirs, representatives, successors and assigns, a permanent easement to connect, from and after the date of the completion of the Champion Drainage System and the Duke-Weeks Drainage System, the Champion Drainage System to the Duke-Weeks Drainage System at the Access Point so as to drain Storm Water originating from or naturally flowing onto the Champion Land into the Duke-Weeks Drainage System, and a Temporary Easement (as hereinat~er defined in Section 6 of this Agreement) to have and to hold the same upon and subject to the terms and conditions of this Agreement. These easements are granted, subject to all encumbrances and other matters (i) of record in the real property records of Dallas County, Texas (provided, however, that Duke-Weeks represents and warrants to Champion that no deed of trust or mortgage lien encumbers the Duke- Weeks Land and Duke-Weeks has not granted to any party any right, title or interest in respect of the Duke-Weeks Land which would impair the rights granted to Champion hereunder) and/or (ii) visible and on the ground that a correct survey would reveal, to the full extent same exists and affect the easement herein granted. It is understood and agreed that this Agreement is an easement only and in no way grants or conveys any part of the underlying fee simple estate of any land owned by Duke-Weeks, nor does Duke-Weeks make any representation or warranty as to the state of title to the Duke-Weeks Land. 5. Maintenance; Hazardous Materials. Each party agrees to maintain the drainage system and related improvements on its respective property in a manner to allow the continued flow of water as intended under the terms of this Agreement. Champion agrees that Champion's storm water management on the Champion Land shall be in compliance with all applicable laws, ordinances and regulations regarding environmental and hazardous materials and soil erosion control. 6. Failure or Inability to Construct Duke-Weeks Drainage System. In the event that Champion is entitled under Section 2 hereof to exercise its fights under this Section 6, then in any such case Champion, as its sole and exclusive remedy for such default, may elect (but is not obligated to do so) to construct or complete the construction of the Temporary Outlet Control System upon the Duke-Weeks Land and recover from Duke-Weeks all reasonable costs paid by Champion to third parties to do so, by disbursement of the applicable sum from the Escrow Deposit pursuant to the Escrow Agreement, and, to the extent that the aggregate sum of such costs exceeds the Escrow Deposit, the remainder of such aggregate sum, but in no event more than $100,000.00 in the aggregate, directly from Duke-Weeks. Duke-Weeks hereby grants, sells, and conveys to Champion, subject to the matters specified in Section 4 of this Agreement, a temporary easement (the "Temporary_ Easement") to enter upon the Temporary Outlet Area and construct the Temporary Outlet Control System thereon in accordance with this Section 6 in the event that Champion is entitled under Section 2 hereof to exercise its rights under this Section 6. In the event that Champion does so enter upon the Duke-Weeks Land, it shall remove any debris and restore to the Duke-Weeks Land to its original condition following any operations or activities engaged in by Champion engendering debris and/or causing damage to the Duke-Weeks Land, such obligation to survive the termination of this Agreement. If for any reason neither Duke-Weeks nor Champion is able to construct the Duke-Weeks Drainage System on or before the Completion Deadline Date, then DRAINAGE EASEMENT - Page 4 bia~duke-weeksXcoppelgdrainage easementSa Champion will have the right (but not the obligation), upon giving written notice of Champion's termination of this Agreement to Duke-Weeks, to construct an alternate drainage system on the Champion Land in accordance with Section 3, and Champion shall receive a refund from Duke- Weeks of the initial $100,000.00 portion of the Access Fee paid by Champion to Duke-Weeks pursuant to Section 1 of this Agreement and the Escrow Deposit shall be disbursed to Champion by the Escrow Agent, whereupon this Agreement shall terminate. The foregoing reimbursement obligation shall survive the termination of this Agreement. 7. Failure to Construct Champion Drainage System. Although Champion is not obligated to construct the Champion Drainage System, the compliance of the Champion Drainage System with the requirements of Section 3 of this Agreement is a condition precedent to the right of Champion to discharge Storm Water into the Duke-Weeks Drainage System. 8. Successors and Assigns. The easements hereby granted, the obligations hereby imposed, and the other agreements herein contained (whether affirmative or negative in nature) shall be perpetual easements, obligations, agreements, and covenants running with the Champion Land, and the Duke-Weeks Land (as applicable) and shall inure to the benefit of, and be binding upon, the parties hereto and their respective heirs, legal representatives, successors, and assigns (including, without limitation, subsequent owners and ground lessees of the property benefitted or burdened thereby) and all persons claiming under them. For the purposes of this Agreement, the terms "Champion" and "Duke-Weeks" mean the parties to this Agreement and the subsequent owners of the Champion Land and the Duke-Weeks Land (or any portion of the Champion Land or the Duke- Weeks Land), respectively. 9. Limitation on Obligations. The obligations of Champion, Duke-Weeks, and subsequent owners of the Champion Land and the Duke-Weeks Land, respectively, are limited to the obligations accruing during their respective periods of ownership, and upon the conveyance of any portion of the Champion Land and the Duke-Weeks Land by the owner thereof, such property owner's rights and obligations under this Agreement with respect to the portion conveyed shall cease and terminate effective as of the date of such conveyance. At that time, such property owner will be released of all further obligations (except for obligations accruing prior to the date of such conveyance) and the grantee will succeed to such rights and obligations from and after the date of conveyance. 10. Interpretation. Whenever the singular or plural number, masculine or feminine or neuter gender is used herein, it shall equally include the others and shall apply jointly and severally. The terms "hereof", "hereunder", "herein" and words of similar import shall refer to this entire Agreement and not to any particular section or paragraph of this Agreement. All references to Sections are to this Agreement unless otherwise specifically noted. This Agreement has been negotiated and jointly prepared by Champion and Duke-Weeks with the assistance of their respective legal counsel and the parties agree that, notwithstanding any otherwise applicable rule of law or principle of interpretation to the contrary, no term or provision of this Agreement shall be interpreted DRAINAGE EASEMENT - Page 5 biaktuke-weeksXcoppellXdrainage easement5a in favor of or to the detriment of either party by virtue of the authorship or purported authorship hereof. 11. Notices. Any notice which a party is required or may desire to give to any other party shall be in writing and shall be sent,by courier or other method of hand delivery, by United States registered or certified mail, return receipt requested, postage prepaid, or by a generally recognized overnight carrier regularly providing proof of delivery, addressed as follows (subject to the right of a party to designate a different address for itself by notice similarly given): To Champion: CP-Coppell Industrial, Ltd. c/o Champion Partners, Ltd. 15601 N. Any notice so given by mail shall be deemed to have been given on the earlier to occur of(i) three (3) days after deposit in the mails, or (ii) as of the date on which delivery is either accepted or refused, as established by U.S. Post Office return receipt. Any notice so given by a generally recognized overnight courier shall be deemed to have been given on the date delivery is attempted or made, as established by the overnight carrier's proof of delivery, as the case may be. Any party hereto may change its notice address by delivering a new address to the other parties in accordance with the notice requirements set forth herein. 12. Further Instruments. The parties hereto agree to execute any and ali further instruments and documents and take all such action as may be reasonably required by any party hereto to effectuate the terms, provisions and intent of this Agreement. 13. Subordination; Consent. Any mortgage, deed of trust, ground lease, or other lease hereaPter granted or entered into with respect to the Champion Land or the Duke-Weeks Land shall be subject, subordinate, and inferior to the easements, rights, benefits, and obligations created hereby, and the foreclosure under any such mortgage or deed of trust shall not extinguish or impair the easements, rights, benefits, and obligations created by this Agreement. Duke-Weeks hereby represents and warrants that no mortgage, deed of trust, ground lease or other lease currently encumbers the Duke-Weeks Land. This Agreement may not be terminated, amended, modified, altered, or changed in any respect except by an amendment in writing duly executed by Champion and Duke-Weeks; provided, however, that this Agreement may be terminated by Duke- Weeks in the event that Champion fails to timely pay the initial installment of the Access Fee to Duke-Weeks or the Escrow Deposit to the Escrow Agent. Duke-Weeks and Champion agree to execute an amendment terminating this Agreement if the Champion Land is hereafter served by a drainage system within the Champion Land that does not require access to the Duke-Weeks Land to comply with governmental requirements then in effect applicable to the Champion Land. In the event that this Agreement is terminated by Duke-Weeks pursuant to this Section 14 or is terminated pursuant to Section 2 or Section 6 of this Agreement, then in any such case Duke-Weeks may execute and record a notice of termination of this Agreement in the real property records of Dallas County, Texas, and any third party may rely thereon as conclusive and sufficient evidence for all purposes of the termination of this Agreement. 15. Severabilit¥. If any of the provisions in this Agreement or the application thereof to any person or situation shall, to any extent, be held invalid or unenforceable, the remainder of this Agreement and the application of such provisions to persons or situations other than those as to which it shall have been held invalid or unenforceable, shall not be affected thereby and shall continue valid and be in full force to the fullest extent permitted by law. 16. Headings. The headings and captions contained in this Agreement are for convenience and reference only and in no way define, limit or describe the scope or the intent of this Agreement. 17. Governing Law. The validity of this Agreement and all of its terms and provisions, as well as the rights and duties of the parties, shall be interpreted and construed in accordance with the laws of the State of Texas. 18. Exhibits. All exhibits referred to herein and attached hereto are hereby incorporated into and made a part of this Agreement for all purposes. 19. Entire Agreement. This Agreement embodies the entire agreement between the parties relating to the subject matter hereof and supersedes all prior agreements and understandings, if any, relating to the subject matter hereof. 20. Multiple Counterparts. This Agreement may be executed in a number of identical counterparts, each of which shall constitute an original and all of which shall constitute, collectively, one agreement. In making proof of this Agreement, it shall not be necessary to produce or account for more than one such counterpart. 21. NO WARRANTI]gS OR REPRESENTATIONS; WAIVER OF DECEPTIVE TRADE PRACTICES ACT. NEITHER DUKE-WEEKS NOR CHAMPION HAS MADE ANY REPRESENTATION OR WARRANTY WITlt RESPECT TO ANY MATTER PERTAINING TO THIS AGREEMENT EXCEPT AS EXPRESSLY PROVIDED HEREIN. DRAINAGE EASEMENT - Page 7 biak::luke-weeks~oppellklrainage easement5a EACH OF CHAMPION AND DUKE-WEEKS HEREBY WAIVES, TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, ANY RIGHT, REMEDY OR CAUSE OF ACTION WHICH CHAMPION OR DUKE-WEEKS, AS THE CASE MIGHT BE, MIGHT OTHERWISE ASSERT OR TO WHICH CHAMPION OR DUKE-WEEKS MAY OTHERWISE BE ENTITLED UNDER THE DECEPTIVE TRADE PRACTICES ACT OR ANY OTHER CONSUMER PROTECTION STATUTE NOW OR HEREAFTER IN FORCE IN THE STATE OF TEXAS. EACH OF DUKE-WEEKS AND CHAMPION ACKNOWLEDGES THAT IT IS NOT A "CONSUMER" IN RESPECT OF THE DRAINAGE SYSTEM CONSTRUCTED BY SUCH PARTY AND THE OTHER PARTY HAS MADE NO REPRESENTATION OR WARRANTY WITH RESPECT THERETO, AND EACH OF DUKE-WEEKS AND CHAMPION ACKNOWLEDGES THAT IT HAS NOT ENTERED INTO THIS AGREEMENT TO ACQUIRE ANY GOODS OR SERVICES. IN NO EVENT SHALL DUKE-WEEKS OR CHAMPION HAVE ANY DUTY, LIABILITY OR OBLIGATION TO THE OTHER PARTY EXCEPT ONLY TO THE EXTENT EXPRESSLY PROVIDED OTHERWISE IN THIS AGREEMENT. This outfall structure will allow Duke Weeks to pass the storm water generated from Freeport Parkway as well as the storm water generated on the Champion development site to the down stream creek. The outfall structure is to be designed in a way to only allow a flow equal or less than currently exists (undeveloped conditions) Design Parameters: In order to quantify the amount of water that currently flows across the Duke Freeport Addition and the Champion Tract, a topographical survey was performed. This Survey indicated that a common discharge point was located in the Southwest Comer of the Duke-Freeport Addition. With this information the expected time of concentration as well as the drainage area contributing to this point were determined. Utilizing the Modified Rational Method, an existing floTM rote could be determine for the 2, 5, and 100 year storm, as can be seen in Table 1-1 below. EXHIBIT C TEMPORARY SYSTEM Based on this information as well as the Construction Documents for the extension of Freeport Parkway prepared by Pacheco Koch, a proposed drainage area was delineated. Both the existing as well as the proposed drainage areas can be seen on the following page (Figure 1-1). Next Pacheco Koch determined the effective volume that could be utilized in the detention ponds. By studying the topographical survey it was determined that the Duke-Freeport Addition would be able to release their water at a 508.6 elevation. After designing a channel that would interconnect the discharge point to the detention pond, it was determined that the normal water surface elevation would have to be at a 509 elevation with a 100 year'water surface elevation of 512. It should be noted that although the normal water surface elevation has increased fi.om the original drainage study, the 100 year water surface elevation has not changed. Another component required to design the outfall structure consisted of picking a rainfall distribution pattern that would effectively model this watershed. As was done in the previous drainage study the Modified Rational Method is only effectively for small watersheds, Pacheco Koch took the approach of using a unit hydrograph. By utilizing the unit hydrograph the same input values such as the rainfall intensity, nmoff coefficient, and drainage areas could be utilized. The only values that would change would be the rainfall distribution. This was achieved by taking a ratio of the peak rainfall, which is based on the storm duration, from time index zero and increasing the amount of rainfall as to reach the peak, time index 1.0, then lagging the storm out five times the pe.~k time. The ratio used in this exercise can be soon in Table 1-2. It was determined that a V-notched weir would be utilized. The reason for using the V- notched Weir was that its shape would aid in desiring a release rate needed to comply to City's requirements of the 2, 5, and 100 year storm events. Due to the fact that it was previously determined that the normal water surface elevation would need to be at a 509 elevation and that the 100 year water surface elevation would be at 512, the only variable that needed to be determined was the angle, at which the V-notched weir needed to be. Now that the shape of the ouffall was determined, Pacheco Koch utilized a program called "Pond Pack" to finalize its design. A trail and error approach was used to insure that a storm water release rate, for any of the three given events, would be equal or less than the storm water flow in existing conditions. The first step in this trial and error approach was to pick a starting angle for the weir. Once this'angle was set, the EXHIBIT C TEMPORARY SYSTEM watershed was analyzed by testing the outfall structure at various storm durations in efforts to determine which storm duration would control the design as well as to see if the configuration of the weir was adequate in handling the flows. When it was determined that too much water was passing through the weir, the angle of the V- notched weir was decreased. Once the angle was decreased, the revised outfall structure was then re-tested to ensure that the same storm duration controlled the design as well as to ensure that the amount of flow across the weir was equal or less than in existing conditions. It was determined through these iterations that a 90 minute storm would control the design of the weir and that a V-notched weir with an internal angle of ninety degrees would be sufficient. Provided in Table 1-3 is a summary of the resulting analysis of the various storm events.
