KNOW ALL MEN BY THESE PRESENTS: That the undersigned, Fellowship
Church, a Texas corporation hereinafter called GRANTOR, and Texas Midstream Gas Services,
LLC, with principal offices at PO Box 18162, Oklahoma City, Oklahoma 73154-0162,
hereinafter called GRANTEE, for and in consideration of the sum of Ten Dollars ($10.00) in
hand paid, and other consideration, the receipt of which are hereby acknowledged, does hereby
grant, convey, and warrant unto Grantee, a right of way thirty feet (30') in width, and an
additional twenty-five feet (25') in width as temporary work area adjacent to and parallel with
thc; right of way, both as more particularly described in Exhibit A attached hereto and
incorporated herein by reference, for the purpose of simultaneously constructing, maintaining,
operating, removing and replacing one (1) twenty-four inch (24") or smaller nominal diameter
pipeline and appurtenances below ground, for the transportation of oil, condensate, gas, water, or
any other material or substance which can be transported by pipeline over and across the tract
de,cribed in Exhibit A and Exhibit B attached hereto and made a part hereof GRANTEE's

Grantee agrees to notify Grantor at least one week prior to entry upon the property for e'�
co.istruction. ;(
To have and to hold unto said Grantee, its successors and assigns, together with the right
of ingress to and egress within the boundaries of the right of way across the above-described
tract of land for the purposes of constructing, operating, inspecting, repairing, maintaining,
replacing or removing said pipelines and appurtenances of the Grantee located thereon, in whole
or in part.

Grantee shall have the right from time to time, to cut and keep clear all trees,
undergrowth, and remove any other obstructions that may injure, endanger, or interfere with the
use and maintenance of said pipeline or fittings and appliances appurtenant thereto.
This right of way is further subject to the right of Grantor, its successors, assigns,
transferees, or lessees (which right is expressly reserved) to use, occupy and enjoy all of the
property above described, for all purposes, in such manner and at such times as it, they, or any of
the;m shall desire to use same, including, but without limitation, the right of conducting mineral
operations on any of such property and for the purpose of developing, farming, grazing, hunting
ani trapping thereon; provided, however, that such use and occupation shall not interfere with
the rights granted to Grantee herein. Grantor may build roads or other amenities across the right
of way but may not plant trees upon the permanent right of way granted herein. Grantor agrees
to not build, create or construct nor permit to be built, created or constructed, any obstruction,
building, improvement or any other structure within said right of way and easement. However,
Grantee agrees that other utilities may be constructed within the easement provided such utilities
are constructed under Grantee's pipelines with a minimum vertical separation of thirty-six (36)
inches and no less than a forty-five(45) degree angle and notification is made to Grantee prior to
actual construction. Utilities such as electric, cable, etc., may be constructed within the easement
but may not be buried deeper than thirty-six (36) inches and must maintain a minimum of ten
(10) feet horizontal separation from Grantee's pipeline.Any such construction shall require prior
notification and approval of Grantee, which such approval shall not be unreasonably withheld,
denied or refused.
Grantee agrees to bury the top of the pipeline a minimum of (60") inches below the
surface so that it will not interfere with the cultivation of the land and to pay for all damage to
crops, fences, and timber occasioned by the construction, and laying of said pipelines. Grantee
shall not install any above ground appurtenances within the right of way except for cathodic test
leads and such signs as are required by law without the express written consent of Grantor.
Grantee shall restore the surface and contour of the right of way and workspace as nearly as is
practicable to the condition that existed before construction.
Grantee agrees to notify Grantor at least one week prior to entry upon the property
for construction. Grantor has the right, but not the obligation to be present during the
construction of the pipeline. Should Grantor exercise Grantor's right to be present during
constriction of Grantee's pipeline, Grantee agrees to not cover the pipeline until the Grantor or
Grantor's agent,,present during the time of construction, approves the depth of the pipeline in the
op;n ditch as contemplated under this agreement. Grantor agrees that such approval shall not be
unreasonably, withheld, denied or refused.
Grantee agrees to plant grass of the kind and quality existing on the adjacent property of
Grantor after the installation of the pipelines and that newly planted grass shall be established
during the growing season.
Grantee agrees to furnish an "as built" survey to Grantor upon completion of the
installation of the pipeline verifying the line sizes, depths, location of the pipeline within the
easement and metes and bounds of the easement.

The rights herein granted to Grantee may be assigned, in whole or in part, upon
nctification of such assignment to Grantor. All of the provisions hereof shall inure to the benefit
of and shall be binding upon the parties hereto, their successors arid assigns.
To have and to hold the said right of way and easement unto the said Grantee, its
successors and assigns, until such pipelines be constructed and so long thereafter as a pipeline is
maintained thereon; and the undersigned hereby binds themselves, their`.heirs, executors,
administrators, successors, and assigns.
It is further agreed that no construction activities will take place within one thousand
(1.000) feet of the church parking lot or church sanctuary from Saturday at noon until Monday at
9:00 a.m. It is also agreed that when boring under the parking lot, Grantee will either fill the
boring hole or will place a metal shield over the hole from Saturday noon until Monday at 9:00
a.rn.
This right of way grant shall ipso facto expire upon Grantee's removal of the pipeline and
failure to replace it and restore it to operating condition within any 30 day period.
Grantee assumes all risks and liability of any kind and nature incident to, occasioned by,
or resulting in any manner, directly or indirectly, from Grantee's operations; agrees to keep the
lands duly and fully protected against any such violations thereto, and against liens of every
character arising in connection with, or'resulting from, said operations; and agrees to indemnify
ani hold harmless Grantor against any and all liens, claims for property damage from
individuals, corporations or government agencies, personal injury or death sustained by any
person or persons whomsoever, natural or corporate, in connection with, or resulting from
Grantee's operations hereunder. Grantee agrees to indemnify, protect and hold harmless the
parties herein designated as "Grantor", their successors and assigns, of and from any and all
clk.ims, demands, causes of action, damages, liabilities and costs (including, but not limited to
reasonable attorney's fees, reasonable expert's fees and court costs) ("Costs"), arising out of
injury to persons (including death), injury or damage to or loss of any property(real or personal)
or improvements, remedial obligations, or violations of law caused by Grantee, its agents,
employees, servants, contractors or any person acting under its direction or control,or arising out
of, or incidental to, or resulting from the operations or obligations of or for the Grantee
W.IIETHER OR NOT SUCH COSTS ARISE OUT OF (1) NEGLIGENCE (INCLUDING SOLE
NEGLIGENCE, SINGLE NEGLIGENCE, CONCURRENT NEGLIGENCE, ACTIVE OR
PASSIVE NEGLIGENCE, BUT EXPRESSLY NOT INCLUDING GROSS NEGLIGENCE OR
WILLFUL',MISCONDUCT) OF GRANTOR AND AS LONG AS THE COMBINED FAULT
OF THE GRANTOR 1S LESS THAN FIFTY PERCENT (50%), OR (II) STRICT LIABILITY.
Such Costs include any and all reasonable expenses, penalties, fines, reasonable response costs
or reasonable clean-up costs arising out of or by virtue of any environmental law, common law
(whether arising in tort, contract or strict liability), statute, rule, regulation, order, or judicial
de,:ision (whether state, federal or local) arising out of or incidental to Grantee's operations of or
in connection with this agreement. For purposes of this paragraph, "Grantee" shall include its
agitnts, employees, servants, or independent contractors or any person or entity acting under
Grantee's direction or control. Grantee further covenants and agrees to defend any suits brought

against Grantor on account of said claims and to pay such judgments against or losses of Grantor
re;ulting from any such suit or suits together with all reasonable costs and reasonable expenses
relative to any such suit or suits together with all costs and reasonable expenses relative to any
such claims, including reasonable attorney's fees. Grantor shall have the right, at its sole cost
and expense, to participate in the defense of any suit or claim in which it may be a party without
relieving Grantee of its obligations hereunder. Further, Grantor shall never be liable for any
claims, demands, costs, expenses, damages, losses, causes of action or suits for damages because
of injury to persons or property arising out of the acts or omission of Grantee, its agents,
employees, servants, contractors or any person acting under its direction and control on said
lands. In the event either party to this agreement shall resort to a court of law or to arbitration to
enforce or interpret any provision, covenant, condition, duty, obligation or commitment, whether
expressed or implied, arising out of this agreement, then the non-prevailing party shall reimburse
tho prevailing party for all damages, losses, reasonable costs, fees nes and reasonable
expenses, including reasonable attorney's fees and expert witness tees, incurred in such suit or
arbitration.
As used in this Right of Way Agreement, the term "Hazardous Materials" means any
SU 3stance defined or identified as a hazardous, extra hazardous or toxic substance, waste, or
material, under any applicable federal, state, or local statue or.regulation. "Remedial Work' is
defined as any site investigation or monitoring, any cleanup, containment, remedial, removal, or
restoration work performed in response to any federal, state or local government authority or
private attorney general action, or pursuant toany federal, state or local statue, rule regulation or
other laws. Grantee agrees (1) to rern6v .from the premises, if, and when required by law, any
Hazardous Materials placed or released thereon by Grantee, (2) to perform remedial work where
the need therefore arises in connection,with Grantee's operations or activities on the premises,
ani (3) to comply in all respects,with all federal, state and local governmental laws and
regulations governing-operations by Grantee and remedial work on or associated with the
premises. All costs and expenses of remedial work made necessary by Grantee's operations
shall by paid by Grantee, including, without limitation, the charges of such contractors and/or
other reasonable charges.
It is mutually understood and agreed that this right of way grant as originally written,
co vers all the agreements and stipulations between the parties and that no representations or
statements, verbal or written, have been made, modifying, adding to, or changing the terms of
said original right of way agreement.
