SUBCONTRACT AGREEMENT FOR CONTRACTS O}' LIMITED SCOPE
This agreement is made this 22nd day of Auqust, 1995 by and between
NATGUN CORPORATION (Contractor) and S & S Telemetry Company
(Subcontractor) to perform the WORK identified in Articlel.2 in accordance
with the contract documents for the project.
PROJECT: 6.0 MG Village Parkway Ground Storage Reservoir No. 2
OWNER: City of Coppell, Texas
ENGINEER: Shimek, Jacobs, & Finklea, Dallas, Texas
ARTICLE 1
Contract Payment: The Contractor agrees to pay the SubcontraCtor for
satisfactory performance of the Subcontractor's work the sum of Twelve
Thousand Seven , Hundred Twenty-three and N0/100 Dollars ($12,723.00).
Progress payments, including payment for any authorized change orders,
less retainage in accordance with the project specifications, shall be
made to the Subcontractor promptly after receipt by the Contractor of
payment from the Owner for the Subcontractor's work and a Waiver and
Release of Lien from the Subcontractor. Final payment of the balance due
shall be made to the Subcontractor no later than seven (7) days after
receipt by the Contractor of final payment from the Owner for the
Subcontractor's work.
ARTICLE 2
Scope of Work: The Subcontractor agrees to commence Subcontractor's work
herein described upon notification by the Contractor and to perform and
complete such work, including any authorized change orders, in accordance
with the contract documents and under the general direction of the
Contractor, and in accord with the Contractor's schedule. The
Subcontractor is responsible for clean-up and removal off site of debris
caused by his work.
The Subcontractor acknowledges that he has reviewed and understands the
main contract documents regarding the WORK.
WORK description is per attached Exhibit A.
ARTICLE 3
Insurance: The Subcontractor shall procure and maintain in force Workmen's
Compensation Insurance, Employer's Liability Insurance, Automobile, and
Comprehensive General Liability Insurance, and all insurance required by
the Contractor to the limits in accordance with the attached Exhibit B.
ARTICLE 4
Indemnification: To the fullest extent permitted by law, the Subcontractor
shall indemnify and hold harmless the Owner, the Engineer (excluding
professional activities), and the Contractor from any and all claims,
damages, losses, or expenses, including attorneys' fees, caused in whole
or in part by any negligent acts or omissions of the Subcontractor or any
of its agents, employees, or subcontractors.
ARTICLE 5
Warranty: The Subcontractor warrants its work without cost to the Owner or
Contractor for a period of one (1) year from the date of substantial
completion of the project, or as otherwise provided by the contract
documents, against all deficiencies and defects in materials and/or
workmanship provided under this Subcontract Agreement.
In witness thereof, the parties have executed this Agreement under seal,
the day and year first written above.

6.0 MG Water Storage Tank
Location: Coppell, Texas
Telemetering - LUMP SUM ITEM: $12,723.00
Work to be performed includes furnishing all labor, materials,
equipment, and ihcidentals necessary for the installation of the
tank's water level sensing system (high water and low water
alarms), level transmitters, including concrete base, supports,
boxes, junction boxes, conduit, wiring, transmitters, drilling
(excluding the 3 inch core hole in the existing dome and X-ray of
dome), boring, trenching, patching, testing, calibrating,
permits, licenses, etc. to provide a complete, operable, tested,
and accepted system. All work shall be in complete accordance
with the drawings and specifications to provide a complete
system.
1. Anticipated Start Date: February 1996
Completion Date: March 1996
2. OSHA regulations and Natgun Safety Standards;
President's Executive Order No. 11246 regarding
Equal Employment Opportunity and Affirmative Action
shall be strictly adhered to. Subcontractor shall
provide and use required safety equipment.
3. Subcontractor must supply and require personnel to
wear hard hats and safety glasses, as well as all
applicable safety equipment.
4. All overtime is considered incidental to the price.
5. Materials purchased and incorporated into the work
are tax exempt.
