City Manager/City Engineer City of Coppell 255 Parkway Blvd. Coppell, Texas 75019 Re: Jefferson at Riverchase (Project) Coppeli, Texas Jefferson at Riverchase, L.P., a Texas limited partnership (,IPI), is the owner of the Project. Golf Enterprises, Inc. proposes to grant to City of Coppeil, Texas (City) two drainage easements (Easements), the forms of which are att~hed hereto as Exhibit A. One of the Easements is adjacent to the South end of the Proje~t, and the other is adjacent to the North ~nd of the Project. In cxmsideration of City ara:~ting the grant of the Easements, JPI agrees as follows: 1. JPI will perform the obligations of City under the Easements solely with respect to the initial construction of the drainage improvements as related to and conditioned upon JPI's construction of its project on its property. 2. JPI will indemnify, defend, and hold City harmless from all claims, obligations, suits, liabilities, costs and expenses (including without limitation reasonable attorneys' fees) arising from all work performed by JPI relating to the Easements more particularly described on Exhibit B attached hereto. If the foregoing accurately reflects our agreement regarding the Easements, please execute one copy of this letter in the space provided below and return it to JPI Texas Development, Inc., 600 E. Las Colinas Blvd., Suite 1500, Irving, Texas 75039, Attn: Heather C. Finlay.
