1. City or Developer agrees to pay Company $ in comideration of Company's agreement to install said street
lights and unde,,;,,nd~ that no cormtruction work will begin until after Company has received full payment.
2. Company agrees to install, own, operate and maintain said street lights in accordance with its ~tmet lighting agree-
ment with customer. However, if City or Developer fails to pay, on demand, the amount indicated above, thb supple-
mental agreement is automatically terminated.
3. All parlie~ agree that Company will retain far ~ u~e and benefit the payment received hereunder in cor~ideration of
its obligation to install said ~mat lights and that Company at all times ha~ title to, and complete ownership and cont~
of, said ~tmet lights.
4. Company i~ not liable far la~ or injury causad by delay or failure to imtall the electric facJlitle~ nece~my to saree
customer because of delay in receiving shipments of required material, orders or formal requests of governmental
agencies, acts of God or the public enemy, inevitable accidents, tim, explo~ion~, strikm, riots, war, or any other causa~
reasonably beyond conlr~l of Company. If Campany b prevented from ir~talling ~uch electric facilitie~ by any of the
above muses, Company agrees to return to City or Developer, without intem~t, the entire amount of City or Developer'~

Dear Mr. Shelby:
We have reviewed your letter of June 10, 1998, and are agreeable to the terms. We request that
your contractor coordinate the work with Mr. Pete Wemer of Carter & Burgess, Inc., our
engineers on the project; Mr. Wemer will make arrangements for a survey crew to meet with the
contractor to make sure the adjustments will allow us to meet the City's design clearances, etc.
He can be reached at (214) 638-0145.
We understand that it is not possible to anticipate all contingencies which might arise in a project
such as this. However, we assume your staffwill closely inspect the work to assure the
contractor's work meets your specifications in as cost effective manner as possible.
