Dear Mr. Martin:
Please find enclosed a proposed License Agreement in the above-referenced
matter for your review. As we discussed, I have listed the City Manager as the perscr,
who can execute the Agreement. We will need the name of the person executing on
behalf of National Convenience Stores, Inc. Additionally, I have attached as an Exhibit
the survey which you have faxed to me. We will need to attach an exhib:-t to this
Agreement which reflects and shows both the City's right-of-way and the location of the
proposed brick paver be~'crosswalk. If this document is sufficient, fine. If not, we will

LICENSE AGREEMENT
THIS AGREEMENT is made by and bem,'een the Ci~: of Coppeli, Texas, a
municipal corporation ("City") and National Convenience Stores Incorporated, a
Delaware Corporation ("Licensee").
WHEREAS, City cyrus the right-of-way described in Exhibit "A" attached hereto
and incorporated herein for all purposes; and
WHEREAS, Licensee desires to place, install and maintain a brick paver
'f~mti/crossw~k within the City's right-of-way as showua on the attached survey plat
marked Exhibit "A" and incorporated herein for all pm, poses; and
'~,q-IEREAS, Licensee has requested the City to allow the use and occupancy of
the City's right-of-way for Licensee's brick paver bem~:crosswalk;
NOW THEREFORE. in consideration of the com.,enants contmned herein, the
parties agree as follows:
1. City hereby grants Licensee a license to install ano maintain a brick paver
bend/crosswalk within the CiD"s right-of-way being more particulaxly shown on Exhibit
"A': attached hereto and incorporated herein for all purposes.
2. Licensee agrees to pay for the construction of the brick paver benct/crosswalk ,Mth
in the City's right-of-way and agrees to maintain, at its expense, said brick paver
b,nd,:crosswalk. Further, Licensee agrees to submit to the Building Official and Public
Works Director of the City plans for the placement, arrangement and installation of ~e
brick paver l~e, nd/cross~k w.'ithin the City's right-of-v~ay for their review and approYal.
3. The terms of this License shall be perpetual, subject, however to termiv, ation by
the City upon written notice to the Licensee. Upon termination, Licensee shall at its sole
cost and expense remove the brick paver IsmS:crosswalk within the Cib"s right-of-way.
4. Licensee agrees to abide by and be governed by ali laws, ordinances and
regulations of any and all governmental entities having jurisdiction over ~e Licensee.
5. Licensee agrees to indemnify and hold harmless ~e Cit)' from any liabiliv.; or
damages the City may suffer as a result of any claims, demands, suits, judgment, costs or
expenses, including expense of litigation, court costs and attorney fees, arising out of or
in m~y way connected with the installation, placement, use, maintenance, operation, or
