Box 2650 Tulsa, Oklahoma 74101 ENCROACHMENT AGREEMENT STATE OF TEXAS } } COUNTY OF DALLAS } KNOW ALL PERSONS BY THESE PRESENTS: 04/30198 968849 $17.00 Deed WHEREAS, EXPLORER PIPELINE COMPANY, a Delaware Corporation (herein called "EXPLORER"), acquired license No. 931025 Filed of record in Tarrant County, Texas on May ]0, 1994 to install and maintain its pipeline within ]and controlled or owned by Dallas Area Rapid Transit; WHEREAS, THE CITY OF COPPELL, Dallas County, Texas (herein called CITY) desires to construct sidewalks, paving, and associated drainage improvements across EXPLORER'S 12-inch high- pressure petroleum products pipeline in order to connect Fairway Drive to Belt Line Road; NOW, THEREFORE, in consideration of the premises and the supplemental agreements hereinafter made, EXPLORER does hereby grant permission to construct the above mentioned improvements across EXPLORER'S 12-inch high pressure petroleum products pipeline only insofar as EXPLORER has the right title and interest to grant such permission, subject to the following terms and conditions: 1. EXPLORER'S Area office shall receive written notice at least 48 hours in advance of any construction contemplated near pipeline in order for a field representative of EXPLORER to be present. CITY hereby agrees to assume the risk of, and shall protect, indemnify, and save harmless EXPLORER from and against all liability for or on account of, injury to or death of persons or damage to property, resulting from CITY'S operations, except where such injury, death, or damage shall be caused by the negligence of EXPLORER, its agents, servants, or employees, 3. CITY shall not permit any machine excavation or allow heavy equipment to work within ] 5 feet of EXPLORER'S 12-inch pipeline without prior approval of EXPLORER' S field representative. 4. CITY shah include the following warning on all construction prints involving EXPLORER'S Pipeline. "WARNING":!! EXPLORER'S 12-Inch High-Pressure Petroleum Products Pipeline. Contact Greenvi!!e Area Supervisor, (903) 527-1262, at ' least 48 Hours Before Any Construction Near Pipeline Begins." 5. In order to verify the integrity of EXPLORER'S 12-inch pipeline prior to it becoming inaccessible at the proposed Fairway Drive, CITY shall either furnish excavation services by an EXPLORER approved contractor or reimburse EXPLORER for costs to excavate and inspect its pipeline. 6. In order to protect EXPLORER'S 12-inch pipeline from construction activities and traffic loads, CITY shall provide a 6-inch thick protective reinforced concrete slab (see attachment VIII-A) over Explorer's pipeline and completely across the proposed Fairway Drive and any adjoining utility easements. 7. Any protective slabs, pavements, concrete drives, sidewalks, fences, landscaping, etc. located in subject tract that have to be removed for access to pipeline for emergency or maintenance purposes, will be removed and replaced at CITY'S expense. 8. CITY will be responsible for any future erosion repairs due to its activities or lack of proper erosion control measures, which result in Explorer having to lower its pipeline or take corrective measures to prevent its pipeline from becoming exposed. 9. No casing is required under Fairway Drive unless City or County regulations require casing. If casing is required, it is to be installed by EXPLORER at CITY'S expense. 98084 02936 Page I/ 10. At no time will CITY remove any earth cover from EXPLORER'S right-of-way, or add to existing cover which would cause total cover to be less than four feet or greater than ten feet over pipeline without prior approval from EXPLORER' S representative. 11. No above ground structures, including light poles, signs, or signals, are to be located within ten feet of EXPLORER' S pipeline. 12. CITY shall not commence any work associated with this project withinEXPLORER'S easement until notified that EXPLORER has received a copy of this filed document. The terms, conditions, and provisions of this Agreement shall extend to and be binding upon the heirs, executors, administrators, personal representatives, successors and assigns of the parties hereto.
