Dear Mr. Sandifer:
Per our site meeting on May 24, the purpose of this letter is to document the
items we discussed related to your property's maintenance and the
development of our property located immediately to your south.

Tree Removal. Upon walking the property line together, we
agreed that several of the cottonwood trees on our side of your
wall were growing into and damaging the wall. We marked such
trees with yellow paint, and you hereby have our permission to
remove these trees. However, please confine all cutting to those
trees marked, as we intend to preserve the remaining trees for
their landscape value.

This permission to enter our property and remove these trees is
subject to your agreement to indemnify Matthews Investments
Southwest, Inc. XlV, as well as all affiliates, shareholders, officers,
and employees against, and to hold them harmless from, any
cost or damage which might result from your entry on to our
property and/or the removal of the trees.
Drain. ac~e Easement. As you are aware, the topography in the
area of these'properties is very fiat and drainage design is limited
in its flexibility. To insure proper drainage in a small area near
the southeast corner of your wall, we request your permission to
construct a surface drainage flume from that point to the cul-de-
sac which serves your property. (See attached sketch.) The
concrete flume would be about 30' in length, 24" wide, and have
6" curbs.

We believe the development of our subdivision will be a benefit to the value of
your project, and we appreciate the opportunity to work with you on common
issues such as these. If your group is in agreement with these items, please
execute where provided below and return one copy of this letter to me. We will
work with you on the tree removal regardless of your position on the drainage,
but we would obviously appreciate your willingness to work with us on this
matter also.
