This Interlocal Agreement is subject to the approval of the City/County Agreement to provide
equipment and labor for County employees to pave the Coppell Middle School West parking and
roadway facilities. The execution of this Interlocal Agreement by the City and the CISD will
require the CISD to pay the cost of paving the bus parking lot and Phase I of the roadway (see
exhibit on previous agenda item). The City's cost is for Phases II through IV, which includes the
access road and pull in parking areas for the Coppeil Baseball Association and the Coppall
Football Association.

Enclosed are three copies of the Interlocal Agreement between the City of Coppell and
Coppell Independent School District to share the cost of paving the access and parking
areas on the Coppell Middle School West property. This agreement was approved by City
Council at the January 14, 1997 meeting. Please execute the three copies, keep one for
your file and return two copies to me.

INTERLOCAL COOPERATION AGREEMENT
This Interlocal Cooperation Agreement is made by and between the City of Coppert,
Texas (hereina~er referred to as "the City") and the Coppert Independent School District
(hereinafter referred to as "CISD").
W~F~REAS, the City of Coppeil, Texas, a home rule municipality, hereinafter called
"City" and the Coppeil Independent School District, hereinafter called "CISD" desire to enter into
an agreement whereby the CISD will reimburse the City for CISD's share of the costs of paving
the Coppeil Middle School West parking lot and roadway facilities on Wrangler Road as a result
of an Interlocal Cooperation Agreement entered into between the City of Coppell and Dallas
County for such repairs, set forth in Exhibit "A".
WHEREAS, Chapter 791 of the Texas Government Code, as amended, provides
authorization for local governments to enter into interlocal contracts; and
WFrE~REAS, the City has entered into an agreement with Dallas County to lease
equipment and obtain necessary materials from the County to reconstruct and pave the West
parking lot at the Coppell Middle School and the roadway facilities on Wrangler Road in the City
C'Paving Project"). The City has agreed to directly pay Dallas County $62,787.45 for the
equipment, materials, and labor needed for the project; and
WFIEREAS, this interlocal contract has been authorized by the governing bodies of both
the City and CISD; and
WHEREAS, the payments for the performance of governmental functions and/or services
set out herein will be made from current revenues available to the City and CISD.
NOW, TFIE~REFORE, in consideration of ten ($10.00) dollars and other valuable
consideration, the receipt and sufficiency of which are hereby acknowledged the City and CISD
agree as follows:

CISD agrees to reimburse the City for its share of the cost to pave the Coppell Middle
School West parIcing lot and the roadway facilities on Wrangler Road which includes CISD bus
parking lot and Phase I of the City/County Agreement. CISD's share of the cost is estimated at

$30,946.68. In the event, that CISD's actual share of the cost exceeds the sum of $31,000.00,
then CISD shall not be bound to pay the mount exceeding $31,000.00 unless written amendment
providing for such payment is executed by CISD. Consistent with this paragraph, CISD agrees to
pay its share of the aforesaid costs to the City within thirty (30) days after written notification
~'om the City of the CISD's final share of the cost of the Paving Project.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and
their respective successors and assigns.
No amendment, modification or alteration of the terms hereof shall be binding unless the
same be in writing, dated subsequent to the date of this Agreement and duly executed by the
parties.
The obligations and undertakings of each of the parties of this Agreement are and shall be
performed in Dallas County, Texas. The validity of the Agreement and any of its terms or
provisions, as well as the rights and duties of the parties, shall be governed by the law of the State
of Texas; and any venue for any action concerning this Agreement shall be in Dallas County,
Texas.
All parties represent that they have fuU capacity and authority to grant all rights and
assume all obligations that they have granted and assumed in this Agreement.
Either party may terminate this agreement with fifteen (15) days prior written notice to the
other party.
