BE IT REMEMBERED, at a regular meeting of the Commissioners Court of Dallas County, Texas, held on the 28th day of January , 1997, on motion made by Jj-~ Jackson, CuL~L. issioner of District NO. 1 , and seconded by Mike Cantrell, Cu~stdssioner of District No. 2 , the following order was adopted WHEREAS WHEREAS, WHEREAS, thI City of Coppell, Texas and the County of Dallas, Texas desire to enter into an agreement whereby, the city will lease ec/uipment and obtain the necessary materials from the County to reconstruct two parking lots in the City; and the city of Coppe11 has placed in in Escrow Fund 120-745-913-7 monies to fund 100% of the materials and eguipment in an amount of $49,338.58; and labor costs included in the attached estimate will be paid directly to Dallas county personnel operating County eguip~ent on non-County working days$ and the City of Coppe11 has executed the attached City/county Agreement authorizing said work in accordance with Chapter 791 of the Texas Government Code. IT IS THEREFORE ORDERED, ADJUDGED AND DECREED by the Dallas County Commissioners Court that the Commissioner of District No. I is authorized to cooperate with the City of Coppell to perform said work reguisitioning materials as needed and the County Judge is hereby authorized and directed to execute the attached City/County Agreement. SE PRESENTS INTERLOCAL COOPERATION AGREEMENT This Interlocal Cooperation Agreement is made by and between the City of Coppell, Texas (hereinaf~er referred to as "the City") and Dallas County (hereina~er referred to as "County"). WITNESSETH: WHEREAS, the City of Coppell, Texas and the County of Dallas, Texas desire to enter into an agreement whereby, the City will lease equipment and obtain the necessary materials from the County to reconstruct two parking lots in the City; and WltEREAS, Chapter 791 of the Texas Government Code, as mended, provides authorization for local governments to enter into interlocal cooperation agreements; and WItEREAS, this Interlocal Cooperation Agreement has been authorized by the governing bodies of both the City and the County; and WI~IEREAS, the payments for the performance of governmental functions and/or services set out herein will be made from current revenues available to the City and County. NOW, Tm~REFORE, in consideration of ten ($10.00) dollars and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and County agree as follows: L The County agrees to lease to the City the necessary equipment to reconstruct two parIcing lots located at West Park at Coppell Middle School and Wrangler Road in the City as described in Exhibits "A" and "B' incorporated herein by reference (hereinafi~er referred to as the "Project"). The City agrees that the equipment shall be operated by County employees on non- county working days, and to employ said persons as part-time, seasonal employees. The City agrees to compensate said persons directly for the labor involved in the Project. Intedocal Cooperation Agreement - Page 1 ss63o7 The City agrees to escrow the sum of $49,338.58 with the County to pay for the lease of the necessary equipment and acquisition of the required materials. The City shall be responsible for the actual cost of the Project in excess of the escrowed mount. Upon completion of the project, any unexpended portion of the escrowed mount shall be returned to the City. The City shall be responsible for drainage and will ensure that proposed work on the Project will not have an adverse effect on surrounding property. The City shall be responsible for removing any personal property including motor vehicles from the parking lots to allow construction of the project. The City shall also be responsible for the removal of any security fences and to replace the same a~er completion of the work. The City agrees to indemnify and save harmless the County from any liability or damages the County may suffer as a result of any claims, demands, costs or judgments against the County arising out of the services under this Agreement or arising from any acts, injury, damage whatsoever to any person or persons, or to the property of any person(s) or corporation(s) occurring during the lease of County equipment for this project. The term of this Agreement shall commence upon its execution and continue until the project is completed. Either party may terminate this agreement by providing the other party fifteen (15) days prior written notice of its intent to terminate, in which event all unexpended escrow fund shall be returned to the City. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and issigns. Interlocal Cooperation Agreement - Page 2 ss6~o7 No amendment, modification or alteration of the terms hereof shall be binding unless the same is in writing, dated subsequent to the date of this A~reement and duly executed by the parties. The obligations and undertakings of each of the parties to this Agreement are and shall be performed in Dallas County, Texas. The validity of the Agreement and any of its terms or provisions as well as the rights and duties of the parties shall be governed by the laws of the State of Texas; and any venue for any action concerning this A~reement shall be in Dallas County, Texas. The City has executed this Agreement pursuant to authorization of the City Council. The County of Dallas has executed this A~reement pursuant to Commissioner's Court Order No. 97-170 EXECUTED on this ~/~A dayof ~/ar~ ,1997.
