Dear Mr. Griffin:
Pursuant to our recent telephone conversation, you will please find
enclosed our check in the amount of $9,500.00 as our security deposit assuring the
City of Coppell against any loss by reason of Branch Properties' failure to erect
and maintain adequate erosion control structures to specifications as directed by
the City.
In support of the amount of the Security deposit, I furnish you herewith
copy of the cover page, the signature page and the last page of Exhibit "K" of the
construction contract between Branch Properties, Inc. (Owner) and Mario
Sinacola & Sons, Inc. (Contractor) dated 9-6-96, covering infrastructure
improvements for Summit at the Springs, an addition to the City of Coppell,
Dallas County, Texas.
You will please notice that the Schedule of Values as shown on the last
page of Exhibit "K" under the topic Erosion Control shows a cost of $9,500.00 for
erosion control for this project.

It is my understanding that at the expiration of two years, on the condition
that Branch Properties, Inc. will have completed and paid for all necessary erosion
control structures on this project, the enclosed security deposit will be returned to
Branch Properties, Inc.
I trust that this security deposit will satisfy the City's requirement with
reference to the erosion control. If you have any questions or comments, please
advise.

that venue for any action arising out of a breach of this Agreemem or relating to the
Project shall be in Dallas County, Texas.

If any provision of this Agreement is held to be illegal, invalid, or unenforceable under
present or future laws effective during the term of this Agreement shall be construed and
enforced as if such illegal, invalid, or unenforceable provision had never comprised a part
of the Agreement; and the remaining provisions of the Agreement shall remain in full
force and effect and shall not be affected by the illegal, invalid, or unenforceable
provision or by its severance from the Agreement. Furthermore, in lieu of such illegal,
invalid, or unenforceable provision, there shall be added as a part of this Agreement a
provision as similar in terms to such illegal, invalid, or unenforceable provision as may
be possible and be legal, valid, and enforceable.
