Utility Conveyance between Vista Properties Company ("Vista") and the City of
Coppell ("City").
Dear Mr. Griffin:
In accordance with Section 3 of the Development Agreement for Water Improvements
("Water Agreement"), Section 3 of the Development Agreement for Sanitary Sewer
Improvements ("Sewer Agreement") and Section 2 of the Development Agreement for
Drainage Improvements ("Drainage Agreement"), the following documents are enclosed:
QUITCLAIM DEED from the City of Lewisville to Vista Properties
Company.
QUITCLAIM DEED from Vista Properties Company to the City of
Coppell.
CONVEYANCE OF EXISTING FACILITIES AND ASSIGNMENT
OF CONTRACT from the Denton County Road Utility District No. 1 to
the City of Coppell.
These documents are conditionally delivered to you and are not to be recorded or
considered effective until the-City has provided the following to Vista:
Acceptance letters from the City of Coppell accepting all related utility
improvement for maintenance.
Letter confirming credits earned by Vista in accordance with the three
development agreements; specifically, $304,200 water/~r impact
fee credit in accordance with Section 1 of the Water Agreement; $75, 150
credit towards 'naaar/wastewater impact fees in accordance with Section 1
of the Sewer Agreement; and $145,000 roadway impact fee credit in
accordance with Section 5 of the Drainage Agreement.

Additionally, Section 6 of Drainage Agreement requires $10,000
to be paid to Vista once the City has acquired the drainage improvements.
Once all these conditions have been met, the enclosed documents can be filed of record.
It is important that Lewisville's Deed is filed prior to the Vista Deed for recording
purposes. Therefore, please file in the following order:
1. Lewisville Deed
2. Vista Deed
3. RUD Conveyance
