! have reviewed Gan',eth Campbell's punch list of repair items remaining on the utilities
being conveyed to the City of Coppell (Reference Attached Letter dined January 9, 1997).
In the interest of time, Vista wil! agree to satisfy the ten remaining items in return for the
City providing Vista with acceptance letters, letters confirming credits and $10,000 as
outlined in my previous letter to you (Reference Attached Letter dated Dec,mber 11,
1996).

The City of Coppell ~n=~ineerlng Department has recently completed i review of the
referenced facilities. Listed below are Items'that must be addressed prior to final
acceptance,
1, Replace valve stack on main line valve at $.H. 121 and De. uton Top.
2, Pour pad on valve to second fare hydrant rust or Denton Tap.
3. Third Fare hydrant east of Denton Tap leah at bottom section,
4, Adjust valve stack on main line valve at Rldgemont.
S, Fifth fire hydrant'east of Denton Tap leaks at bonnet,
6. Seventh fire hydrant needs new pumper cap.
Eleve, uth fire hydl-ftllt lenirlnl~ from bottom,
8. Twelfth fire hydrant leaking from bottom.
9. Replace Lewisvitle manhole covers on exbffng sewer and regrout rtna and covers.
10. Install chln~ey seals and rain pans on existing manholes.

KE: Utility Conveyance between Vista Properties Company ("Vista") and the City of
Coppell ("City").
Dear I~. Griffin:
In accordance with Section 3 of the Development Agreem~t for Water Improvements
("Water Agreement"), Section 3 of the Development Agreement for Sanitary Sewer
Improvements ("Sewer Agreement") and Section 2 of the Development Agreement for
Drainage Improvements ("Drainage Agreement"), the following documents are enclosed:
1. QUITCLAIM DEED from the City of Lewisville to Vista Properties
Company.
2. QUITCLAIM DEED from Vista Properties Company to the City of
Coppell.
3. CONVEYANCE OF EXISTING FACILITIES AND ASSIGNMENT
OF CONTRACT from the Denton County Road Utility District No. 1 to
the City of CoppeIl.
These documents arc conditionally delivered to you and arc not to be recorded or
considered effective until the City has provided the following to Vista:
1. Acceptance letters from the City of Coppell accepting ell related utility
improvement for maintenance.
2. Letter confirming credits earned by Vista in accordance with thc three
development agreements; specifically, $304,200 water/wastewater impact
fee credit in accordance with Section 1 of the Water Agreement; $75, 150
credit towards water/wastewatcr impact fees La accordance with S~tion 1
of the Sewer Agreement; and $145,000 roadway imp-ct fee credit in
accordance wi'-.h Section 5 of the Drainage Agreement.

Additionally, Section 6 of' Drainage Agreement requires SI0,000
to be paid to Vista once the City has acquired the drainage improvements.
Once all these conditions have been mcr, the enclosed documents can be file~l of record.
It is important that Lewisville's Deed is filed prior to the Vista Deed for recording
purposes. Therefore, please file in the following order:
I. Lewisville Deed
2. Vista Deed
3. RUD Conveyance
