CrownCastle.com LICENSE ACCESS AGREEMENT This Agreement, made this )3 day of AV(L,L. , 2018, between City of Coppell, a home rule Texas municipality, with its mailing address located at 255 E. Parkway Blvd. Coppell, Dallas County, Texas 75019, hereinafter designated LICENSOR and Fibernet Direct Texas LLC, with offices at 2000 Corporate Drive, Canonsburg, PA 15317, hereinafter designated LICENSEE. The LICENSOR and LICENSEE are at times collectively referred to hereinafter as the "Parties" or individually as the "Party". WITNESSETH In consideration of the mutual covenants contained herein and intending to be legally bound hereby, the Parties hereto agree as follows: 1. PREMISES. LICENSOR hereby licenses to the LICENSEE a portion of Freeport Parkway rights-of-way Coppell, Dallas County, Texas, which is depicted on the attached Exhibit A, sufficient for the installation of LICENSEE's equipment; together with the non-exclusive right ("the Right of Way") for ingress and egress, seven (7) days a week, twenty-four (24) hours a day, on foot or motor vehicle, including trucks, and for the installation, maintenance and operation of wires, vault, cabinet, switch box, cables, other fiber, conduits, and pipes over, under, or along the rights-of-way shown in attached Exhibit A. The Right of Way and Further Rights of Way, if any, are substantially described in the attached Exhibit "A", attached hereto and made a part hereof demised premises and are collectively referred to hereinafter a s the "Premises". LICENSOR hereby grants permission to LICENSEE to install, maintain and operate the fiber optic equipment and appurtenances described in Exhibit "A" attached hereto. 2. TERM AND COMPENSATION. a. This Agreement shall be effective as of the date of execution by both Parties, provided, however, the initial term shall be for five (5) years and shall commence on the Commencement Date (as hereinafter defined). b. The Agreement shall commence based upon the first day of the month in which LICENSEE commences installation of the equipment on the Premises or issuance of a building permit, or six months after the execution date of the agreement, whichever occurs first (the "Commencement Date"). LICENSOR and LICENSEE agree that they shall acknowledge in writing the Commencement Date. C. LICENSEE is a certificated telecommunication provider as defined by Texas Local Gov't Code §283.002(2), and as such is required to provide LICENSOR fair and reasonable compensation for the use of a public right-of-way within the municipality as required by Texas Local Gov't Code Chapter 283. LICENSEE is required to pay, as compensation for use of the public rights-of-way of the City, in conformity with State laws, the amounts provided 1 TM96469 pursuant to Chapter 283 of the Texas Local Government Code and PUC Rules designated for access lines within the City of Coppell. d. LICENSEE's billing system shall be sufficient to substantiate compliance with the access line reporting requirements, and LICENSEE shall maintain its records in a manner which allows for easy identification and review, both in accordance with Chapter 26 of the Texas Admin. Code. LICENSEE shall maintain a Municipal Access Line Reporting System (MARS) account on the PUC website, will file quarterly access reports as required by PUC rules, and will timely remit all access line fees as required by state law. e. From time to time during the Term of this Agreement and within thirty (30) days of a written request from LICENSEE, LICENSOR agrees to provide updated License Documentation in a form reasonably acceptable to LICENSEE. The License Documentation shall be provided to LICENSEE in accordance with the provisions of and at the address given in Paragraph 20. 3. EXTENSIONS. This Agreement shall automatically be extended for two (2) additional five (5) year terms unless terminated under Paragraph 11. 4. USE; GOVERNMENTAL APPROVALS. a. LICENSEE shall use the Premises for the purpose of constructing, maintaining, repairing and operating a fiber optic conduit and line facility and uses incidental thereto. b. Prior to initial installation, all installation plans must be submitted to LICENSOR for approval, such approval not to be unreasonably withheld, conditioned or delayed. LICENSEE will construct all improvements in accordance with City of Coppell design and construction standards (which includes appropriate traffic control plans) and before the start of any construction activity shall be responsible for contacting the City of Coppell to obtain a Right -of -Way Permit and establish the location(s) of existing water and wastewater improvements within the City's right-of-way. In addition, LICENSEE and/or their authorized contractor shall be responsible for contacting TEXAS81 I to establish the locations of existing franchise utilities. These contacts shall be made prior to the start of construction on a given street or Right -of -Way section. C. The installation of LICENSEE's equipment shall be made in good and workmanlike manner and installed by licensed contractors. LICENSOR may inspect the work or any portion of LICENSEE'S equipment, including cables and antenna(s), at any time during construction and installation. LICENSEE shall have the sole responsibility for the safe and proper design, construction, and installation of the work, and LICENSOR shall have no such responsibility or liability. LICENSEE agrees that any review or approval by LICENSOR of any plans or specifications or installation with respect to LICENSEE's equipment is solely for LICENSOR's benefit, and without any representation or warranty whatsoever with respect to the adequacy, correctness or efficiency thereof or othei wise. d. In the event LICENSOR reasonably determines that a change in the work or LICENSEE's installations is required to protect persons or property from imminent danger or injury, LICENSEE shall promptly effect such changes at its cost and expense, and failing to do so within thirty (30) days following such notice, LICENSOR has the right, at LICENSEE'S expense, to make such changes; it being agreed, however, that in the event that LICENSOR shall determine that an emergency exists, it may effect such changes at LICENSEE'S cost without prior notice to LICENSEE and without affording LICENSEE an opportunity to do the work. LICENSOR shall be under no obligation to make such inspection(s) or change(s). At LICENSOR'S request, LICENSEE shall supply LICENSOR with periodic updates and reports concerning the status of the work. e. All improvements, equipment, and conduits shall be at LICENSEE's expense and their installation shall be at the discretion and option of LICENSEE. LICENSEE shall have the right to replace or repair its utilities, equipment, antennas and/or conduits or any portion thereof subject to the requirement herein. £ All equipment or conduits must be specified on the exhibit. Any additional equipment must be approved by LICENSOR in advance public use, operation and/or maintenance of facilities within the public rights-of-way g. It is understood and agreed that LICENSEE's ability to use the Premises is contingent upon its obtaining after the execution date of this Agreement all of the certificates, permits and other approvals (collectively the "Governmental Approvals") that may be required by any Federal, State or Local authorities as well as satisfactory soil boring tests and structural analysis which will permit LICENSEE use of the Premises as set forth above. LICENSOR shall cooperate with LICENSEE in its effort to obtain such approvals and shall take no action which would adversely affect the status of the Property with respect to the proposed use thereof by LICENSEE. In the event that (i) any of such applications for such Governmental Approvals should be finally rejected; (ii) any Governmental Approval issued to LICENSEE is canceled, expires, lapses, or is otherwise withdrawn or terminated by governmental authority; (iii) LICENSEE determines that such Governmental Approvals may not be obtained in a timely manner; (iv) LICENSEE determines that any soil boring tests or structural analysis is unsatisfactory; (v) LICENSEE determines that the Premises is no longer technically or structurally compatible for its use, (vi) LICENSEE, in its sole discretion, determines that the use the Premises is obsolete or unnecessary, or (vii) at any time before the Commencement Date for any reason or no reason in LICENSEE's sole discretion, LICENSEE shall have the right to terminate this Agreement. Notice of LICENSEE's exercise of its right to terminate shall be given to LICENSOR in writing by certified mail, return receipt requested, and shall be effective upon the mailing of such notice by LICENSEE, or upon such later date as designated by LICENSEE. Upon such termination, this Agreement shall be of no further force or effect except to the extent of the representations, warranties and indemnities made by each Party to the other hereunder. h. It is understood that Freeport Parkway from Bethel Road to I-635 will be subject to extensive construction and reconstruction during the next twenty-four months. The Licensee agrees that in the event that such construction results in requirement to move its conduit or appurtenances it will at its sole cost cause the relocation; moreover, should any damage occur to any Licensor construction or cause any unnecessary delay the Licensor shall assess liquidated damage amount of One thousand five hundred dollars ($1,500.00) per day of impact. Additionally, should the Licensee cause any damage to the construction or reconstruction elements of Licensor project during the construction period, Licensee shall be responsible for the actual cost of such repairs. 5. INDEMNIFICATION. LICENSEE SHALL INDEMNIFY LICENSOR, IN ACCORDANCE AND COMPLIANCE WITH STATE LAW. 5.1 Each Party shall exercise due care to avoid any action that may cause damage to property of the other Party or property of any other person or entity whose facilities occupy, abut or adjoin the Public Rights -of -Way. 5.2. LICENSEE HEREBY COVENANTS, REPRESENTS AND WARRANTS TO RELEASE THE CITY, AND THE CITY'S ELECTED OFFICIALS, THE RESPECTIVE OFFICERS, EMPLOYEES, AGENTS, ATTORNEYS, AND REPRESENTATIVES OF THE CITY AND ITS/THEIR SUCCESSORS, IN BOTH THEIR INDIVIDUAL AND OFFICIAL CAPACITIES, AND THE AFFLIATES OF AND PERSONS AND ENTITIES RELATED TO ALL OF THE FOREGOING, INDIVIDUALLY AND COLLECTIVELY, (HEREINAFTER COLLECTIVELY REFERRED TO AS "CITY -RELATED PARTIES") FROM, AND SHALL INDEMNIFY, DEFEND AND HOLD THE CITY RELATED PARTIES HARMLESS AGAINST ALL ALLEGATIONS, CLAIMS (INCLUDING WITHOUT LIMITATION CLAIMS OF PERSONAL INJURY, ENVIRONMENTAL INJURY, BODILY INJURY, SICI{NESS, DISEASE, DEATH, PROPERTY DAMAGE, CONSEQUENTIAL DAMAGES, DESTRUCTION, OR OTHER IMPAIRMENT), DEMANDS, LEGAL ACTIONS, EQUITABLE ACTIONS, COSTS (INCLUDING ALL COURT COSTS, REASONABLE ATTORNEYS' FEES, EXPERTS' FEES OR OTHER COSTS INCURRED IN CONNECTION WITH INVESTIGATING, PREPARING, PROSECUTING OR SETTLING ANY LEGAL OR ALTERNATIVE DISPUTE RESOLUTION ACTION OR PROCEEDING), EXPENSES, LIABILITIES, ASSESSMENTS, TAXES, COSTS, FEES, LIENS, PENALTIES, FINES, LOSSES, DAMAGES, JUDGMENTS, OR PENALTIES OF WHATEVER NATURE OR DESCRIPTION, WHETHER KNOWN OR UNKNOWN (COLLECTIVELY "LIABILITIES") INCURRED BY ANY CITY -RELATED PARTY, WHICH LIABILITIES, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, AROSE FROM OR MAY IN THE FUTURE ARISE FROM, OR ARE ALLEGED TO HAVE ARISEN FROM, ANY OF THE FOLLOWING: 4 (i) LICENSEE'S EXERCISE OF ITS RIGHTS UNDER THE LICENSE; (ii) LICENSEE'S ACTIVITIES UNDER THE LICENSE, INCLUDING ANY DELIBERATE, INTENTIONAL, RECKLESS AND/OR NEGLIGENT ACT(S) OR OMISSIONS) OR WILLFUL MISCONDUCT OF LICENSEE, ANY AGENT, OFFICER, DIRECTOR, REPRESENTATIVE, EMPLOYEE, CONSULTANT OR SUBCONTRACTOR OF LICENSEE, AND THEIR RESPECTIVE OFFICERS, AGENTS EMPLOYEES, DIRECTORS AND REPRESENTATIVES WHILE IN THE EXERCISE OF THE RIGHTS OR PERFORMANCE OF THE DUTIES UNDER THE LICENSE; (iii) LICENSEE'S USE OF THE RIGHTS-OF-WAY OR THE RIGHTS GRANTED TO LICENSEE WITH RESPECT TO THE RIGHTS-OF-WAY; (iv) LICENSEE'S USE OF THE CITY'S FIBER OPTIC SYSTEM; (v) LICENSEE'S OPERATIONS ON ANY LAND OR IN ANY STRUCTURE OWNED BY THE CITY; (vi) THE INSTALLATION, USE OR PRESENCE OF LICENSEE'S EQUIPMENT ON ANY LAND OR IN ANY STRUCTURE OWNED BY THE CITY; OR (vii) ANY CLAIM MADE OR LOSS INCURRED BY LICENSEE'S CUSTOMERS WHICH ARISES FROM, OR IS ALLEGED TO HAVE ARISEN FROM, ANY INTERRUPTION OR QUALITY OF THE SERVICES DELIVERED BY LICENSEE BY MEANS OF THE FIBER OPTIC, DAS OR SMALL CELL SYSTEM OR ANY OTHER SYSTEM FOR WHICH THE LICENSEE IS USING THE RIGHT-OF-WAY. FOR PURPOSES OF THIS INDEMNITY AND RELEASE, THE TERM "ARISE FROM" MEANS OCCURS IN CONNECTION WITH OR AS A RESULT OF OR IS CAUSED BY. THIS SECTION SURVIVES THE TERMINATION OF THIS LICENSE. 5.3. LICENSEE SHALL BE LIABLE TO THE CITY FOR DAMAGES SUSTAINED BY THE CITY AND RESULTING FROM THE ACTS AND OMISSIONS OF ANY CONTRACTOR, SUBCONTRACTOR, OR ANY PARTY INVOLVED DIRECTLY OR INDIRECTLY IN THE CONSTRUCTION AND INSTALLATION OF LICENSEE'S DAS NETWORK AND UNDER LICENSEE'S DIRECT CONTROL. ANY ACT OR OMISSION OF SUCH PARTY SHALL BE CONSIDERED AN ACT OR OMISSION OF THE LICENSEE. THIS SECTION SURVIVES THE TERMINATION OF THIS LICENSE. 5.4 Promptly upon learning of any claim for which it seeks indemnification under this License Agreement, City shall give written notice to Licensee of the claim. Licensee, as the indemnifying Party, shall bear the cost of and shall have the right to control the defense, the right to select counsel of its own choice, and the right to settle the claim. City shall cooperate and assist Licensee in investigating and defending against the claim. If Licensee does not provide the indemnity and defense, or if Licensee does not make diligent effort to settle the claim or provide for a defense, City may assume control of the matter with counsel of its own choosing and either make a reasonable settlement of the claim or undertake a defense, all at Licensee's sole cost and expense. 5.5 Neither party will be liable to the other for any special, consequential or other indirect damages arising under this License Agreement. 6. INSURANCE. a. Notwithstanding the indemnity in Paragraph 5, the Parties hereby waive and release any and all rights of action for negligence against the other which may hereafter arise on account of damage to the Premises or to the Property, resulting from any fire, or other casualty of the kind covered by standard fire insurance policies with extended coverage, regardless of whether or not, or in what amounts, such insurance is now or hereafter carried by the Parties, or either of them. These waivers and releases shall apply between the Parties and they shall also apply to any claims under or through either Party as a result of any asserted right of subrogation. All such policies of insurance obtained by either Party concerning the Premises or the Property shall waive the insurer's right of subrogation against the other Party. b. LICENSEE will maintain at its own cost; i. Commercial General Liability insurance limits of $2,000,000 per occurrence for bodily injury (including death) and for damage or destruction to property ii. Commercial Auto Liability insurance on all owned, non -owned and hired automobiles with a combined single limit of one million ($1,000,000) each accident for bodily injury and property damage iii. Workers Compensation insurance providing the statutory benefits and Employers Liability with a limit of $1,000,000 each accident/disease/policy limit coverage. LICENSEE will include the LICENSOR as an additional insured as their interest may appear under this Agreement on the Commercial General Liability and Auto Liability policies. 7. LIMITATION OF LIABILITY. Except for indemnification pursuant to Paragraph 5, neither Party shall be liable to the other, or any of their respective agents, representatives, employees for any lost revenue, lost profits, loss of technology, rights or 6 services, incidental, punitive, indirect, special or consequential damages, loss of data, or interruption or loss of use of service, even if advised of the possibility of such damages, whether under theory of contract, tort (including negligence), strict liability or otherwise. 8. ANNUAL TERMINATION. Notwithstanding anything to the contrary contained herein, provided LICENSEE is not in default hereunder beyond applicable notice and cure periods, LICENSEE shall have the right to terminate this Agreement upon the annual anniversary of the Commencement Date provided that three (3) months written prior notice is given to LICENSOR. 9. ACCESS TO FACILITY. LICENSOR agrees the LICENSEE shall have free access to the FACILITY at all times for the purpose of installing and maintaining the said equipment. 10. FACILITY COMPLIANCE. No materials may be used in the installation of the transmission lines that will cause corrosion or rust or deterioration of the FACILITY structure or its appurtenances. All transmission lines are to be tagged at the conduit opening where it enters any user's equipment space. Upon request of the LICENSOR, LICENSEE agrees to relocate its equipment on a temporary basis to another location on the Property, hereinafter referred to as the "Temporary Relocation," for the put -pose of LICENSOR performing maintenance, repair or similar work within the public Rights -of -Way provided: a. The Temporary Relocation is similar to LICENSEE's existing location in size and is fully compatible for LICENSEE's use, in LICENSEE's reasonable determination; b. LICENSOR pays all costs incurred by LICENSEE for relocating LICENSEE's equipment to the Temporary Relocation and improving the Temporary Relocation so that it is fully compatible for the LICENSEE's use, in LICENSEE's reasonable determination; C. LICENSOR gives LICENSEE at least ninety (90) days written notice prior to requiring LICENSEE to relocate; d. LICENSEE's use at the Premises is not interrupted or diminished during the relocation and LICENSEE is allowed, if necessary, in LICENSEE's reasonable determination, as approved by LICENSOR, such approval not to be unreasonably withheld, conditioned or delayed, to place a temporary installation on the Property during any such relocation; and e. Upon the completion of any maintenance, repair or similar work by LICENSOR, LICENSEE is permitted to return to its original location from the temporary location with all costs for the same being paid by LICENSOR. 11. INTERFERENCE. a. LICENSOR makes no guarantee as to the communications performance or coverage for systems operating from the Property. LICENSEE acknowledges that it has examined and tested the Premises for condition, engineering, workmanship and suitability for LICENSEE's purposes and accepts the Premises in its "As Is" condition. LICENSOR makes no warranty as to any of these matters. K LICENSEE agrees to install equipment of the type and frequency which will not cause harmful interference which is measurable in accordance with then existing industry standards to any equipment of LICENSOR or other LICENSEE's of the Property which existed on the Property as of the date this Agreement is executed by the Parties. In the event any after -installed LICENSEE's equipment causes such interference, and after LICENSOR has notified LICENSEE in writing of such interference, LICENSEE will immediately cease such interference and take all commercially reasonable steps necessary to correct and eliminate the interference, including but not limited to, at LICENSEE's option, powering down such equipment and later powering up such equipment for intermittent testing. In no event will LICENSOR be entitled to terminate this Agreement or relocate the equipment as long as LICENSEE is making a good faith effort to remedy the interference issue. 12. REMOVAL AT END OF TERM. LICENSEE shall, upon expiration of the Term, or within thirty (30) days after any earlier termination of the Agreement, promptly remove its equipment, conduits, fixtures and all personal property and restore the Premises to its original condition, reasonable wear and tear and casualty damage excepted. LICENSOR agrees and acknowledges that all of the equipment, conduits, fixtures and personal property of LICENSEE shall remain the personal property of LICENSEE and LICENSEE shall have the right to remove the same at any time during the Term. Should LICENSEE not remove its equipment within thirty (30) days following expiration of the Term, or earlier termination of the Agreement, LICENSOR shall have the right, but not the obligation, to remove any or all of LICENSEE's Equipment and store the same at LICENSEE's reasonable cost and expense and shall have no obligation to release the same from storage until all past due fees and all storage charges are paid or reimbursed to LICENSOR in full. Upon thirty (30) days' notice to LICENSEE, LICENSOR shall have the right, but not the obligation, to remove LICENSEE's Equipment from storage at LICENSEE's reasonable cost and expense, and may dispose of the same without liability of any kind to LICENSEE or any other party, whether for damages attributable to interruption of service, the lost value of LICENSEE's Equipment or for any other: reason whatsoever. 13. HOLDOVER. LICENSEE has no right to retain possession of the Premises or any part thereof beyond the expiration of that removal period set forth in Paragraph 12 herein, unless the Parties are negotiating a new lease or lease extension in good faith. 14. RAILROAD PERMIT. LICENSEE has the duty to obtain any and all permits, approvals and agreements for the crossing of the Burlington Northern/Sante Fe Railroad. The 8 LICENSOR has no authority or obligation to authorize or approve the entry or crossing of these facilities. 15. HIGHWAY PERMIT. LICENSEE has the duty to obtain all permits, approvals and agreements for the crossing of any federal, state or county roadways, including any portion of any TX Dot or Federal Highway. The LICENSOR has no authority or obligation to authorize or approve the entry or crossing of these facilities. 16. QUIET ENJOYMENT. LICENSOR covenants that LICENSEE, on performing the covenants herein, shall peaceably and quietly have, hold and enjoy the Premises_ LICENSOR (and its agents, employees and contractors) shall have the right to access the rights-of-way in order (a) to inspect the Premises and the Facilities, and (b) to confirm that LICENSEE is complying with all of LICENSEE's covenants and obligations under this Agreement. Except in the event of an emergency, meaning imminent danger to person or property, (a) access under this provision shall be during business hours only, (b) internal building(s) on the Premises shall not be inspected by LICENSOR, (c) LICENSOR shall provide reasonable notice to LICENSEE of such entry, and (d) LICENSOR shall be accompanied by a representative of LICENSEE during said inspection. In the event of an emergency, LICENSOR shall provide notice of access pursuant to this provision as is reasonable under the circumstances. Except to the extent caused by LICENSOR's negligence or willful misconduct, LICENSOR shall not be liable to LICENSEE for the exercise of LICENSOR's rights under this Section 16, and LICENSEE hereby waives any claims for damages for any injury or inconvenience to or interference with LICENSEE's business, any loss of occupancy or quite enjoyment of the Premises, and any other loss occasioned thereby, except to the extent caused by LICENSOR's negligence of willfi►1 misconduct. 17. INTEGRATION. It is agreed and understood that this Agreement contains all agreements, promises and understandings between LICENSOR and LICENSEE and that no verbal or oral agreements, promises or understandings shall be binding upon either LICENSOR or LICENSEE in any dispute, controversy or proceeding at law, and any addition, variation or modification to this Agreement shall be void and ineffective unless made in writing signed by the Parties or in a written acknowledgment in the case provided in Paragraph 2. In the event any provision of the Agreement is found to be invalid or unenforceable, such finding shall not affect the validity and enforceability of the remaining provisions of this Agreement. The failure of either Party to insist upon strict performance of any of the terms or conditions of this Agreement or to exercise any of its rights under the Agreement shall not waive such rights and such Party shall have the right to enforce such rights at any time and take such action as may be lawful and authorized under this Agreement, in law or in equity. 18. GOVERNING LAW. This Agreement and the performance thereof shall be governed, interpreted, constilied and regulated by the state of Texas. Exclusive venue of any action hereon shall lie in Dallas County, Texas. 6 19. ASSIGNMENT. This Agreement may not be sold, assigned or transferred by the LICENSEE without the written approval of the LICENSOR, which approval shall not be unreasonably withheld, provided, however, that LICENSEE upon notice to LICENSOR may assign or transfer this Agreement to any entity controlling, controlled by or under common control with LICENSEE that is also a certificated telecommunications provider by the Public Utility Commission of Texas. 20. NOTICES. Alt notices hereunder must be in writing and shall be deemed validly given if sent by certified mail, return receipt requested or by commercial courier, provided the courier's regular business is delivery service and provided further that it guarantees delivery to the addressee by the end of the next business day following the courier's receipt from the sender, addressed as follows (or any other address that the Party to be notified may have designated to the sender by like notice): LICENSOR: City of Coppell 255 E. SUCCESSORS. This Agreement shall extend to and bind the heirs, personal representative, successors and assigns of the Parties hereto. 22. RECORDING. LICENSOR agrees to execute a Memorandum of this Agreement which LICENSEE may record with the appropriate recording officer. The date set forth in the Memorandum of License is for recording purposes only and bears no reference to commencement of either the Term. 23. DEFAULT. 10 a. In the event there is a breach by LICENSEE with respect to any of the provisions of this Agreement or its obligations under it, LICENSOR shall give LICENSEE written notice of such breach. After receipt of such written notice, LICENSEE shall have thirty (30) days in which to cure any breach, provided LICENSEE shall have such extended period as may be required beyond the thirty (30) days if the nature of the cure is such that it reasonably requires more than thirty (30) days and LICENSEE commences the cure within the thirty (30) day period and thereafter continuously and diligently pursues the cure to completion. LICENSOR may not maintain any action or effect any remedies for default against LICENSEE unless and until LICENSEE has failed to cure the breach within the time periods provided in this Paragraph. b. In the event there is a breach by LICENSOR with respect to any of the provisions of this Agreement or its obligations under it, LICENSEE shall give LICENSOR written notice of such breach. After receipt of such written notice, LICENSOR shall have thirty (30) days in which to cure any such breach, provided LICENSOR shall have such extended period as may be required beyond the thirty (30) days if the nature of the cure is such that it reasonably requires more than thirty (30) days and LICENSOR commences the cure within the thirty (30) day period and thereafter continuously and diligently pursues the cure to completion. Notwithstanding the foregoing to the contrary, it shall be a default under this Agreement if LICENSOR fails, within fifteen (15) days after receipt of written notice of such breach, to perform an obligation required to be performed by LICENSOR if the failure to perform such an obligation interferes with LICENSEE's ability to conduct its business on the Property; provided, however, that if the nature of LICENSOR's obligation is such that more than fifteen (15) days after such notice is reasonably required for its performance, then it shall not be a default under this Agreement if performance is commenced within such fifteen (15) day period and thereafter diligently pursued to completion. 24. REMEDIES. Upon a default, the non -defaulting Party may at its option (but without obligation to do so), perform the defaulting Party's duty or obligation on the defaulting Party's behalf, including but not limited to the obtaining of reasonably required insurance policies. The costs and expenses of any such performance by the non -defaulting Party shall be due and payable by the defaulting Party upon invoice therefor. In the event of a default by either Party with respect to a material provision of this Agreement, without limiting the non -defaulting Party in the exercise of any right or remedy which the non -defaulting Party may have by reason of such default, the non -defaulting Party may terminate the Agreement and/or pursue any remedy now or hereafter available to the non -defaulting Party under the Laws or judicial decisions of the state in which the Premises are located; provided, however, both parties shall use reasonable efforts to mitigate its damages in connection with a default. 25. SUBMISSION OF AGREEMENT/PARTIAL INVALIDITY/AUTHORITY. The submission of this Agreement for examination does not constitute an offer to license the 11 Premises and this Agreement becomes effective only upon the full execution of this Agreement by the Parties. If any provision herein is invalid, it shall be considered deleted from this Agreement and shall not invalidate the remaining provisions of this Agreement. Each of the Parties hereto warrants to the other that the person or persons executing this Agreement on behalf of such Party has the full right, power and authority to enter into and execute this Agreement on such Party's behalf and that no consent from any other person or entity is necessary as a condition precedent to the legal effect of this Agreement. 26. APPLICABLE LAWS. During the Term, LICENSOR shall maintain the Property and all structural elements of the Premises in compliance with all applicable laws, rules, regulations, ordinances, directives, covenants, easements, zoning and land use regulations, and restrictions of record, permits, building codes, and the requirements of any applicable fire insurance underwriter or rating bureau, now in effect or which may hereafter come into effect (including, without limitation, the Americans with Disabilities Act and laws regulating hazardous substances) (collectively "Laws"). LICENSEE shall, in respect to the condition of the Premises and at LICENSEE's sole cost and expense, comply with (a) all Laws relating solely to LICENSEE's specific and unique nature of use of the Premises (other than general office use); and (b) all building codes requiring modifications to the Premises due to the improvements being made by LICENSEE in the Premises. 27. SURVIVAL. The provisions of the Agreement relating to indemnification shall survive any termination or expiration of this Agreement. Additionally, any provisions of this Agreement which require performance subsequent to the termination or expiration of this Agreement shall also survive such termination or expiration. 27. CONFLICT. Should the Licensee have any other License or permit from the City of Coppell regarding Right -of -Way access, maintenance or use, the provisions of this instrument shall only apply to the Freeport Parkway right-of-way. 28. CAPTIONS. The captions contained in this Agreement are inserted for convenience only and are not intended to be part of the Agreement. They shall not affect or be utilized in the construction or interpretation of the Agreement. 29. WAIVER. A failure or delay of the Licensor to enforce at any time any of the provisions of this Agreement, or to exercise any option that is provided in this Agreement, or to require at any time performance of any of the provisions of this Agreement, shall in no way be construed to be a waiver of such provision of this Agreement, nor in any manner be construed to be a waiver of any defense available to the Licensor, including the defense of governmental immunity.
