THIS AGREEMENT is entered into on April 19, 2002 by and between Centex Construction Company, inc. ("Contractor"), with its principal place of
business at 3100 McKinnon, 7th Floor, Dallas, Texas 75201 and Cooper Excavation, Inc. ("Subcontractor"), with its principal place of business at

SCOPE
Subcontractor agrees to furnish all labor, services, materials, installation, hoisting, supplies, insurance, equipment, scaffolding, tcols and other facilities
of every kind and description required for the prompt and efficient execution of

work as further described herein in strict accordance with the Contract Documents.
CONTRACT PRICE
Contractor agrees to pay Subcontractor for the strict performance of its work the sum of:
$743,020 (Seven Hundred Forty Three Thousand Twenty Dollars)
subject to additions and deductions for changes in the work as may be agreed upon.

Certificate; Exhibit G - Builder's Risk Deductibles and Limits of Liability; Exhibit H - EEO/Sexual Harassment Policy; Exhibit I - Contractor Safety
Program; Exhibit J - Texas Sales and Use Tax Exemption Certification; Exhibit K - Project Rules and Regulations; and Exhibit L - Vendor Status Form).
This Agreement constitutes the entire agreement between the parties hereto and supersedes all pdor negotiations, representations and agreements,
either wdttsn or oral with respect to the subject matter hereof. No other agreements, either oral or written, have been made by Contractor, except as
stated in this Agreement. This Agreement is being sent to Subcontractor for acceptance and signature but shall not be construed as constituting or
creating a contract with Subcontractor until this Agreement is signed by Conbactor. Subcontractor shall sign this Agreement in the exact form
submitted and return to Conlractor within ten days. If the above conditions are not met by Subcontractor, then this Agreement and Contracto¢s offer to
contract hereunder may be canceled, unlsss Contractor,-in wdting, shall modify the conditions and/or extend the time'set forth herein.
SUBCONTRACTOR shall not make any change to this Agreement without the prior written consent of Contractor's duly authorized officer or
agent. Any change otherwise made shall be null and void.

SCOPE OF WORK
DEFINITION. CORRELATION AND INTENT:
Subcontractor agrees to make the project complete in every respect insofar as this Subcontract is
concerned in stdct accordance with EARTHWORK, EXCAVATION AND GRADING, the Contract
Documents listed on Exhibit "A" and shop drawings and submittals as approved by the Architect and/or
Owner, and the clarifications and assumptions as identified in Attachment No. 1, included herewith, dated
Apd110, 2002. The Subcontractor shall not perform any portion of the work at any time without Contract
Documents or, where required, approved Shop Drawings, Product Data, Manufacturer's Instructions or
Samples for such portion of the work. The Subcontract includes but is not limited to providing of all
submittals, shop drawings (and associated engineering), trade coordination, layout, hoisting, supervision,
tools, equipment, scaffolding, supplies, incidentals, plant, labor, materials, services, cutting, cleaning, and
any other work or systems required to perform the work as described below:
SPECIFICATION REFERENCE:
The organization of the spec~cations into divisions, sections and articles, and the arrangement of the
drawings shall not control the Contractor in dividing the work among the Subcontractors or in establishing
the extent of the Work to be performed by any Subcontractor.

described in the following subparagraphs regardless of whether or not they are in the above specifications
or any other specification section or shown on the plans:

3.A. Desiqn Intent
1.
It is the intent of the Scope of Work to convey to this Subcontractor the total
responsibility for the EARTHWORK, EXCAVATION AND GRADING Work required for
the ST. JOSEPH VILLAGE PROJECT. This Subcontractor understands that due to
the Phased nature of this project, Construction Documents may not be 100 percent
complete and will develop as the project progresses. However, the Subcontractor
shall perform all work required or reasonably inferred under the best practices in
the Construction Industry for a complete and fully functional and operational
system(s) for the purpose intended.
This project will require the Subcontractor to work as a team member with the Contractor
and other members of the project team through the completion of construction to assure
that all work required by this Scope will be performed in such a manner that it is
complete, fully functional, and in accordance with the contract documents within the
contract price.
References to the term "Contractor'' in the Drawings and Specifications shall be
interpreted to mean work by this Subcontractor as they relate to this scope of work.
3.B. Earthwork. Excavation and Gradlno,-Scooe of Work Soeclfic Inclusions
The Subcontractor shall provide all Earthwork, Excavation and Grading work of this Subcontract in
accordance with the Contract Documents, including, but not limited to the following:
1. Environmental Protection
(a)
Subcontractor shall be responsible for the installation, maintenance and removal
of all environmental protection measures for the project in accordance with
EPA's NPDES Regulation. This covers an erosion control plan that complies with
EPA Notice of Intent, including, but not be limited to silt fencing, construction
entrances, and truck cleanout areas. If additional measures should be required
than those shown on sheet C9.0, they shall be the responsibility of the
Subcontractor.
(b)
Subcontractor shall maintain the program at all times while on site and make all
repairs to components as necessary at no additional cost. The Subcontractor
shall do all monitoring and make all reports to the General Contractor. After
demobilization by the Subcontractor, monitOring, maintenance and
reporting shall be as established in the Unit Price Schedule of this Scope
of Work.
(c)
Subcontractor shall be responsible for completing repairs to environmental
protection work within 24 hours of notification by the General Contractor.
(d)
Subcontractor shall be responsible for street cleaning, dust control and noise
control associated with the work of this Subcontract.

2. Trench Safety Plan
(a)
Subcontractor shall have prepared for review a project specific Trench Safety
Plan for all excavation work in excess of five feet deep. The plan shall be
prepared, signed and sealed by a Civil Engineer, registered in the State of
Texas, and shall address all components of Safety relative to all excavation,
trenching and backfill operations to be done by the work of this Subcontract. No
work shall commence until this plan has been submitted and approved by the
Architect, Civil Consulting Engineer, or Owner.
(b)
Subcontractor shall assign a "competent" person to ensure that all work is
completed in accordance with OSHA and the Trench Safety Act. This individual
shall be on site at all times work is taking place.
(c)
Subcontractor shall be responsible for the protection and support of all existing
utilities encountered during the work of this Subcontract and this coordination
shall be addressed in the Trench Safety Plan to the extent possible.
Dewatarina
(a)
Subcontractor shall be responsible for keeping all work areas associated with
this Scope dry and free of standing water, including any dewatering, demucking
or temporary grading to drain.
(b)
Subcontractor shall be responsible for rain and surface water removal from mass
excavation.
Demolition, Site Preoaration. Clearino and Grubbino
(a)
Subcontractor shall be responsible for the demolition and removal of ail objects
such as concrete foundations, paving, curb and gutter, fencing, small structures,
abandoned utility lines, and other items which are identified for removal on the
select demolition or grading plans. Subcontractor shall provide for all sawcutting
as necessar7 to perform work need and orderly. All capping of utilities shall be
by others.
(b)
Subcontractor shall be responsible for all clearing and grubbing as indicated on
the drawings or as specified. Subcontractor shall use all care and caution to
remain within the confines of the identified project limits.
(c)
Subcontractor shall stdp site and provide stock pile sufficient quantities of topsoil
for use with the final grading operation. All material shall be clean and free of
rocks, roots and other debris
(d)
Subcontractor shall remove from site all debris and'unsuitable materials
encountered during demolition and clearing and grubbing.
Excavation, Backfillinq and Compaction
(a)
Subcontractor shall provide for all "mass, excavation for structures as indicated
on the drawings and/or as further described herein. Subcontractor shall at all
times while working on the project have competent supervision as required by
OSHA and the Trench Safety Act. Subcontractor shall install, maintain and
remove an access ramp into the excavation as indicated or where directed by
the General Contractor. All excavation shall be cut back on proper slope and of
sufficient width to allow for concrete formwork operations.
(b) Subcontractor shall be responsible for all "over" excavation, both vertically and

horizontally and corrected at no additional cost to this Contract Amount.
(d)
Subcontractor shall be responsible for excavation for all classifications of
materials encountered including all rock.
(e)
Subcontractor shall provide all machine fine grading. All grading shall be within a
tolerance of +/- 0.10'.
Gradina. Stabilization and TOD Soil
(a)
Subcontractor shall provide all rough grading of site as indicated on the Contract
Drawings or as further described herein. Work shall be at elevations indicated
or as may be directed by General Contractor to allow coordination of work by
other trades such as the Landscape Subcontractor.
(b)
Subcontractor shall provide all subgrade building pads to a tolerance of +/- 0.10'
taking into consideration all proof rolling operations and other conditions.
(c)
Subcontractor shall be responsible for all final or "blue top" grading of areas to
receive paving and curb and gutter work to allow for paving thicknesses shown
at elevations and grades indicated on contract drawings.
(d)
Subcontractor shall provide 6" Lime stabilization to the site paving under Star
Leaf Road only, in accordance with the Construction Documents and
Geotechnical Report. Subcontractor shall obtain lime delivery tickets and seals
for the City of Coppell.
(e)
Subcontractor shall provide Moisture Conditioning of the soil at each of the 38
cottage pads. This consists of the removing 6'-0" of earth at each cottage pad,
getting the soil to the desired moisture content, and replacing and compacting
the soil in 1 '-0" lifts. Soil to be compacted to specifications listed in the HBC
Soils Report.

Subcontractor shall provide 1 '-0" of select fill at each of the 38 cottage pads.
Select fill shall be contained inside the building pad line, and native soil will be
placed at all locations outside the building pad line.
(g)
Subcontractor shall collect, stockpile and respread ail topsoil in all site areas
including lawns, planting areas and islands.
(h)
Subcontractor shall be responsible for all grading to ensure positive drainage in
all locations on site, including the Phase II area. Any areas where "ponding"
may occur, especially near structures, shall be brought to the attention of the
General Contractor for evaluation with the Engineer/Architect.
(i)
Subcontractor shall ut~ize the spoils from the utility and foundation work for site
grading. Subcontactor may also need to utilize a borrow pit for site grading.
~)
Subcontractor includes backfill of existing ground storage water tank from
existing tank floor level, to finish grades. It is understood that the existing tank
floor and walls will remain to an elevation of +/- 1'-0" below existing grade.
Partial demolition of existing tank by others (demolition subcontractor).
(k)
Subcontractor includes work associated with the construction of Star Leaf Road
from it's intersection with Sandy Lake Road to it's connection with existing Star
Leaf Road along the West property line across the new City property.
(m)
Subcontractor includes spreading of topsoil from stockpile immediately prior to
installation of landscape irrigation subcontractor work which is phased and
designated as Phase IA at Cottages and Phase lB at Main Building.

The following related requirements apply to the work of this Subcontract whether provided
by this Subcontractor, Tier Subcontractors or Others:
1. Subcontractor shall be responsible for street cleanup on a daily basis as a result
of the work of this Subcontract.
2. Subcontractor shall be responsible for providing, installing, maintaining and
removing excavation protection (such as barricades, fencing, flagging and
warning signage necessary for safety and access around ail excavations that
are a part of this Subcontract Scope of Work, until backfilled.
3. Subcontractor shall furnish all high impact lighting to safely allow night shift work
to be undertaken.
4. Subcontractor shall be responsible for obtaining and payment for use of
temporary water meters, IF required for the work of this Subcontract.
3.D. Coordination with Other Trades and Authorities
This Subcontractor is responsible for coordinating with the other trades and authorities to
ensure proper execution of the work and to ensure work is not delayed.
Subcontractor shall provide all permits, impact fees, plan checks, licenses,
inspections and associated fees (if necessary) to complete the work of this
Subcontract, including any permits and fees for hauling and delivering of plant
materials on all streets or roadways.
Subcontractor shall cooperate fully with all building inspection officials with the
review and inspection of the work of this Subcontract. Subcontractor shall
promptly remedy all rejected or disapproved work by building inspection
officials.
Subcontractor shall cooperate fully with all testing laboratory and inspection
personnel with the review and inspection of the work of this Subcontract.
Subcontractor shall promptly address remedy's required for non-conforming
work. Subcontractor shall be responsible for costs associated with failed tests,
including rs-inspection and ratesting.
Subcontractor shall be responsible for all traffic control including flag men and
barricades as required for the execution of the work of this Subcontract.
Subcontractor shall coordinate with the General Contractor all street closings
and remuting of traffic and pedestrians required by the work.
Subcontractor will receive, unload, store, and distribute all materials required by
this Scope of Work. Coordinate delivery, storage and handling of all materials
with the General Contractor's Superintendent or designated representative.
Subcontractor shall be responsible for providing flag men during all hoisting
operations for off loading and installation of materials and equipment. This
Subcontractor is cautioned that storage space and areas are limited and any
items stored in the building oron site must be approved by and coordinated with
the General Contractor's Superintendent or designated representative. All other
weatherproof storage of materials which is required by this Scope of Work is the
responsibility of this Subcontractor.
Subcontractor shall promptly prepare and provide the General Contractor with all
warranties and guarantees as required by the Specifications OR as offered by
the Product Manufacturers for all items which are a part of this Scope of Work.
7. Subcontractor shall promptly turnover all "attic" stock, spare parts and

maintenance tools in storage containers as specified or directed and in locations
as directed by the Owner or General Contractor.
Subcontractor shall promptly prepare and turn over ail record and as-built
drawings and surveys to document the work of this Subcontract.
Subcontractor understands the necessity for proper site drainage especially at
structures, and agrees to review all civil drawings for coordination with structural
and other drawing disciplines for proper line and grade. Any discrepancies will
be brought to the attention of the General Contractor for evaluation.
Subcontractor shall inspect the entire site at least one week prior to beginning
any work. The Subcontractor will become familiar with all existing underground
utilities and ground conditions and advise the General Contractor of any
deficiencies which need to be addressed and corrected.

Subcontractor shall be responsible for procuring and executing any Tri-Party
Agreements with, the Owner and City for any work outside property lines.
Subcontractor shall cooperate fully with General Contractor and other key trades
to ensure obtaining the Certificate of Occupancies in an expeditious manner.
Field Enaineerinq
(a) The General Contractor shall be responsible for all layout, engineering and
grade staking, including horizontal and vertical control which is required to
complete this Scope of Work. The General Contractor will provide:
1. One or more control Lines in each work area on site.
2. Bench marks for elevation control as necessary to complete work in
each area of work on site.
(b) This Subcontractor shall be responsible for the maintenance and protection of all
control bench marks and lines established by the General Contractor. In the
event that the control lines are destroyed, the General Contractor will
re-establish the control lines a total of (2) times.
Special Schedule Requirements
1. Subcontractor shall make multiple mobilizations as necessary to complete all
earthwork, grading and backfill in phases as required by the Construction
Schedule or as directed by the General Contractor.

The Following Items are specifically excluded from the work of this Subcontract.
A. Costs associated with testing laboratories, except for charges associated with "retesting"
deficient work. (By Owner or by General Contractor)
B. Perimeter or underslab subdrainage systems. (By Mechanical/Plumbing Subcontractor)
C. Underground Utilities. (By Utility Subcontractor)
D. Termite control. (By Termite Control Subcontractor)
E. Cutting or capping of utilities. (By Applicable Utility Subcontractors)
F. Supporting, bracing or relocafion of any utility systems. (By Utility Subcontractors)
G. Furnishing or installation of gravel, sand fill or underslab vapor barriers. (By Concrete
Subcontractor)
UNIT PRICES:
Centex Construction reserves the right to modify the work in accordance with the following Unit
Prices at the costs as noted. Unit Prices ara good throughout the duration of the project and
include all burdens, overhead markups, and profit.
Subcontractor shall replace Silt Fencing destroyed or damaged by other trades at a cost
of $2.00/LF.

The following Special Provisions modify, delete and/or add to the Subcontract General Conditions. Where any
paragraph or subparagraph in the Subcontract General Conditions is supplemented by one of the following
paragraphs, the provisions of such paragraph or subparagraph shall remain in effect and the Special Provisions shall
be considered as added thereto. When any paragraph or subparagraph in the Subcontract General Conditions is
amended, voided, or superseded by any of the following paragraphs, the provisions of such article, paragraph, or

SUBMITTALS. It is understood that construction time for this project is extremely critical. Subcontractor,
therefore, agrees to provide, within Seven (7) days after the award of this Subcontract, a complete listing of
all required submittals and their anticipated submittal dates. This schedule must comply with the dates
indicated in paragraphs A., B. and C, below. All submittals must be in strict accordance with the specific
requirements of applicable Specification Sections.
A. Begin submittal of shop drawings, certificates, and test reports upon receipt of Notice to Proceed.
B. Complete submittal of shop drawings, certificates, and test reports within 10 days of Notice to
Proceed.

CITY OF C0PPELL ORDINANCES. Subcontractor shall comply with all local codes, ordinances, rules, and

Division 2 - Sitework
· Selective demolition covers drainage ditch bank protection and removal of one drainage
culvert and wing walls.
· Cottage slabs-on-grade - One (1) foot of select fill will be placed over a moisture-conditioned
sub base. Moisture-conditioning occurs to a depth of 6' below the slab. The final subgrade
is proof-rolled and scarified and recompacted. (No drilled caissons or carton forms).
· Two (2) inches of sand over vapor barrier over 5 inches granular base included under all
slabs on grade.
· Subsoil termite treatment beneath building footprints is included.
· permanent dewatering of site and buildings is excluded.
· GMP'does not include any sodding.
· StarleafRoad is 8" 3000 psi concrete reinforced with #3 @ 18"ocew.
· Star Leaf Road receives lime stabilization at 6% 6" deep. Other pavements do not receive
lime stabilization.
· Fire lane pavements are installed at a thickness of 7" and concrete strength is 4,000 psi.
· Driveways and other pavements are 5" in lieu of 6" and concrete strength is 3000 psi with #3
reinforcing @ 18"ocew. Driveways and other pavements do not receive any moisture
conditioning belo~ Pavement.
· Pavements are sloped in one direction to eliminate 20 inlets and 452 linear feet of reinforced
concrete pipe.
· All sidewalks are 4" concrete 3000 psi in strength reinforced with #3 ~ 18"ocew.
· All streets have 6" x 6" monolithic curbs.
· Striping for parking and fire lane is included.
· Wheel stops are excluded.
· Brick pavers are excluded but stamped concrete is included at the bridge and main entrance
as shown. Pattern shall be of standard design.
· Two site entrance signs are included as shown. Metal with painted finish.
· GMP includes the vertical walls and bollards at the bridge as shown on Al.4.
· Joint sealant for expansion and control joints is included.

· Asphalt is included at the Sandy Lake Road entrance and StarleafRoad North end where the
elevations will not meet until sandy lake Road is elevated.
· Perimeter fence will be brick and stone with brick columns as shown on drawing L1.3 ending
at Phase I with a wood fence along the South.
· GMP includes electric swinging ornamental entrance gates and pedestri~,n gates with keypad
and telephone access to main lobby and 238 (ea.) remote openers. Embedded exit loop is
included.
· GMP does not include guardhouse, statue or fountain.
· Gazebos (2 ea.) are 12' diameter Victorian model manufactured by Vixen Hill.
· Four (4) covered parking canopies are included. They are constructed of steel and wood
trusses with composition roofing. They are painted inside and exposed. They are hghted.
· GMP includes a stone/steel fence as detailed in fi:ont of the covered parking spaces. A 5'
sidewalk between the fence and parking is included. Storage units are excluded (FFE).
· Site statue is not provided.
· Site lighting is included.
· Phase II paving work on the loop road and cul-de-sac is not included.
· The GMP does not include a retaining wall on the west side of the site. In lieu of the retaining
wall, the GMP includes a sloped concrete sidewalk with a 2' to 3' block keystone wall for a
total of 335 lineal feet.
