COUNTY OF DALLAS §
THAT the TRINITY RIVER AUTHORITY OF TEXAS ("AUTHORITY"), a conservation
and reclamation district created by and functioning under Chapter 518, Acts of the 54th
Legislature of the State of Texas, Regular Session, 1955, as amended pursuant to Article XVI,
Section 59 of the Texas Constitution, with its principal office at 5300 South Collins, Arlington,
Tarrant County, Texas 76018, in consideration of the payment of good and valuable
consideration, receipt of payment acknowledged, does hereby grant, convey and transfer to the
CITY OF COPPELL, TEXAS ("COPPELL"), a municipal corporation, its successors and
assigns, all of AUTHORITY'S right, title and interest in and to the "One-Half Million Gallon
Storage Tank and Sandy Lane Pump Station" along with all related equipment, attachments and
appurtenances (all hereinafter called "FACILITIES"), which were constructed by AUTHORITY
pursuant to a separate contract executed by AUTHORITY and COPPELL on July 21, 1972, and
the issuance of revenue bonds designated as the Coppell Water Project Series 1976.
AUTHORITY warrants that it is the lawful owner in every respect of all the described
FACILITIES and that said FACILITIES are free of all liens, security agreements, encumbrances,
claims, demands, and charges of every kind whatsoever. COPPELL warrants that it has
inspected said FACILITIES, hereby accepts all of said FACILITIES in their "as is" condition, and
assumes all risk of owning and operating said FACILITIES.
AUTHORITY binds AUTHORITY, its successors and assigns, to warrant and defend the
title to all of the FACILITIES to COPPELL, its successors and assigns, forever, against every
person lawfully claiming the described FACILITIES or any part of them, by, through or under
AUTHORITY, but not otherwise.
