RE: North Spine Road
Dear Ken:
Based on discussions with you and with Mr. Harry M. Hargrave of The Parks of Coppell
Trust (the "Trust"), I understand that you are nearing completion of the subdivision plat pursuant
to which the City of Coppell (the "City") will dedicate the eastern one-half of the right-of-way
for the North Spine Road and that plans and specifications for the North Spine Road also are
nearing completion.
To expedite the completion of arrangements between the Trust and the City with respect
to the payment of the costs to construct the North Spine Road and the supervision of the
construction of the North Spine Road by the City, I hereby forward to you proposed drafts of:
(i) Right-of-Way Dedication (pursuant to which the Trust will dedicate the western one-half of
the right-of-way for the North Spine Road); (ii) Construction Supervision Agreement (pursuant
to which the City agrees to supervise the construction of the North Spine Road); and (iii) North
Spine Road Escrow Agreement (pursuant to which the Trust and the City will escrow funds with
Jay S. Turner, P.C. to pay the costs to construct the North Spine Road).
By copy of this letter, I am mailing sets of the enclosed to Mr. Hargrave and to
Peter G. Smith, Esq. Please be advised that Mr. Hargrave has not reviewed the enclosed and
that the enclosed remain subject to his comments.
Please note that the following matters need to be addressed prior to execution of the
enclosed: (i) completion and approval of the North Spine Road Plans by the Trust and the City;
(ii) completion of a narrative description of the North Spine Road Plans to be attached as Exhibit

C to the Construction Supervision Agreement; (iii) approval of the North Spine Road Approved
Costs by the Trust and the City; (iv) approval of the North Spine Road Contractor and the North
Spine Road Construction Contract by the Trust and the City; and (v) the preparation of Exhibit
B-1 (metes and bounds description of the City Right-of-Way Area) and Exhibit B-2 (drawing
depicting boundaries of the City Right-of-Way Area) to the Construction Supervision Agreement.
