Dear Mr. Pilazzo:
I am transmitting herewith a fully executed agreement between
Conoco, Inc., L. H. Lacy Co. and the city of Coppell, concerning
the crossing of the Con-Dor 6" high pressure petroleum products
line by the improvements to Denton Tap Road. I have also
enclosed two blue line prints of a plan and profile drawing
showing the horizontal and vertical relationships between the
proposed road improvements and your facilities. Please note the
location of the City of Coppell's existing 8" water line which
crosses your pipeline and take the necessary steps to instruct
your contractor to avoid damaging the water line during his
construction work in the area.
As per our telephone conversation of Monday, November 1, 1988, a
meeting was held between L. H. Lacy Co. (the Contractor for the
Denton Tap Road Improvements), Ginn, Inc., and the Cotton Belt
Railroad for the purpose of coordinating work in this area. I
have enclosed a copy of the minutes of this meeting for your use
in acquainting you with the status some of the other work which
will be in progress at the time your forces Will probably be
accomplishing their work. As you can see by the proposed time
frames for the various items of work in this area, it is
important for Conoco to begin its work as soon as possible.
Please contact me as soon as you have established your schedule
for the improvements to your facilities so that we can coordinate
your efforts with the City of Coppell's Contractor.

Dear Mr. Ratliff:
We have received your letter and construction plans concernin$ improvements
to Denton Tap Road where it crosses the Conoco Inc. operated Con-Der Pipe
Line Company ('Con-Der") 6-inch hish pressure petroleum products pipeline.
Conoco Inc. will permit construction across the pipeline upon the Contrac-
tor and City of Coppell ("City") agreeins to the following requirements:
After review with our En$ineering Department, we must cake exception
to your suggestion that the line will nec require concrete coating.
The pipeline is currently installed inside of steel casing under
Denton Tap Road. This casing provides protection from external stress
due co traffic; it also reduces the risk of damage co the pipe during
installation of utilities, drain lines, etc. In addition, the casing
provides a means of moni~oring the integrity of che pipe and provides
a conduit for~ipe replacement if necessary. Ex~ensions to the casing
is nec practical due to sags in exis~in$ line and because of cathodic
protection considerations. Once the pipe is covered by the road it
w~ll no ~ong be accessible for maintenance, therefore, we must require
installation of tested, heavy-wall, concrete coated pipe under =he
roadway.
2. The concrete coated pipe will be installed under the roadway and will
extend approximately 2§ ~eet east and west of the construction bound-
aries. The cost for this modification, est~nated co be $40,000.00 as
shown on Exhibit A, will be borne solely by the City of Coppell. We
require 100 percent of the actual cost be paid within 30 days of
receip~ of an invoice after pipeline modif~catione are complete. The
City will be charsed ~or actual costs for pipeline modifications,
whether higher or lower than the es~imaced costs.
3. Conoco ~nc.eo D~v~elon 0ff~ce ~n Lake Charles, Louisiana, must be
provided with fin&L construction drawings for all work which w~ll
affect the Con-Der pipeline, includins a plot plan and a profile alone
the pipeline centerline showing any grade work to be done. The

beyond the limits of roadway. The profile should show the vertical
distance between the Con-Dot line and-any proposed gradin$. Upon
receipt of updated drawings, Conoco Inc. will revise the cost estimate
to reflect any additional modifications required to the pipeline.
All utilities which cross the Con-Dot pipeline must pass underneath by
a mtnimu~ of 12 inches. Any utilities which parallel the pipeline
will maintain a minimum separation distance of 5 feet from the util-
ities outside wall to the outside of the Con-Dot line.
5. Conoco Inc. will not allow the city or its contractor to use any
material or equipment in the construction which in the opinion of the
Con-Dot inspector would hinder or impair Con-Dorts ability to safely
maintain and operate its line.
6. Con-Dot retains the right to adequately mark its pipeline with perma-
nent line markers to insure public safety and the futura safe opera-
tion of the line and to meet Department of Transportation Regulation.
7. No engineering works, private or industrial dwellin~s, deep rooted
plants, fences, other similar permanent structures will be allowed
over any portion of the pipeline.
8. At any point along the pipeline where the existinl grade profile will
be lowered by the removal of earth, the Con-Dot Line must be lowered
to a depth which provides a minimu~ cover of 36 inches after final
grading.
9. Con-Dot requires a minimu~ of 48 hours notice prior to any excavations
construction, or movement of equipment across its right-of-way so that
its line can be staked to minimize the possibility of accidental
g~n~ge. Additionally, Con-Dor personnel must be on site during
exposure of the pipeline and during any work around the exposed line.
10. The City shall indem~ify and hold Con-Dot harmless from and against
any and all claims for injuries to person or persons or for damages to
property arising directly or indirectly from work to be performed by
the City or those under contract to the City near the Con-Dot pipe-
line.

The Contractor shall indemnify and hold Con-Dot hamless from and
against any and all claims for injuries to person or persons or for
damages to property arising directly or indirectly from work to be
performed near the Con-Dot pipeline by the Contractor or its
sub-contractor.
The City shall ass, ma all responsibility for any and all dmgae to
the Con-Dot operated pipeline arimim~ directly or indirectly from work
to ba performed by the City~ its contractors or subcontractors.

13. Con-Dor shall be na~ed as additional insured without any qualifica-
tions or restrictions by the Contractor performing work near the
Con-Dot pipeline. Contractor shall maintain in effect during work
near the Con-Dot line the following insurance coverages:
Public liability insurance covering all work to be performed near the
pipeline, with bodily injury limits of not less than $100,000 as to
any one person and $300,000 as to any one accident and with property
d-m-ge limits of not less than $100,000 for each accident. Such
insurance shall include c~¥arage for all liability assumed by Contrac-
tor working near the pipeline under contract with the City with limits
of liability not less than those set out above.
It shall be the Cityts obligation to see that each and every contrac-
tor and subcontractor employed by it carries and pays for the same
kinds and a~ounts of insurance as are required of the Contractor.
I certified copy of all insurance policies requested shall be received
at the Conoco Division office in Lake Charles with Con-Dot Pipe Line
Company named as the certificate holder prior to the comencement of
work.
14. The City of Coppell shall indemnify and hold Con-Dot harmless fro~ and
against any and all claims for damage to Denton Tap Road and associ-
ated water and drainage lines arising directly or indirectly from work
being performed by Con-Dot or its Contractors on the Con-Dot pipeline.
To initiate work on the pipeline modifications to accomodats the proposed
construction, please have a copy of this letter executed by an officer of
the Contractor and the City of Coppell and return to me along with final
construction drawings.
Enclosed for your information are copies of the APl Brochure, "l~hat You
Should Know About Petroleum Pipeline Safety". Please pass these along to
the Contractor and Project Inspector.
