Dear Mr. Lilly=
Enclosed is a signed original of the contract with your firm for preparation of
an application for a FEMApermit to perform the erosion control work on Grapevine
Creek in the Grapevine Springs Park.
The application must be in a form acceptable to FEMA and the City of Coppell and
its Flood Plain Administrator.
Your proposal contained a requirement to meet with Dallas County and City of
Coppell staff to establish parameters of the study. We propose to hold this
meeting at 9 A.M. on Tuesday, May 18, 1993 at Dallas County Public Works
Department Conference Room, 411 Elm Street, Fourth Floor.
Since our contract provides for a not-to-exceed cost of $1,500.00 we understand
that you will invoice the City of Coppell directly for one-half of the final
cost, estimated at $3,000.00.
Please consider this your authorization to proceed with the work in accordance
with the enclosed contract.

the following order was adopted:

it has been determined that in order for a permit to be issued for proposed
channel erosion protection work on the Open Space Project at Grapevine Springs,
a hydraulic study performed by Graham Associates, Incorporated in 1992 must be
submitted in a form acceptable to the Federal Emergency Management Agency (FEMA} I
and
Graham Associates, Incorporated has agreed to perform said work within a two week
period for an additional $3,000 of which the City of Coppell will pay $1,500 to
the firm directlyl and
by fund£ng $1,500, Dallas County will allow the process to move forward toward
receipt of bids for the work to be contracted~ and
the Director of Public Works concurs with the above and recommends that said
contract be executed as stipulated for a total cost to Dallas County not to
exceed $1,$00~ and
said contract was discussed in briefing on May 4, 1993.

DALLAS COUNTY DEPARTMENT OF PUBLIC WORKS
ENGINEERING CONTRACT
THIS AGREEMENT, made, entered into, and executed this llth
day of ~'~Y ., 19 93 ., by and between the County
of Dallas, Texas acting herein by and through its County Judge,
duly authorized so to act on ~ay 11 , 19 93 .., by
Court Order No. 93-781 (hereinafter referred to as "the
County"), and Graham Associates, Inc. _, a Texas Corporation
(hereinafter referred to as "the Engineer").
WITNESSETH:
WHEREAS, the County desires a hydraulic study in connection with
the Grapevine Springs Open Space Project; and
WHEREAS, the Engineer is acceptable to the County and is willing
to enter into a contract with the County to perform said services
in connection with said project on Grapevine Springs at its
location over n/a or within its limits from n/a to n/a ;
and
WHEREAS, this Contract shall be administered on behalf of the
County by its Director of Public Works (hereinafter referred to as
"Director"), and the Engineer shall fully comply with any and all
instructions from said Director. The decision of the Commissioners
Court in all disputes shall be final and binding.
NOW THEREFORE, IT IS AGREED AS FOLLOWS:
I.
The County hereby retains the Engineer
in the scope of the
project as described in Attachment "A# attached hereto and made a
part hereof.
1. The Engineer shall provide three copies of the reports, test
reports, plats, property descriptions, etc., as outlined in Attach-
ment "A#.
2. The engineering report is to be completed within 2
calendar weeks from date of written authorization to proceed bythe
County.
II.
FEE~ The fee for the total scope of services outlined in
Attachment "A", and as agreed to by the Engineer and the County
shall not exceed One Thousand FiVe ~undred and no/hundredths
($1,500.00) DOLLARS. The County shall pay the Engineer for actual
work completed based on the unit prices established in Attachment
"A" upon acceptance by the County of the completed work.
III.
It is understood and agreed that the County shall have complete
control of the services to be rendered, and that no work shall be
done under this Contract until the Engineer is instructed in
writing to proceed with the work.
IV.
Any provision in the contract notwithstanding, it is specifically
understood and agreed that the Engineer shall not authorize or
undertake any work pursuant to this contract, which work would
require the payment of any fee, expense or reimbursement in
addition to the fee stipulated in Article II of this Contract,
without having first obtained specific written authority therefor

from the County.
V.
This Contract shall not be assignable in whole or part without
written consent of the County.
VI.
Upon completion of said services and submittal of reports to the
County, the Engineer may apply for applicable amounts due and
payable. Ail payments for services rendered by the Engineer and
accepted for approval by the County that have not been paid within
ninety (90) days after becoming due, shall thereafter accrue
interest at a rate of seven percent (7%) annum.
VII.
In connection with all work outlined or contemplated above, it is
agreed that the County or the Engineer may cancel or terminate this
contract upon thirty (30) days written notice to the other, with
the provision and understanding that immediately upon receipt of
notice of such cancellation from either party to the other, all
work and labor being performed under this contract shall immedi-
ately cease, pending final determination at the end of such
thirty-day period, and further provided that the Engineer shall be
compensated in accordance with the terms of this Agreement for all
work accomplished by them prior to the receipt of notice of such
termination.
VIII.
The Engineer agrees to indemnify and save harmless the County
from any liability or damages County may suffer as a result of
claims, demands, costs, or judgements against County arising from
any act, omission, neglect or misconduct in the performance of the
work and services under this agreement, except for any liability or
damages caused by the negligence of the County, its officers and/or
employees.
IN WITNESS WHEREOF, the County of Dallas, Texas, has caused these
presents to be executed by the County Judge as pertaining to
Attachment "A" for the fee of not to exceed One ThoUsand Five
Hundred and no/hundredths (~_~) DOLLARS; and the Engineer
has caused these presents to be executed by a duly authorized
representative on the day and year set forth above.

Per your request, this letter will serve as Graham Associates proposal to provide the
civil engineering services required for the preparation of a F.E.M.A. report for the
above referenced project. We propose the following scope of services:
