Belt Line Trade-ES06042704-27-2006 O1 25pm From-TXU 2148123642 T-190 P 002/007 F-517 THE STATE OF TEXAS COUNT'Y' OF DALLAS EASEMENT OR RIGHT OF WAY That TXU' GENERATION COMPANY, L.P. formerly known as Dallas Power & Light Company, a Texas Corporation, (hereinafter referred to as "Grantor"), and INDUSTRIAL DEVELOPMENTS INTERNATIONAL (TEXAS), L.P. (hereinafter referred to as "Grantee', for and in consideration of TEN AND NO/100 ($10 00) dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by both Grantor and Grantee, has granted, sold and conveyed, and by these presents, does grant and convey unto Grantee, an easement or right of way for the purpose of constructing and maintaining one (1) $-inch sanitary sewer line in, under and along the following described property: SEE EXI3IBI'~' "A" (ATTACHED HERETO) There is also granted to Grantee, its successors and assigns, the temporary working space necessary for the construction and maintenance of said sanitary sewer Iine. 'Working space shall not exceed 10 feet on either side of the centerline as described in Exhibit "A". Open cuts and/or trenching across the easement strip is sinctly prohibited. Placement of said sewer line along the centerline described in Exhibit "A" shall be accomplished through approved boring techniques and practices. No portion of the bore pits shall be permitted upon or within the easement strip. Grantee, its agents or employees shall not use or cause to be used any overhead lift or boom-type equipment, including but not limited to draglines, backhoes and industrial waste vehicles, within the limits of Grantor's property. Grantee shall notify Grantor's North Lake Steam Electric Station's Plant Superintendent at 972-978-3510 at least two (2) working days prior to commencing any construction applicable to this project on Grantor's property. It is expressly understood and agreed that if the presence or maintenance of said sewer line on Grantor's premises as herein authorized shall at any time in the judgement of Grantor interfere with any use Grantor may desire to make of said premises or with the safe or convenient operation of its business, Grantee agrees on thirty (30) days written notice to take whatever steps necessary to render the use of Grantor's premises satisfactory to Grantor or perform other work necessary to render said property usable, satisfactory to Grantor, to he solely at Grantee's expense and to be done as nearly as practicable in accordance with Grantor's request. Should the Grantee fail to act within the thirty (30) day notice period to render Grantor's property usable for safe operation of its business, Grantor reserves the right to take whatever steps necessary to restore the premises to a satisfactory condition. The cost of such action by Grantor shall be at the sole expense of the Grantee 04-27-2006 01.26pm From-TXU 2148123642 T-190 P 003/007 F-517 This easement shall continue only so long as Grantee herein shall use this right of way for the purpose herein described and the same shall immediately lapse and terminate upon cessation of such use. Upon the termination of this easement or right of way for any reason, Grantee shall surrender this easement and the possession of Grantor's property hereinabove described in the same condition that such property was in at the beginning of the term of this agreement, ordinary wear and tear for the purpose herein authorized excepted. Grantor shall not be liable for any damage to said easement or the contents thereof however such damage shall be caused, whether by the negligence of Grantor, its agents, servants or employees, except when caused by the willful acts of Grantor, its agents, servants or employees. Crrantee shall, at its own cost and expense, comply with all applicable Iaws, rules, regulations and orders issued by any governmental authority. Grantee agrees to indemnify and hold harmless Grantor for any claims, demands, penalties, fines or attorney fees incurred relating to violations or alleged violations of such laws, rules, regulations or orders. Further, Grantee agrees to indemnify and hold harmless Grantor for any damages or expenses incurred as a result of Grantee's installation, operation or maintenance of said sewer line on Grantor's above described property Grantor and Grantee each agree that if any claim or liability shall arise from the joint or concurring negligence of both parties hereto, it shall be borne by them in proportion to their negligence. It is understood that it is not the intention of the parties hereto to create liability for the benefit of third parties but that this agreement shall be for the benefit of the parties hereto.
