It is our understanding that the project currently needing an investigation consists of approximately 25.9 acres of land to be used primarily for school, parks, roads and bridges. As discussed, current plans are to span a bridge across from the intersection of Lakeshore Drive and Beltline Road and over a portion of North Lake. In addition, the south portion of the site is being considered for the construction of an educational fac i I ity. Based on the above information, we recommend advancing two (2) borings at the proposed bridge location to a depth of fifty (50.0) feet or five (5.0) feet into gray rock, whichever is less. In addition, two (2) borings wi I I be advanced in the area of the proposed educational facility to a depth of twenty-five (25.0) feet or five (5.0) feet into gray rock, whichever is less. One (1) boring will also be advanced in the northeast portion of the site to a depth of twenty-five (25.0) feet or five (5.0) feet into gray rock. City of Coppell January 30, 2006 Based on prior experience with the types of soils encountered in the general area and our conversation, we anticipate that the following drilling and laboratory tests will be required: Intermittent Sample Borings (approximately 175E total linear feet of borings) 10 to 20 Atterberg Limits Tests to 8 Percent Passing a No. 200 U.S. Sieve Tests I S to 20 Moisture Contents and/or Unit Weight Determinations to 10 Unconfined Soil Compression and/or Field Penetration Tests 0 to 3 Pressure or Free Swell Tests This proposal is based on the assumption that the site is accessible to ATV mounted drilling equipment. Soil sampling in cohesive soils will be performed with thin wall Shelby tubes in general accordance with ASTM D1587. Granular or hard soils/rock will be sampled with a split spoon sampler in general accordance with ASTM D1586. Soil samples will be extruded and sealed at the site and transported to our laboratory for testing. Groundwater levels in each boring will be measured at the completion of each boring and at the end of the working day. A laboratory testing program will be assigned by a geotechnical engineer to meet the particular needs of the project after visually examining soil samples collected. Using periodically calibrated equipment, our experienced laboratory technicians will perform the anticipated tests listed above. A written engineering report will be prepared by a team consisting of a qualified geotechnical engineer and a registered professional engineer. The report will include the following findings and recommendations: Plan of Borings and Logs of Boring Results of Laboratory Testing Site Observations and Comments Preliminary Foundation Type and Design Parameters Preliminary Pavement Section Recommendations Preliminary Estimates of Potential Vertical Rise at Boring Locations Preliminary Recommended Subgrade Preparation Procedures Criteria for Placement and Processing of Fill Materials GEE Consultants, Inc. Based on information presently available and our experience, the estimated cost of this investigation, including five (5) borings, will be $5,850.00. This cost includes a meeting to discuss our findings (if desired) at the completion of our investigation. Supplemental meetings and/or recommendations not included in the original anticipated scope of work may be assessed using our standard rate. We anticipate this investigation will take two (2) to three (3) weeks for completion, weather permitting. Preliminary verbal recommendations can be provided on completion of boring advancement. If this proposal is acceptable to you, please sign the enclosed copy, along with the Agreement for Geotechnical Engineering Services and return it to us at your earliest convenience. DECLARATIONS. CLIENT desires to engage GEE to provide Geotechnical Engineering services in connection with CLIENT'S project ("THE PROJECT") described as follows: Preliminary Geotechnical Investigation North Lake Land Development Denton Tam Road and Lakeshore Drive CopAell, Texas GEE has provided a proposal and/or fee schedule to CLIEt~Tr for Geotechnical Engineering services, which fee schedule is acceptable to CLIENT. 2. MISCELLANEOUS INFORMATION The client and/or his architect and/or his engineer shall provide the Geotechnical Engineer with all information concerning the site which is the subject matter of this contract specifically including but not limited to geotechnical information testing reports, site plan, utility easements and locations and building locations and other such information which would be of benefit to the Geotechnical Engineer in preparing and/or completing its work. The Geotechnical Engineer shall have the right to rely upon the accuracy of the information provided in performing its service. R[GHT OF ENTRY The client will provide for right of entry of the Geotechnical Engineer and all necessary equipment, in order to complete the work. While the Geotechnical Engineer will take all reasonable precautions to minimize any damage to the property, it is understood by the client that in the normal course of work some damage may occur, the correction of which is not part of this Agreement. UTILITIES In the prosecution of his work, the Geotechnical Engineer will take all reasonable precautions to avoid damage or inj uryto subterranean structures or utilities. The client agrees to hold the Geotechnical Engineer harmless for any damages to subterranean structures which are not called to Geotechnical Engineer's attention and correctly shown on the plans furnished which Indemnity Agreement shall specifically protect the Geotechnical Engineer. SAMPLES Geotechnical Engineer will retain all soil and rock samples for thirty (30) days. Further storage or transfer of samples can be made at owner expense upon written request. INVOICES Geotechnical Engineer will submit invoices to the client monthly and a final bill upon completion of services. Payment is due upon presentation of invoice and is past due thirty (30) days from invoice date. The client agrees to pay a finance charge of one and one-half percent (1 1 /2%) per month, or the maximum rate allowed by law, on past due accounts, whichever is less. OWNERSHIP OF DOCUMENTS • All reports, boring logs, field notes, laboratory `test data, calculations, estimates, and other documents prepared by the Geotechnical Engineer, as instruments of service, shall remain the property of the Geotechnical Engineer. It is specifically understood and agreed that all reports, boring logs, field data, field notes and laboratory test data, calculations, estimates, and other documents were prepared at a specific time and under a specific set of criteria for use by the client named herein. Accordingly, such reports and other information noted shall not be transferred by the client to any third party nor shall any representation be made by the client to such a third party regarding their abi lity to rely upon any of the reports or other information noted without the express written consent of the Geotechnical Engineer. The client agrees that all reports and other work furnished to the client or his agents, which are not paid for, will be returned upon demand and wi Il not be used by the client for any purpose whatsoever. The Geotechnical Engineer will retain all pertinent records relating to the services performed for a period of five (5) years following submission of the report, during which period the records will be made available to the client at all reasonable times. DISPUTES In the event that a dispute should arise relating to the performance of the services to be provided under this Agreement, and should that dispute result in litigation, it is agreed that the prevailing party shall be entitled to recover all reasonable costs incurred in the defense of the claim, including staff time, court costs, attorneys' fees, and other claim-related expenses. STANDARD OF CARE Service performed by the Geotechnical Engineer under this Agreement will be conducted in a manner consistent with that level of care and skill ordinarily exercisedbymembers of the profession currently practicing under similar conditions. No warranty, express or implied, is made. The client recognizes that subsurface conditions may vary from those encountered at the location where borings, surveys, or explorations are made bythe Geotechnical Engineer and that the data, interpretations and recommendations of the Geotechnical Engineer are based solely on the information available to him. The Geotechnical Engineer's responsibility shall be to develop data, interpretations and recommendations in a reasonablyprudentmanner exercising the care and skill noted in the preceding paragraph. The Geotechnical Engineer shall not be responsible for the interpretation or use by others of the information developed. INSURANCE Geotechnical Engineer agrees to indemnify and save the client harmless from and against any loss, damage, or liability arising from any negligent acts by Geotechnical Engineer, his agents, staff, and consultants employed by him. The Geotechnical Engineer shall not be responsible for any loss, damage or liability beyond the amounts, limits, and conditions of Geotechnical Engineer's insurance. The Geotechnical Engineer shall not be responsible for any loss, damage, or liability arising from any acts by the client, his agents, staff, and other consultants employed by him. LIMITATION OF LIABILITY In recognition of the relative risks and benefits of the Project to both the Client and the Geotechical Engineer, the risks have been allocated such that the Client agrees, to the fullest extent permitted by law, to limit the liability of the Geotechnical Engineer to the Client for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys' fees and costs and expert- witness fees and costs, so that the total aggregate liability of the Geotechnical Engineer to the Client shall not exceed $25,000, or the Geotechnical Engineer's total fee for services rendered on this Project, whichever is greater. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law. TERMINATION This Agreement may be terminated by either party upon seven (7) days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof. Such tai~rr»nation shall not be effective if that substantial failure has been `Femedied before expiration of the period specified in the written notice. In the event of termination, Geotechnical Engineer shall be paid for services performed to the termination notice date plus reasonable termination expenses. In the event of termination, or suspension for more than three (3) months, prior to completion of all reports contemplated by this Agreement, Geotechnical Engineer may complete such analyses and records as are necessary to complete his files and may also complete a report on the services performed to the date of notice of termination or suspension. The expenses of termination or suspension shall include all direct costs of Geotechnical Engineer in completing such analyses, records, and reports. ASSIGNS Neither the client nor the Geotechnical Engineer may delegate, assign, sublet or transfer his duties, data generated by this investigation, or interest in this Agreement without the written consent of the other party.
