permission and Mira Mar Development CorporaaOl4 by and through its PNsidem, lohn L. Hawkins,
is seekine a permit to oonAtJ'uct a scte~ wall in the Alexander Court development. At Mira
Mar's request and based 1.1pQn the release and indemnification set forth herein, the City ofCoppeIl
bas agreed to islUe buildiJJs permies for the screening wall subject to the satisfaction of certain
conditions, notwithatandJDa the fact that a final plat bas not yet been approved for the development
and that FBMA. has not issued a decision on the precise location of tho flood plain. Mira Mar
Development Corporation, in proceeding with the construction ot the screening wan. is cognizMt
of such filers.
Further, Mira Mar Development Corporation agrec=s to assume all riBks associated with the
constructing the screening wall. Mira Mar Development Corporation fUrther states that it
indemnifies and willhoJd harmless the City ofCoppo1l, its maoagement, employees, and agents from
each and ev~ claim, demand or cause of acdon ariBing out of or related to present permitting and
construction of the screeniag wall. 'l"he nib assumed include, but are not limited to, the possibUity
that. final platmightnot be approved: FEMA might not revise the current flood plain to the location
anticipated by MIra Mar De\re1opn1ent Corporation. or that FBMA might not issue a decision
rcprding the flood plain location in the time: frame that Mira Mar Development CotpOnltion
anticipates.
Should Mira .Mar Development Corporation abandon the AlOX8Qder Court development
project, fail to secure adequate finaftcl.na or fundb1& to continue the project. or otherwise be Wlable

to complete the development in a rasonable period of time, whether or not allegedly caused by
actions C)1' tndons of the City, Mira Mar Development Corporation hereby agrees to either remove
the ~ wall or pay to the City the l'eUOI1able and nece&lJU'y costs of removing the wall and
further agrees not to seek any damages or compensation troth the City on account of same.
