In return, Duke Construction agrees to reduce the overall reimbursement to be received as part of the Developer's Agreement as detailed below. If any discrepancies arise, the City standards shall have precedence over the plans. 17. Subcontractor responsible for all traffic control required on Belt Line Road to complete the scope of work 18. Included in this contract is a $45,000 expedition surcharge above the original proposal amount. This is to be paid with the condition that the reinforced concrete box culvert is delivered to the site no later than three (3) weeks after the execution of this contract. This amount is built into the value of this contract and will be deducted if the subcontractor fails to perform on this activity within the aforementioned time limit. 19. Subcontractor agrees to devote no less than three (3) utility crews and one (1) full-time superintendent to the project at all times unless otherwise agreed upon by Duke and the subcontractor in writing. 20. Duke will be responsible for any fees or permits necessary to perform work shown on the plans within the TxDOT Right of Way. All such work shall conform to TxDOT standards. The Work shall be performed in strict compliance with the Subcontract Documents, including the Project Specifications, Divisions 0100,0200. ARTICLE 3 SUBCONTRACT TIME The Work shall be commenced and completed as provided in the Project Schedule (the "Subcontract Time"), subject to extensions of the Subcontract Time as set forth in the Subcontract General Conditions. "Substantial Completion" of the Project or designated portion thereof shall be the date determined by Duke when the Project is sufficiently complete in accordance with the Subcontract Documents so the Owner can occupy or utilize the Project or designated portion thereof for the use indicated by the Subcontract Documents. The term "day" shall mean calendar day. Time is of the essence of this Agreement. ARTICLE 4 PAYMENTS 4.1 Subcontract Sum. Duke shall pay the Subcontractor for the performance of the Work the total sum of: $2,178.428.00. Based upon Applications for Payment submitted to Duke by the 25th day of the month, Duke shall make progress payments to the Subcontractor within ten (10) days of Duke's receipt of payment from the Owner. Applications for Payment received after the 25th day of the month shall not be processed until the 25th day of the next month. 4.3 Retainaae. Duke shall retain from each progress payment a sum equal to ten percent (10%) of the progress payment authorized by Duke for payment to the Subcontractor. Retainage will not be released prior to thirty (30) days following final completion of the Work. 4.4 Final Payment.
