CONTRACT AGREEMENT
THIS AGREEMENT, made this 6th day of May, 2009, by and between PHIL
BERKEBILE, hereinafter called the OWNER, and C-CON SERVICES, INC., hereinafter
called the CONTRACTOR.
For the consideration hereinafter named, the OWNER and CONTRACTOR agree as follows:
ARTICLE 1. WORK: The CONTRACTOR agrees to furnish all labor, material and
equipment necessary to perform and complete the work specified in their proposal
attached herewith.

WATER LINE RELOCA nON AND HEADWALL EXTENSION
@ 234 BETHEL, COPPELL, TEXAS (See Exhibit -A attached for full
scope)
ARTICLE 2. TIME: The CONTRACTOR agrees to promptly begin work as soon as
notified by the OWNER, and to complete the work in accordance with progress schedule
per the OWNER and/or CONSTRUCTION MANAGER.
ARTICLE 3. EXTRAS: No deviations from the work specified in the proposal will be
permitted or paid for unless a written change order is first agreed upon and signed as
required.
ARTICLE 4. ASSIGNMENT: No assignment for the subcontract agreement IS
permitted without prior written permission from the OWNER.
ARTICLE 5. INSURANCE: The CONTRACTOR agrees to obtain and pay for the
following insurance coverage: Worker's Compensation in the amount required by State
Law, General Liability Insurance with $1,000,000 single occurrence and $1,000,000
aggregate minimum coverage, and Automobile Liability Insurance for all owned and
hired autos with $500,000 minimum coverage. The insurance certificates will be
prepared per the attached sample certificate and submitted to the OWNER directly by the
CONTRACTOR's Insurance Agency within 10 days of the execution of the contract
Agreement. Renewal certificates will be required upon expiration of present coverage.
ARTICLE 6. TAXES: The CONTRACTOR agrees to pay any and all applicable
Federal/State/Local taxes, which are or may be assessed upon the labor and material
furnished under this subcontract agreement.
ARTICLE 7: SAFETY PROGRAM: The CONTRACTOR agrees to have a Safety
Program in place and to provide the OWNER with it within 10 days of the execution of
the Subcontract Agreement.
ARTICLE 8: HAZARDOUS COMMUNICATION: The CONTRACTOR agrees to
provide MSDS infonuation on any elements, chemical compound or mixture of elements
and/or compounds to the OWNER.
ARTICLE 9: WEEKLY SAFETY MEETINGS: The CONTRACTOR agrees to have
and to provide the OWNER with copies of their weekly safety meetings (tool box talks).
ARTICLE 10: JOB HAZARD ANALYSIS: The CONTRACTOR agrees to fill out
and provide the OWNER with a daily job hazard analysis report. The OWNER will
provide the fonus.
ARTILCE 11: PERSONAL PROTECTIVE EQUIPMENT: It is mandatory that
hardhat, safety glasses, work boots, orange safety vest, etc. be worn at all times. The
CONTRACTOR agrees to provide his/her employees with the proper PPE.
ARTICLE 12: CONSIDERATION: In consideration whereof, the OWNER agrees
that he will pay the CONTRACTOR, within 7 days after receipt of funds, periodic
progress payments, the sum of FORTY THREE THOUSAND, ONE HUNDERED
THIRTY EIGHT AND NOll 00 ($43,138.00) for materials and work incorporated by the
CONTRACTOR in the Project, less the aggregate of previous payments. Acceptance of
final payment by the CONTRACTOR shall constitute a waiver of any and all claims by
the CONTRACTOR against the OWNER. See Exhibit A for detailed scope of work.
Invoices to be submitted on the 25th of the month.
ARTICLE 13: NOTICE: The following is the contract address for each of the parties
involved. Any notice shall be submitted to the location below via us mail.

ARTICLE 14: INDEMNIFICATION: THE SUBCONTRACTOR AGREES TO
DEFEND, INDEMNIFY AND HOLD HARMLESS THE OWNER, THE
CONSTRUCTION MANAGER, AND ALL OF THEIR AGENTS AND EMPLOYEES
(AINDEMNIFIED PARTIES) FROM AND AGAINST ALL CLAIMS, DAMAGES,
LOSSES, EXPENSES, AND/OR ATTORNEYS' FEES ARISING OUT OF, RELATED
TO, OR CONNECTED WITH, THE PERFORMANCE, OR FAILURE IN
PERFORMANCE, OF THE CONTRACT WORK UNDER THIS AGREEMENT.

The OWNER and CONTRACTOR for themselves, their successors, executors, and
administrators, hereby agree to the full performance of the covenants herein contained.
In witness whereof, they have executed this agreement the day and year above written.
