Re: Dallas Water Utilities Wholesale Water Contract Dear Mr. Pafford: Per your request, we have examined the above referenced contract and wish to note the following requiremell~s which the City of Coppell should comply with: 1) The City of Coppell must begin to take deliveries under this contract by May 31, 1992 or DWU has the right to cancel the contract. The agreement was executed on 11/18/87 and is for a period of thirty years (11/18/17). 2) Coppell was to have provided a Master Plan to DWU designating the new delivery site on or before November 18, 1988 (within 12 months of the contract date, 11/18/87). The City's Master Plan was not submitted to DWU until Spring 1991. 3) The existing TRA Rate-of-Flow controller would be sufficient as an interim delivery point only if Coppell acquires the rights to this facility. Our records currently indicate the City is still obligated for ±$415,000 of principal on the 1972 and 1976 TRA Revenue Bond Issues. These bond issues will not be retired until 8/1/2002. An additional ±$142,940 of interest is due over the remaining life of the bonds. We do not know what, if any, provisions are available for prepaylaent of these bonds. 4) Coppell must give DWU reasonable notice of anticipated changes in demand. Six months notice is desired. If the demand change will require the construction of additional facilities, sufficient notice must be given to allow for financing, design, and construction of the facilities. 5) The cost of all delivery facilities will be borne by the customer. DWU may elect to pay for oversizing. DWU will construct and maintain all meter vaults, meters, and associated facilities. Box 796577 · Dallas, Texas 75379-6577 · FAX 214 / 931-1452 6) If Coppell was to acquire an additional surface water supply which would result in a decrease in demand on the DWU system, DWU would have the option to terminate this agreement. Additionally, Coppell would be liable for liquidated damages in the amount of five years demand charges. 7) Exhibit A to the contract defines DWU responsibilities to include planning, financing, constructing, and operating the wholesale system. Customer responsibilities include notification of projected supply needs and management of the retail system to promote conservation and efficient-system operation. The 1991 Master Water Plan Update projected system demand to exceed the existing TR~ ~OFC capacity by the summer of 1995. Construction of a new ROFC is not projected to begin until 1994. This time frame is not within the requirements of the DWU contract. Therefore, we recommend the City of Coppell request an extension of the May 1992 deadline until the new ROFC can be on- line (Early 1995). If this is not possible, the acquisition of the TRA ROFC should be explored further to preserve the City's rights to a dependable water supply. Box 478 Coppell, Texas 75019 Dear Mr. Ratliff: Subject: Trinity River Authority of Texas Coppell Water Project The Authority is aware that the City of Dallas and City of Coppell are in the process of entering into a contract whereby the City of Coppell will purchase treated water from Dallas Water Utilities. The Authority does not have any objections to this arrangement. t The Authority does not believe that this arrangement will effect the exist- ing contractual obligations between the Authority and the City of Coppell or between the City of Dallas and the Authority. We understand that the Authority will continue to purchase water from Dallas and in turn sell.the same water to the City of Coppell based on the existing Contracts. As long as the City of Coppell honors its contractual;obligations with respect to the Water Supply Contract, we see no problems. The Authority financed and constructed water system improvements for the City of Coppell with Series 1972 and Series 1976 Bonds. According to Authority records, there is a combined total outstanding debt of $485,000 for these two Bond issues. In'addition, there is a combined reserve fund balance of approximately $70,000.
