INTERLOCAL COOPERATION AGREEMENT
This Interlocal Cooperation Agreement is made by and between the City of Coppell,
Texas (hereinafter referred to as "the City") and Dallas County (hereinafter referred to as
"County").
WITNESSETH:
WHEREAS, the City of Coppell, Texas and the County of Dallas, Texas desire to enter
into an agreement whereby, the City will lease equipment and obtain the necessary materials from
the County to reconstruct two parking lots in the City; and
WHEREAS, Chapter 791 of the Texas Government Code, as amended, provides
authorization for local governments to enter into interlocal cooperation agreements; and
WHEREAS, this Interlocal Cooperation Agreement has been authorized by the governing
bodies of both the City and the County; and
WHEREAS, the payments for the performance of governmental functions and/or services
set out herein will be made from current revenues available to the City and County.
NOW, THEREFORE, in consideration of ten ($10.00) dollars and other valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the City and County
agree as follows:

The County agrees to lease to the City the necessary equipment to reconstruct two
parking lots located at West Park at Coppell Middle School and Wrangler Road in the City as
described in Exhibits "A" and `B" incorporated herein by reference (hereinafter referred to as the
"Project "). The City agrees that the equipment shall be operated by County employees on non-
county working days, and to employ said persons as part-time, seasonal employees. The City
agrees to compensate said persons directly for the labor involved in the Project.

II.
The City agrees to escrow the sum of $49,338.58 with the County to pay for the lease of
the necessary equipment and acquisition of the required materials. The City shall be responsible
for the actual cost of the Project in excess of the escrowed amount. Upon completion of the
project, any unexpended portion of the escrowed amount shall be returned to the City.

The City shall be responsible for drainage and will ensure that proposed work on the
Project will not have an adverse effect on surrounding property. The City shall be responsible for
removing any personal property including motor vehicles from the parking lots to allow
construction of the project. The City shall also be responsible for the removal of any security
fences and to replace the same after completion of the work.
IV.
The City agrees to indemnify and save harmless the County from any liability or damages
the County may suffer as a result of any claims, demands, costs or judgments against the County
arising out of the services under this Agreement or arising from any acts, injury, damage
whatsoever to any person or persons, or to the property of any person(s) or corporation(s)
occurring during the lease of County equipment for this project.
V.
The term of this Agreement shall commence upon its execution and continue until the
project is completed.

Either party may terminate this agreement by providing the other party fifteen (15) days
prior written notice of its intent to terminate, in which event all unexpended escrow fund shall be
returned to the City.
VII.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and
their respective successors and assigns.

No amendment, modification or alteration of the terms hereof shall be binding unless the
same is in writing, dated subsequent to the date of this Agreement and duly executed by the
parties.
IX.
The obligations and undertakings of each of the parties to this Agreement are and shall be
performed in Dallas County, Texas. The validity of the Agreement and any of its terms or
provisions as well as the rights and duties of the parties shall be governed by the laws of the State
of Texas; and any venue for any action concerning this Agreement shall be in Dallas County,
Texas,
X.
The City has executed this Agreement pursuant to authorization of the City Council.

the following order was
adopted:
WHEREAS, the City of Coppell, Texas and the County of Dallas, Texas desire to enter into
an agreement whereby, the City will lease equipment and obtain the necessary
materials from the County to reconstruct two parking lots in the City; and
WHEREAS, the City of Coppell has placed in in Escrow Fund 120- 745 -913 -7 monies to fund
100% of the materials and equipment in an amount of $49,338.58; and
WHEREAS, labor costs included in the attached estimate will be paid directly to Dallas
County personnel operating County equipment on non - County working days; and
WHEREAS, the City of Coppell has executed the attached City /County Agreement authorizing
said work in accordance with Chapter 791 of the Texas Government Code.
IT IS THEREFORE ORDERED, ADJUDGED AND DECREED by the Dallas County Commissioners Court that
the Commissioner of District No. 1 is authorized to cooperate with the City of Coppell to
perform said work requisitioning materials as needed and the County Judge is hereby
authorized and directed to execute the attached City /County Agreement.

INTERLOCAL COOPERATION AGREEMENT
This Interlocal Cooperation Agreement is made by and between the City of Coppell,
Texas (hereinafter referred to as "the City") and the Coppell Independent School District
(hereinafter referred to as "CISD" ).
WHEREAS, the City of Coppell, Texas, a home rule municipality, hereinafter called
"City" and the Coppell Independent School District, hereinafter called "CISD" desire to enter into
an agreement whereby the CISD will reimburse the City for CISD's share of the costs of paving
the Coppell Middle School West parking lot and roadway facilities on Wrangler Road as a result
of an Interlocal Cooperation Agreement entered into between the City of Coppell and Dallas
County for such repairs, set forth in Exhibit "A ".
WHEREAS, Chapter 791 of the Texas Government Code, as amended, provides
authorization for local governments to enter into interlocal contracts; and
WHEREAS, the City has entered into an agreement with Dallas County to lease
equipment and obtain necessary materials from the County to reconstruct and pave the West
parking lot at the Coppell Middle School and the roadway facilities on Wrangler Road in the City
("Paving Project"). The City has agreed to directly pay Dallas County $62,787.45 for the
equipment, materials, and labor needed for the project; and
WHEREAS, this interlocal contract has been authorized by the governing bodies of both
the City and CISD; and
WHEREAS, the payments for the performance of governmental functions and/or services
set out herein will be made from current revenues available to the City and CISD.
NOW, THEREFORE, in consideration of ten ($10.00) dollars and other valuable
consideration, the receipt and sufficiency of which are hereby acknowledged the City and CISD
agree as follows:

CISD agrees to reimburse the City for its share of the cost to pave the Coppell 11Tddle
School West parking lot and the roadway facilities on Wrangler Road which includes CISD bus
Parking lot and Phase I of the City /County Agreement. CISD's share of the cost is estimated at

$30,946.68. In the event, that CISD's actual share of the cost exceeds the sum of $31,000.00,
then CISD shall not be bound to pay the amount exceeding $31,000.00 unless written amendment
providing for such payment is executed by CISD. Consistent with this paragraph, CISD agrees to
pay its share of the aforesaid costs to the City within thirty (30) days after written notification
from the City of the CISD's final share of the cost of the Paving Project.
H.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and
their respective successors and assigns.
III.
No amendment, modification or alteration of the terms hereof shall be binding unless the
same be in writing, dated subsequent to the date of this Agreement and duly executed by the
parties.
IV.
The obligations and undertakings of each of the parties of this Agreement are and shall be
performed in Dallas County, Texas. The validity of the Agreement and any of its terms or
provisions, as well as the rights and duties of the parties, shall be governed by the law of the State
of Texas; and any venue for any action concerning this Agreement shall be in Dallas County,
Texas.
V.
All parties represent that they have full capacity and authority to grant all rights and
assume all obligations that they have granted and assumed in this Agreement.
VI.
Either party may terminate this agreement with fifteen (15) days prior written notice to the
other party.
