ABreement to Sell and Purchase dated January 22, 2001 (the "A~reement")
between T/E Freeport No.~ Land fl, Ltd. (."Seller') and 'INA North America,
("Pttrchaser"). Capitalized terms used herein but not definod herein have the
meanings assigned to such terms in the Agreement.
Gentlemen:
This letter will confirm thc agreement of Seller to provide to Purchaser, if and when
Closin~ occurs, an approximately five foot easement (the "Easement") for ingress and egress
pttrposes over certain property adjacent to the Property and Royal Lane. Thc pwperty upon
which the Ensemcnt shall be granted and thc final form of the Eascmeni shall be mutually agreed
to by PurchascF end Seller prior to the Closing Datc. Seller shall cause thc Easement to be
executed by Freeport North Indus~al Park Owners Association arid dclivcted to Purchaser at
Closing.
