MUTUAL USE EASEMENT
KNOW ALL MEN BY THESE PRESENTS:
That I, Michael Allen~Actinq in Behalf of Univest
Corporation, as Seller, for and in consideration of the
agreed purchase price of ONE Dollars 1~_!~9_1, and upon all
of the terms and conditions hereof hereby grant, sell and
convey to Children's World Inc., a Delaware corporation as
Buyer, a perpetual easement for the purpose of constructing,
using and maintaining a Mutual Use Easement, said perpetual
easement being shown and described on the plat attached
hereto, which plat is made a part hereof, and/or further
described as follows:

In addition to the above described perpetual easement,
Seller also hereby grants to Buyer a temporary right of
access to, and use of, lands of Seller immediately adjacent
to the perpetual easement as necessary ici' construction of
proposed facilities by normal operations; it being
specifically agreed that in the exercise of this priviledge
the Buyer will not create any continuing nuisances or
situations detrimental to the premises and upon completion of
the work, will promptly vacate said premises and restore them
to a condition substantially equal to, of better than, that
which existed when said work was commenced.
The agreed purchase price includes full accord,
satisfaction and compensation for all demands of the Seller,
sub3ect also to the following special conditions, if any:
To have and hold the same perpetually to CHILDREN'S
WORLD INC. and its successors and assigns forever.

MUTUAL EASEMENT
WHEREAS, UNIVEST DEVELOPMENT CORPORATION, is the owner of a
tract of land situated in the Alfred Logsdon Survey, Abstract
No.783 in the City of Coppell, Dallas County, Texas and being
more particularly described as follows:
BEGINNING at a point in the West R.O.W. line of Moore Road
said point being North O0 23'40" West, 539.59 feet from the
intersection of the North R.O.W. line of Sandy Lake Road and
the West R.O.W. line of Moore Road.
THENCE SOUTH 88 15'51" West, 52.01 feet along the
South line of Lot 4, Block 1 to a point for corner;

and through its duly authorized officers, does hereby adopt
this plat designation the herein above described property as
SANDY LAKE PLAZA,an addition to the City of Coppell, Texas
and does hereby dedicate to the public use forever, the
streets and easements shown thereon. The easements shown
hereon are hereby reserved for the purposes as indicated.
No buildings, fences, trees, shrubs of other
improvements of growths shall be constructed or placed upon,
over or across the "MUTUAL USE" as shown, Said "MUTUAL USE"
being hereby reserved for the mutual use and accommodation of
all public utilities desiring to use of using same. All and
any public utility shall have the right to remove and keep
removed all or parts of any buildings, fences, trees, shrubs
or other improvements of growths which may in any way
endanger of interfere with the construction maintenance or
efficiency of its respective system on the "MUTUAL USE" and
all public utilities shall at all times have the full right
of Ingress and egress to or from and upon the said "MUTUAL
USE" for the purpose of constructing, reconstruction,
inspecting, patrolling, maintaining and adding to or removing
all or part of its respective system without the necessity
at any time of procuring the permission of anyone.
